LEASE AGREKMEl'.T
ThIs lease agreement (the "Agreement"), entered into this .Ll day of ()pl2-.! ~,
2006 hetween Eagle County, Colorado ("Landlord") and Vail Mountain Rescue. a Colorado non-
profit eOlporation ("Tenant"),
WffNESSETH:
WHEREAS, Land]ord owns property commonly kno,^'n as the Old Road and Bridge Site
(the "Site) located at 712 Ca,tle Drive, in Eagle, Colorado; and
\\11EREAS, Landlord wishc, to make cel1ain portions of the Site available for use by
non-profit organizations bcnefiting the citizen~ of Eagle COllnty Imtil sueh time a8 those portions
of the Site are converted to u,e hy Landlord; and
WHEREAS, Tenant, a non-profit organization whose activities benefit the citizens of
EaglcColUHyhysaving]ive,throllghreseueandmountain,afetyedueation,wi8hestomilizea
ponion of the Site to erect three (3) <;1Or:Jgesheds (the"Sheds"),each a pproximalely12'x 14'in
~ize on the portion of the Site depicted (m the aerial phqtograph attached hereto a, Exhibit A and
im:orporatedherein by this reference.
NOW, THEREFORE, in con,ideration of foregoing prcmi,e, and following promises,
Landlord and Tcnant agree a,follows:
ARTICLE I
Leased Premises
Landlord herehy leases to Tcnant, and Temmt hcreby rent<; from Landlord. the portion of
the Site designated On Exhibit A hereto, measuring approximately 30'x 60' (the "Lea8ed
Premises") to ered and maintain thereon three Sheds of the design depieted on the drawing
attaehcd hereto as Exhibit 8 and ineol11<'lTated herein hy this rcfereu ee.
ARTICLE II
Term
The term ofthi8 Agreement is for one (1) year from April 1, 2006 to March 31,2007

Rent

Insurance
Tenant agrees nt Tenant's own, sole e~pcnse to maintain in lilll foru: during the Lease
Term comprehensive general liability and pwpeny in.sumn<:e for [he benefit of its members and
the Landlord, v.'hich ,",'ill <:over Tenant and Landlord against liability for injurytn per.sons anJ/or
property, and death of allY person or persons occurring in or about the Leased Premises. Ea<:h
policy shall he appmved as loform by Landlord. TIle liability coverage under such insurance
shall not be le.ss than $1,000,000 for anyone person injured or killed, and nOllcss than $50(J,OOO
for anyone <lccident and nOlless thUll $1 00,000 properly damage. The policies shall name as
insured parties Tenanland Lundlord and any persons, firms or corporations designated by
Landlord. A oopyofthc po!icy ora cel1ifi<:ate of insurance shall bc delivered to Landlord,
ARTICLE V
Indemnification
Tenant a<:k,nowledge, that it use~ the Leased Premise., at it., own, ,ole risk. Tenant
herebyrcleases Landlord fwm liability for any costs, losse., or damage, of any naturc
whatsoever th<lt Ten<lnt may suiTer a., a result 01" its use of the uased Premi.,es, except for the
willful mi,eoJl(juet of Landlord, Additionally, Tenant will indemnify Landlord and .,ave

4. Tenanl shall keep Lca.,ed Premises and Sheds and the drains andappllrtenanccs
thereto in gond condition and repair. In lhe event the Lcased Premises a nu

work to the Tenant for immediate paymenL It is agreed thaI the Tenant ,hull not he

respomibiJity of the Tenant. Eagle County Facilities Manugemcm Department plows

ARTICLE VII

1. Tenant will not use, occupy. or permit the Leased Premises to be w;cd or occupied
for uny unlawful or illegal bll5iness, llse or purposes deemed by Landlord to be

Stales of America, Slute of Culorado, County of Eagle. Town of Eagle, or other
municipal, governmental, or lawful authority whatsoever having jurisdiction,
2. Tenanl shall nut perform any act orean-y on any praelices which may injure the

Leused Premises Or be a nuisance ur menace to others or the propelty of other.I,

ARTICLE VIII
Repairs.AlterationsandIDlOrovements
I. Tenant shall keep the Leased Premises and all stmclures thereon in good order.
condition and repair.
2. All reasonable altemtions, jlllprovclllenl~. and/or additions to the Lea,,,,l Premises
by TenanL will only be done at Tenant's eXpell~c after ohtaining Landlord's

3. Unless otherwise agreed hy L1Uldlord, all alterations and improvements (with the
exceptionufthcSheds),3retohe<:umc,altheopliunoflheL'Uldlurd, the properry
of the Landlord upon lhercl'lllinarionufthis Agrecment, however such
termination ~hall OCCllI, and ~hall remain upon and be surrendered willI the
Leased Premisc~ without reimbur:semclU hy Landlord to Tenant fOT the CO~l of any
such alterations. improvements or ~'hanges, Landlord 3l its option may decide lO
have 'lH:halterations,improvemems or changes removed by Tenant upo n
termination of this Agreement. Tenant shall remove the ~ame to the satisfadion of
the Landlord and ,hall repair any damage, caused by such removal.
4. At the expiralion or earlier termination of this Agreement, Tenant ~hall remove all
ofilS fixtllres or slruCll1res that lIIe not the property of the Landlord llnderlhe
foregoing provisions of (he foregoing paragraph. TenanL'~ obligations lo perform

ARTICLE IX
Assil!llment and SubJettine:
Tcnantshall nut assign this Agreelllenlorany intere~lhercin. or permit the useoflhe
Leased Premise~ by any person or persons uther than Tenant, or sublet the Premises in whole or
in part. without Landlord's prior wriILen OOll~ent. which consent may be withheld at Landlord's
solediscreliull.
ARTICLE X
ACl:ess to Premises
Landlord and LandlonJ's authorized repre~entative ~hall have the right to enter upon the
Lea,ed Premi,es at all rea~Ollable hour, (and in emergencies, al all time~) to in~pect the same for
any lawful pllrpo,e. Landlord agrees to provide Tenant with rea,onable notice whenewr
Landlord deems necessary to enter upon the Premises.

Default
Delinquency by Tenant ill the performance of or compliance with allY of the obligali(lns
of Tenant comaincd in this Agreement. for a period of tell (10) days after written notice thereof
from Landlord. ,hall constitute a ddault of thi, Agrccment by Tenant.
ARTICLE XU
Termination

ARTICLE XIII

ARTICLE XIV
Hold (her
Tcnant acknowiedges that tht' tenn of this Agreement expires on March 31, 2007 and
agree~ to vacate the premise> on 01' before said date. However, if Tenant ~hOllJd remain in
posse,sion of the premises after the expiration of the Agl'eement lerm for whatever reason and
without excclltnlg a new Agreement. then such holding over shall he conslrucd as a tenancy from
month to menth, subjecl to alllhe condilion. provisions and obJigation~ of this Agreemcnt
insofar as tht' same are appJicahleto a month te mooth tenancy_

Notices

Entire Alrreement, Amendments
