WITNESSETH
WHERl::AS, the Subdivider. as a condition of approval of the Final Pla[ Mthe Frust
Creek und Salt Creek PUD, Filing No.1, Frost Creek (hereinaftcr refe~;,ed to as
"Subdivision"), desires an Agrecment as provided for by the Land Use Regulations oi'Eaglc
ComIty, Color.tdo, 1999, as amended (hereinafter referred to as "Land Use Regulations") cn"pter
IL Section 5-280.B.5.e. and c.R.S. S30-28-!37;and
WHEREAS, pursuant li1 the sallle authority, the Sllbdivider is obligated to provide
securityor~olJa[eralsufficientinthejudgmentoi'theColIntytomake reasonableprmisioT1s for
completion of certain public improvements hereinafter described and dcfined in Exhibit A
ar:ached hereto and incorporated herein by this rcf~ren~e ("Subdivision Improv~nents"): and
WHEREAS. pursuant to Chapter ll, Section 4-620 ofthc Land Use Regulations. '.\cen it
proposedsuhdivision is located inanareaservic~d by an existing County ro:m and the COlUlly
det~rmines that (he traffic g~nerat~d by slIch development will result in safety hazards I'lr vehick
drivers,pcdestriansand'oradjacentresidents,orwilJresultinsllbstantiallyincre:lSed
maintenance costs to the COlInty. the County is empowered to determine the cunOU:lt of work
necessary to bring lhe affected Counlyroad to acceptable standards to provid~ adegllatesafe
servicc to present o",ners, to th~ proposed subdivision and to other probahle subdiVIsions, and to
require the Subdivider to improve its equitable portion of such road to an ac~eptabk condition:

WHEREAS, the COlUlty has determined that the traffic which will b~ gencrated by the
Subdivision, a)ong with other potcntial subdivisions inthc area ,will result in safety hazards and
substantially increased maintenallC~ costs relative to th~off-site roads: and
WHEREAS, the Subdivider has agreed to impri1\'e the roads to an acceptably safe
condition and to aCCOITL'1lOdate thc in~remental incr~ase intmffic bll,d~n to the said roads
resulting Ij-om the development oi'tltis Subdivision, by the cngineer ing,constructionand

WHEREAS, pUTsuant to ChaptcT IT, Seetion 4-620.9 of the Land Use Regulations oLd
C.R.S. 43-2-147. lhe Subdivider shall provide access for alJ lots and parcels it creates to lk state
high\vay system in confomlancc with the State Highway Access Code.
NOW. THEREFORE, in consideration of the premises and the covenants and agrecmenls
herein conlainedto be kepr and performed by the partics hereto, irisherebyunderswodc';ld
agreed as follows:
1. SUBDlVISJON JrvIPROVEMENTS.
1.1''SubdivisionImprovemems. SubdivisionJmprovementsshallincluderoads,urijirics
and other similar public improvcmenls as approved by the Counly Engineer and as specifically
defined On Exhibit A. Such Subdivision Improvements may be described in greatcr demiJ In all
documems, conslruction drawings, designs. maps, specification s,sketches,costestimates,and
olhermaterials submitted by the Subdivider prior to Or at final plata pprovaland acceptancoby
the County as idcntified in Exhibit A.
1.2 ScoveofWorl<:. The Subdivider hereby agrees. at its sole cost and cxpense,ro
furnish all necessary equipmenl and mareriul. and 10 complete all Subdivision Imprcwemen'S as
referenced in rhc atlached Exhibir A, and asset forth in all docwnents . conslrucriondruwin,s_
desig:ns, maps, specificmions, sketches. and other marerials submi ttedbytheSubdividerpriorto
or at tlnal pJat approval and accepted by the Coun(y, and in accordance wi thall Iawsoflhe
Uniled Slates ofAOlerica, Slate of Colorado, County of Eagle. and lheir rcspectlveagencies and
affected governmental entiries.
1.3 DutiesofSubdlVid~r. For those Subdivision Improvcmenls required hccein.

1.3.3 NotificationfRoadConstruction. Subdivider or his Engineer shali notify the
Eagle County Engineer for the purpose of arranging an on-site in~pection no less than forty-eight
(4S) hours in advance oflhe following stages oCroad construction:
I) Finishedsubgrade
2) Finished Aggrega!e Base Course
3) A~phaltPlacement.
4) Concrete - Curb and Gutter, Sidewalks and Bikepaths
The County Engineer shaJi make an on-site visit within the forty-eight (48) hours notific:n:on
periodorasshortlythereaflerasrea,onablypossibleforthepurposeofobservingproofroll$on
items 1) and 2) above and for general observation ofconslTUction me thodsbeingemployedat
lhese stages. Said on-site inspection by the Eagle County Engineer shall in no way abrogmc the

duties oflhe SLlbdivider oUllined elsewhere in this Agreement. The Subdivider shall provide the
proof rolling by arranging for a loaded single unit truck carrying 18.000 pounds per rear axle.
1.3.4 \Vitnessin~ofWalerr.aterals. It is essential that the ends of these
municipal water related laterals be witnessed by the Subdivider's engineer to a minimum of three
di vergent poinlS and a permanent record made of the same. Copies of these records are resuired
to be furnished to the Eagle Counry Engineer prior 10 COllUTlencement of the [WO year warramy
period. In addition to wilnessing of the horizontal location of these later als, aver-rical ''Iirness
shall be required. Horizontal ",itnessingshall be to property comers, fire hydrants. m anhoJes,
and other "permanent" features. Vertical witnessing shall be based on depth below ground and
elevation based On a datrnn used for the subdivision. Bench marks shall be sho\','Jl on witness
records.
1.3.5 TeSl Reoorts. All test reports if any, shall be consecUlively numbered, with
copies furnished direclly to the Eagle County Engineer from the laboratory as they are reported
lOtheSubdrvideroritsengineer.
1.3.6 As-Built DrawiniCS ofSubdivisian Imrrol'ements. As-Built drawings,
sealed, signed and dated by a RegiSlered Professional Engineer sho,~ing the as-constructed
horizontal and venical loca!ions of Subdivision Improvements shall b e subminedto the Eagle
County Engineer prior to commencemenl of the applicable warranty period. This shall include
as-built drawings in an electronic format acceptable to the Conn!)' Engineer.
1.3.7 Affidavil of I\lonumentation. An Affidavit of :>fonumentation sealed.
sIgned and daled bya Registered Prolessional Land Surveyor stating t hat the subdivision h.'-S
been monumented in accordance "ith !i38.S!-105, eRS.. and Chapter ll. Seclion S-280.S.a
(I)(a) of the Eagle COlmty Land Vse Regulations shall be provided to the Eagle COWlty Engineer
prior to the acceptance of the Subdivision Improvernents by the COWl! )'.
1.4 COIllDliance with Colorado DeDartrnent ofHi~hwavs Access Code. Subdivider shall
provide the County with designs in compliance with the Colorado Department ofHighwa:'s
Access Code for all road improvements.
I.S Date of Comoletion. All Subdivision Improvemenls shall be completed prior to
January3l,2007.
1.6 ApNovalandAcceotanceof\Vork.
1.6.1 Copies of all testresu!ts corresponding to work which is being in5pecl ed
andanyotherinfonnationwhichmaybenecessarytoestablishthesa!isfactorycompletionofthe
work for which inspection is requested must be submitted prior to said i nspection. Allsuch
inforrnation shall be accompanied by a letter from the Subdivider's engin eer verifying the
satisfactory completion of the work performed to date.
1.6.2 No!\vithstandingSection 1.3.3above,promptlyafterrecei\ingaresu~sttor
inspection and the required documentalion, the Connt)' Engineer shall review the information
presented and, if necessary, make an on-sile inspection oftbe work cOm pleted.

).7 EstimatedCo~l\; ofSubJivision Inwwvcments. The e~timatcd cost orthe
Subdivision Improvcment~ is the ~um 01'514,787,588.8(" as summarized in Exhibit "A" To
secure and guarantee performance ofit~ obligations as set forth in this Seelio!!!. incJudingthc
completion of the required off-site improvements, the Subdivider hereby agrees 10 provide
secUl-ityandcollateralinthe fornl and as set forth in Section 2,bclow.
] 8 COI:rIlllOll Park and Recreation Au~. Subdivider agrees 10 submil <l CDmmon Open
Space, Park and Recreation Area Plan to be approved by the County Dcpanmcnt of-Commun;ly
Development prior to approval of fmal plat as applicable and consistent with the Preliminary
Plan approval for the Subdivision.

Maitltcnance_R"qui~~!D-'::nts. The Subdivider agrecs to abide by the r.andscape Plan apprl'l'ed by
thc County Dcpanment of Community Development as applicable and consi~tenl with the
Preliminary Plan approval lor the Subdivi~ion.
2. SECURlTY and (()[L,\TERAL.
2.1 CollateraL SecurilyandColJatemlrequired;nSec[ion j.7 herein, as seeurity for the
performance by Subdivider of its obligations under this Agreement, ~hall be in the total amounl
o1'S14,787,588.8('. The Subdivider has previou~Iy obtained several letters ofcredit as sec~nty
(or scvemI of the improvements li~ted on Exhibit A. These oUl\;tanding letters of credit are listed
in Exhibit A. The Subdividcrshall obtain additional collateral in the amoun[ofS558 .658.74,
(\vhich amount i~ not otherwise repre~ented by existing jetters of credit) in the form of an
irrevocable LETTER OF CREDIT prior to signing of the final pIal, and attached hereto as
Exhibit "B". In the event ofa default, the County may. in it~ ~oie di~cretion, determine which
letters of credit or ail of the letter~ of' credit lhat constitute the Collateral ~hould be drawn 011.
The fact that therc are multiple letters of credit shaU not restrict the Co untyinanymannerinits
drawing On the ColiatcraJ and enforcing the provisions of this Agreement.
2.2 Partial Reiease of' CollateraL Subdivider may apply to the County for the release of
portions of the Coilaterai baocd upon \-vork completed in aecordance \-'lilh tl::is Agreement and
eon~i~tent with the Finaj Engineer's E~timate of costs in Exhibit A. To make such rclea~es,
Subdivider ~halJ reque8t the County Engineer to inspect the work in order to verify ~atisfactory
eompletion in accordance with plan~ and specifications in accordance with Section lA
2.3 final Relea.,e ofCollatera);Warrantv. \Vithin thirty (30) days after Subdivider has
completed all of the work required by this Ab'Teement and the work has been approved and

2.4 Sub~tirntjon ofCoJiateral. The Subdivider may at any time subSlitute the Collateral
original]ydeposited with the County herein, for another form ofcoll ateralacccptabletothc
COUflly,toguarumeethefaithfulcompJetionofthcSubdivisionlmprovements rcferred to herein
and the performance oflhe terms of this Agreement. At the lime of substitution of collateral, an
ini1atioml[)' and/or deflationary factor based upon the Denver-Boulder, Colorado Consumer
Price Index for AJi Urban Con~L1mers, All Items (1967=100) published by the U.S. Bureau of
LaborSlatistics, 303-837-2467. or, alternalively, an approved eo nstructioneost index. shall be
u~ed to detemline an adjusted eSlimated eo~t fot all Subdivision Improvemcnl~ as described
herein, and coilateral shail be submitted by the Subdividerinaeeordan cetherewith
2.5 Draws. Draws against the Collateral shali only be made as directed by written
Resolution of the County, stating thJtthere has been In event of de fa ull underlhis Agreement
and that a ~am certain is required to remedy the default. Any amolmt drawn on the Collateral
mUSl be applied for the purpose of completing the \vork required by this Agreement and relaled
expenses and costs.
2.6 Events ofDefaulL The fOllowing events shall be deemed "Events ofDefaujt,"
entitling the County to draw on the Colialeral:
2.6.1 IfSllbdividerhasnot completed the work required by IwsAgr eement
within thirty (30) days prior to the Date of Completion set forth herein, the Counly may, afLer ten
(10) working days 'Hillen )\;olic~ to Subdivider, draw upon the Collateral an amount sufi!cient to
complete said work and compensate the County for its reasonable cost s and expenses related to
sJiddraw.
2.6.2 If the originalcolJateral presented lO the County (or anyextcnsion t hereof)
is due to expire and th~ work is not yet completed, and Sllbdivider has notprovidedsub~litute
coliateral or the bank'sv,Tilten extension to the originajeollateraj (as it may have been pTeviously
extended),the County shall draw on the ColJateral according to the provisions set forth in th,S
Section 2. It is Subdivider's responsibilily, with Or v,ithout nOlice, to ensurc that the Collateral is
extended. orthalsubstilllte coliateral isprovidedina form acceplable to lhe County, at least ten
(IO)days prior to its expiration if the work is not yet completed. IfCollaleralisneitherextended
nor sllbstitutc collateral provided, in a form aeceptabk to the Counly. atlcast ten (lO)days prior
to its expiration if the work is nol yet completed, the developer ~hall pay the County an
additionalS500 (Five llllndred doJiars) for the addilional administralive \vOrkreqllircdb~causeof

may be amended or modified in order to set forth specific Events ofDefalllt deemed necessary,
in the COlJJ]ty's sole di~cretion, commensurate with the type of Collateral substilUl~d.
2.7 Costs and E.\penses. Subdivider agrees topayanycostsand~xpcnses, including but
not limited to legal fees, which the Counly may incur in delermining 10 accepl collateral, in
drawing upon the ColiakraL or in accomplishllg an cxtension of its ex piration.

2.8 LandscaDe Plan Coll~lf'raL
2.8.1 Subdivider agrees 10 provide collateral ina fonn acceptable 10 the CO'lIlty
Anomeyto ensure landscaping \\lill be inslalled. Subdivideragre~sloprovidecollateralforIlo

2.8.2 As portions of the landscape improvements are completed. the Community
Development Direclor shall inspect th~m. and upon approval and acceptance, shall authonze th~
release of the agreed estimaled COSI for that ponion oflhe improvemems, e~cept thaI the len
percent {I 0%) shall b~ \\lilhheld until ali proposed landscap~ improv~ments are complewd and
approved,andanadditional(went)'~fiveperccnt(25%)beretaineduntilthelandscape
improvem~ms have been muintained in a salisfuctory condition for two (2) years.

3.1 Indemnificat~oq. Subdivider shall indemnify and hold the County hamlless from any
and all claims made againSlthe Count)' by any contraelor, subcontractor, materia1m~n,
employ~~,independelllcontraclOr,agentorrepresentativeinvolved in the work necessary 10
compjy ,'lith this Agreem~lll, Or on account of any other claims against dl~ County because of
th~ activities conducted in furtherance of the lerms Dfthis Agreement. This indemnitlC<ltion and
hold hannless provision shaliincIude any legal expenses or costs incurred by the Coumy.
3.2 C~nificates of Insurance. The Subdivider shall secure from any contraclor or
subcontractor engag~d in the \\lark necessary to comply with this Agreement a Certitlcate of
Insurance providing for liability proteclion in the minimum amOWlI 01'$150,000 per indi,idual
and $600.000 per occurrence, naming the County as an additionally named illSur~d. The
Subdivider, ifil serves as the contr<lclor for the Subdivisionlmprov ements.shalipf()vide
insurance in th~ same form and amO\Ults as required of the general contractor. Said limits shall
be adjusted to comply with any changed limits in the Colorado Governmental ImmllTlily Act,
Title24,Article 10. Colorado Revised Statutes.
3.3 County Incurs No Liabilitv. The County shall not, nor shall any officer or employee
thereof. be liabie or responsible for any accidenl, loss or damage happening oroccurriTlgtoth~
Subdivision and/or Subdivision Improvements sp~cified in this Agreement prior 10 th~
completion and acceptance of the same; nor shalllhe COlUlty, nor any officer or employee
thereof. b~ liable for any persons Or propeny injur~d Or damaged by reasons of the nature of said
work on the Subdivision Improvements, but alj of said liabilities shall be and are hereby assumed
by the Subdivider. The Suhdivider hereby agrees to indemnify and hold harmiess the Coun ry
and any of its officers, ogents and employe~s against any losses, eIoims, damages or liabilities for
which the County or any of its of/leers, agents, or employees may become subj~ct to. insofar as
any such losses, claims, damages or jiabl1ities (or aclions in respeelther~of) arise OUI of or ar~
based upon anyperfonnance by lhe Sllbdividerhereundcr; and IheSllbd ivider shail reimburse
the County for any and ali iegal and olherexp~nses incurred by the Coumy inconr.eclion ;"llh
investigating or defending any such loss, claim, damage, liability or aClion. Thisindenu:i'}
provision shall be in addition to any other liabilily which the Subdi vider may have.

4. GE!\'FOK",..[.. PROVIS.!O)\;S.
The following shall apply to all Subdivision Improvements. including off-site
improvemcnIs, set forth in this Agreemcm:
4.1 Compliance with Land L'se Rcgull!.cioll5. The Subdivider shall be required to obtain
all necessary permits and comply with [he provisions of the Land Use Regulalions, including but
not limited to the R~guJations for COnStruCI;OIl within the Public Ways ofEag!e County (Chapter
V), as the same arc in effect at the time of cOIll.'llcncement ofconstruclion oflhe Subdivision
Improvements rderred to herein.
4.2 Subdivision Improvement A~reerpcnl Controk In the event of an)' inconsistency or
incongruity betwe~n the provisions Oflhis Agreemcm and the Land Use Regulations, the
provisiOllS of this Agreement shall in all respens govem and control.
4.3 Warranlies and Guarantees. Ther~ shall be a two-year correction period, or such
longer period as may be prescribed by la\>', from th~ time of comple(ion of the SubdivisiOll
Improvements during which time the Subdivider shall promptly correct or r~move and replace, in
accordance with the COlUlty's wJilten instmctions. dcfeciive work or malerials and consequences
thereof. Repair or replacemem made und~r the m'o-year wrr~clion period shall b~ar an
additional one-year correction p~riod from the acceplance of the repair or the r~placemem by the
Eagl~ COllilly Engineer. The work shall be collateralized during lhe correclion period in on
amount and type ofco1!ateral as shall be reasonably delermined by (he COIUl tyifnotothenvioe
set forth herein. The work shall be inspected. at therequesl of the Subdivid~r, no less than sixty
(60) days prior to expiration of the one-year additional correc(ion period, and any deficiencies
shall beno(ed to the Subdivider.
4.4 Avoroval of Final Plat. The County agrees to the approval of the final plat ohhis
Subdivision.subjecllothelermsandcondiIionsofthisAgr~ement.
4.5 Final Pial Amendments, Where field changes Or other circumstanc~s have caused the
road, utilities, or other subdivision improvements (0 be cons(mct~d in locations different from
those sho\'llon the approved plans, th~ locations ofrights-oj~\','ay, eas~ments, lot lines, building
ell\'e]opes. setback lines, or otherattribUles sho\;llon the Final Plals halIbeamend~das
nccc5sarylO comply with Final Plat requiremenls of the Eagle County Land Use Regulalions,
46 Amendment and Modificalion. The parties hereto munwJly agree that tillS
Agreement may be amended or modified from time to lime, provided thaI such amendment Or

4.7 Assi~{labiJity. This Agreement shall be enforceable against the Subdivider.
provided,however, lhat in the event theSubdividerse]ls, transfers orli$signs all or ran oflhe
5ubjec(Subdivision, (he obligatiolls of the Subdivider wlder this A greementas totha(porlion of
the sllbjecl SlIbdivision may be a.;;suilled in ",Titing by (he pllIThaser 0 fthe parcel, and lhe
Subdivider shall have no further obligations hereunder. Ttis agreed, however, that no such
assumption of these obligalions shall be dfedive unless Ihe County gives its prior \\!ritten

Highways as prepared by the U.S. Department of Transportation. Federal Highway
