GRANT AGREEMENT
This Grant Agreement, made this , day of.. 200 _.,byand
between the State of Colorado for the use and benefit of the Department of
Transportation-Aeronautics Division, hereinafter referred 10 as ("theDivision"or"the
State") and Eagle County hereinafter referred to as ("the Grantee" or "the Contractor").
WHEREAS, authority exists in the taw and Fonds have been budgeted, appropriated or
othelwise been made available and a sufficient uncommitted balance thereofrcmains in
the A viatioll Fund for encumbering and subsequent payment of the Agreement under
Grant Budget Line 4376 in Fund NUlllber 160, Appropriation Code 033 and
Organization Code 0096. Fiscal coding: 160 BAA 0096 033 50000071 5120 1 N (Grant
Agrcement Encumbrance Amount $210,000.QQ).
WHEREAS, required approval, clearance and coordination bas been accomplished from
the Colorado Aeronautical Board, which is ,lUthorized to administer the state aviation
system grant program ("grant program") solely for aviation purposes.
NOW, THEREFORE, it is hereby agreed:

State: $210,000.00 Local: $274,210,00 Fed: $9,200,000.00

) In consideration of the obligation, Eagle County, lheGrantee,llponperfonnance
in accordance with defined work scope, shall be reimbursed incrementally the amount of
$210,OOO.OQ proportionable to the State's share of participation upon sa tisfactory
completion ofperfonnance. The liability of the State under this Agreement for any
payments is limited to the amount encumbered pursuant to the budget set forth herein.
4. The Grantee shall provide "matching funds" as shown above, in the amollnt of
$274,210.00. The governing body of the Grantee shaH execute and provide to the State a
rcsoJulion or other document as appropriate, which: obligatcsthefulJamountoflhclocaJ
share of the funds required by this Agreement, and which also authori;r.es a specific
individual to execute the Agreement and bind the Grantee to its terms_ The resolution
hcreby incorporated and attached as Exhibit A.
5. This Grant Agreement is effective upon approval hy the State Controller or
designee. The term shall continue Ulrough June 30. 20{)9. (Not to exceed five years).
6. Availability of Funds. Payment pursuant to this Grant Agreement is subject to
and eontingent upon the continuing availilbHity of funds for the pwposes hereof. If any
of said funds become unavailable, as determined by the Division, either party may
immediately terminate or seek to amend this Grant Agreement
7. Record Keeping Requirements. TIle Grantee shall maintain a complete file of all
records, documents, communications and other materials which pertain to the Grant
Agreement for a period of three (3) years from the date of the final payment under this
Agreement or the termination of the Agreement, whichever is later, or for such further
period as may be necessary to resolve any matters which may be pending. AU such
records, documents, Communications and other materials shall be the property of the
State, and shaJJ be maintaincd by the Gtantee in a central Jocationand th e Grantee shall
be the custodian on behalfofthe State.
8. The Grantee shall permit the Division, the fedcral government or any other duly
authorized agent of a governmental agency to audit, inspect, examine, excerpt, copy or
otherwise transcribe the Grantee's records during the term of this Agreement Ot final
payment pcriod of three (3) years following termination of this Agreement or final
payment hereunder, whichever is later. The Grantee shall also permit these samc
dcscribed entities to monitor all activities conducted by the Gran tee pursuant to the terms
of this Agreement.
9. No employee, officer or agent of the Grantee shaJJ parricipate in thesel ection,or
intheawardoradministrationofacontractorsubeontractsupportedbyFederalfundsifa
conflict of interest, reaJ orapparent,wouJdbe involved. Sllehacontlictwollldarise
when:

b) any member oflhe employee's immediate family;
c) lheemployee'spartner;or
d) an organization whicbempIoys, or is aboul to empJoy, any of the
above, has a fiIlanciaJ orolher intercstin the firm SeJected for award.
The Grantee's officers, employees or agent wi!! neither soIkit I10t
accept gratuities, favors or anything of monetary value fTOm
contractors,potcntial conlractors or parties to subagreemcll!s_
10. Excepl as otherprovided,the duties and obJigationsofthe Grantees hall not be
assigncd,deJegated, orsurn,ontactedwithout the express prior wri tten consent of this
Division. Any Subgrantees or SUocontractors wiJJ be Subjecl to the requirements 0 fthe
Agreement
II. Itisexpresslyunderstoodandagreedlhattbeenforcemenlofthetermsand
cOllditiollS of this Agreement and alJ rights ofactionreJating tosuc h enforcemenl, shaH
be strictly reserved to the Division and thenanled Grantee. Nothing contained in this
Agreement shall give or aJJow any claim or right of action what~oever by any third
person. It is the express intention of the Division and the Grantee that anysu chpersonor
entity, other than the Division or the Gmntee, receiving services or benefi tsunderthis
Agreement shall be deemed an incidental beneficiary only.
12. For the pUrpose of this Agreement, the person named below is designated the
representative of the Grantee. AJJ notices required to be given by the Division shall be
given in writing to the representative named below. The Grantee may designate in
writing anew or substitute representative:

13. Any failure ofeitherpatly to performance in accordance with the terms ofth is
Agreement shall constitute a breach of the Agreement. Any dispute Concerning the
performance of the Agreement which cannot be resolved at a divisionalleveJ shall be
referred to superior departmentaJ management staff designated byt he Division and the
Grantee.
Any of the parties to this Agreement shall have the right to terminate this Agreement by
giving the other party a thirty (30) day written notice. If notice is given, the Agreement
shall terminilteat tJleend of Thirty (30) days, and the Jiabilities of the parties hereunder
for further performance of the tel1ns of this Agreement shaH thereupon cease.
