HomeMy WebLinkAboutC05-328 Colorado West Regional Mental Health - - - COLORADO WEST REGIONAL MENTAL HEALTH CENTER EMPLOYEE ASSISTANCE SERVICES CONTRACT THIS CONTRACT is entered into as of this 151 day of November, 2005, by and between Eagle County Government, with its principal office located at 0500 Broadway, Eagle, CO 81631 (hereinafter referred to as the Employer), and COLORADO WEST REGIONAL MENTAL HEALTH CENTER, INC. with its principal office located at 6916 Highway 82 (P.O. Box 40), Glenwood Springs, Colorado 81602 (hereinafter referred to as EAP Contractor). WITNESS: The Employer and the EAP Contractor do mutually agree as follows: I. STATEMENT OF WORK: The EAP Contractor shall, in a satisfactory and proper manner as determined by the Employer, perform the work as set forth in Exhibit "A", STATEMENT OF WORK, attached hereto and by this reference made a part of this Contract as if fully set forth herein. II. PERIOD: The EAP Contractor shall commence performance of this contract on the 1stday of November , 2005 _ and end on the last day of October, 2006. The initial term shall be for one (1) year from the commencement date. The term of this contract shall be automatically renewed for one (1) year on each successive commencement date until terminated by either party as provided by Section V of this contract. Upon renewal of this initial term and any subsequent term, the then applicable fees specified in Exhibit "B" of the contract shall apply unless otherwise amended by mutual agreement of both parties III. COMPENSATION: The EAP Contractor shall be compensated for services performed under this Contract, upon the submittal of invoices, by no more than the amounts set forth in Exhibit "B", CONTRACT BUDGET, attached hereto, and by this reference made a part of this Contract as if fully set forth herein. The EAP Contractor will submit monthly invoices to the Employer for any services provided the previous month. Employer agrees to pay all invoices within 30 days of receipt. LIMITATION OF COST: It is expressly understood and agreed that in no event will the total amount to be paid by the Employer to the EAP Contractor under the terms of this Contract exceed the amounts as detailed in Exhibit "B" for full and complete satisfactory performance of Statement of Work during the Contract period. If any payment in excess of such limit is made without specific written agreement, waiving this limitation, or any advance payment for services is made and the services are not provided, the EAP Contractor shall promptly refund such excess payment upon demand of the Employer. V. TERMINATION OF CONTRACT: The Employer or the EAP Contractor may terminate this contract prior to its expiration date by giving thirty (30) days written notice, notice to be delivered to the address of the principle office as identified in this contract. Each party will notify the other of any changes in the location of its principle office. VI. CHANGES AND AMENDMENTS: The Employer may, from time to time, request changes in the scope of the services of the EAP Contractor to be performed hereunder. Such changes, including any increase or decrease in the amount of the EAP Contractor's compensation, which are mutually agreed upon by and between the Employer and the EAP Contractor, must be incorporated in written amendments to this contract. This Part shall also apply to any other changes or modifications requested to be made by either party VII. COMPLIANCE WITH LAWS AND STANDARDS: Each of the parties hereto shall comply with all applicable laws, ordinances, codes, and lawful regulations, or Federal, State, and Local governments, and of public agencies having jurisdiction over any activity covered by this Contract. To the extent that there are standards of recognized professional and accrediting organizations which are relevant to such activities and if such standards are not in conflict with the terms of this Standard Form or the attachrnent(s)hereto, such standards shall also be deemed applicable hereto. VIII. CONFIDENTIALITY: The EAP Contractor agrees not to divulge any information obtained in the course of such service to unauthorized persons, and not to publish or otherwise make public any information regarding persons who have received services such that the person who received services is identifiable. The EAP Contractor further agrees to abide by the provisions of any additional or subsequent limitation on the disclosure of such information as may be made known by the Employer at any time after the date of execution of this contract (provided that no such limitation shall be deemed applicable on a retrospective basis). The restrictions imposed by this Part shall be made known by the employees and agents, and appropriate education and training regarding confidentiality requirements and procedures shall be given to any such employee or agent who is expected to have access to information of the type described herein. INDEPENDENT CONTRACTORS: The EAP Contractor shall, at its own cost and expense, maintain in full force and effect during the terms of this agreement the following policies of insurance: (a) General Comprehensive Liability Insurance against injury in a sum of at least $3,000,000 for all damages arising out of anyone occurrence of bodily injury, including death, at any time resulting therefrom and $1,000,000 for all damages arising out of injury to, or destruction of, property on anyone occurrence. In addition, this policy shall specifically include blanket contractual liability, completed operations coverage and medical malpractice insurance in limits of not less than $3,000,000. (b) Worker's Compensation insurance in accordance with the provisions of the Worker's Compensation Act of the State of Colorado, for all of its employees to be engaged in services, and in case services are subcontracted, the EAP Contractor shall require the subcontractor similarly to provide the Worker's Compensation insurance for all the latter's employees to be engaged in such services. X. INDEMNIFICATION: The EAP Contractor agrees to indemnify, defend and hold harmless the Employer, its respective agents, affiliates, officers, directors, servants and employees, of and from any loss, cost, damage, injury, liability, claims, liens, demands, actions or causes of action, whatsoever, arising out of or related to negligent acts, errors or omissions or that of its employees, consultants, etc., whether contractual or otherwise. The Employer agrees to indemnify, defend and hold harmless the EAP Contractor,(including its agents, affiliates, directors and employees) of and from any loss or claim filed arising from the Employer's negligent acts or omissions as related to the performance of this contract. XI. CENTER OPERATIONAL STANDARDS AND POLICIES: The EAP Contractor agrees to comply and to assure compliance by its employees with all operational standards, policies, and rules and regulations of Employer as may be applicable to the work to be performed pursuant to this contract. XII. ASSIGNMENTS: The Contract shall not be assigned by either party without the prior express written consent of the other party. The provisions ofthis contract and all obligations arising hereunder shall extend to, be binding upon, and inure to the benefits of the heirs, executors, administrators, successors, and assigns of each of the parties hereto. EAP face-face sessions providing assessment, information, brief counseling, and referral service to employees and their families with respect to health, mental health, alcohol, substance abuse and other personal problems which may affect an employee's job performance. . 24-hour emergency response 365 days a year. . Qualified clinicians in all Contractor's centrally located offices in the following counties: Eagle; Garfield; Grand; Jackson; Mesa; Moffat; Pitkin; Rio Blanco; Routt; Summit. . Spanish speaking clinician in Garfield County. . Access to Colorado West's website (WWW.CWffilhc.org) providing information on a variety of mental health topics. . Quarterly utilization reports. . On-site initial and ongoing EAP program promotion (employee orientations, brochures, newsletter, posters etc.). . Annual one-hour supervisor/manager training on effectively using the EAP to improve the performance of problem employees. . Comprehensive quality improvement system to evaluate, monitor, and ensure program effectiveness. . Seamless link to any other Contractor services beyond EAP sessions, (drug and alcohol programs, groups, child and family services, psychiatry, residential programs, detox, and adult services). . Monthly billing.
