DRAINAGE EASEMENT DEED AND VACATION
THI DRAINAGE EASEMENT DEED AND VACTION is made ±his 3 day of
~U6, 2004, between the Board of County Commissioners, County of Eagle, State of
Colorado (hereinafter "Grantor"), and Berry Creek Limited Liability Co., a Colorado limited
liability company, its successors and assigns, (hereinafter "Grantee").
WITNESSETH:
Grantor is the owner of certain real property described on Exhibit "B" attached hereto and
incorporated herein by this reference, more commonly referred to as Tract C, Recreational Parcel
of the Berry CreeklMiller Ranch Development.
Grantee is desirous of accepting an easement (hereinafter "Drainage Easement") on the Property
for the purposes of constructing and operating a storm water drainage system consisting of
swales, culverts, a retention basin, and other devices for the transportation of drainage from the
Berry Creek Housing Site at a location and on a route shown on Exhibit "B."
Grantor has previously granted to Grantee a drainage easement (hereinafter "Original Drainage
Easement") for the above-mentioned purposes at a location and under the terms and conditions
as described in the Original Drainage Easement, recorded in the Clerk and Recorder's Office of
Eagle County at Reception Number 839283, attached hereto as Exhibit "C" and incorporated
herein by this reference.
Grantee is desirous of changing the location of the Original Drainage Easement to the new
location proposed on Exhibit "B" for the purpose of more efficiently draining the Berry Creek
Housing Site to the newly constructed 2.6 acre retention pond located between Tract A and Tract
C of the Berry Creek/Miller Ranch Property.
Grantor and Grantee are desirous of granting this new location for the Drainage Easement and
vacating the location of the Original Drainage Easement under the terms, conditions and
agreements hereof.
GRANT OF DRAINAGE EASEMENT:
For the consideration set forth herein and other valuable consideration, the sufficiency of which
is hereby acknowledged, Grantor hereby grants to Grantee, anon-exclusive easement for the
purposes of constructing and operating a storm water drainage system consisting of swales,
culverts, a retention basin, and other devices for the transportation of drainage from the Berry
Creek Housing Site at a location and on a route shown on the attached Exhibit "B."
This Drainage Easement shall replace and supersede the location of the Original Drainage
Easement, but is expressly granted contingent upon all other terms and conditions set forth in the
Original Drainage Easement including Grantee's responsibility to pay the defined pro rata
portion of all ongoing repair and maintenance costs associated with the Drainage Easement

granted herein and any other drainage easements utilized by the Berry Creek Housing Site to
carry drainage to the 2.6 acre retention pond. Except for the alteration, modification and change
in the Drainage Easement location, all terms and provisions of the Original Drainage Easement
shall be applicable to the Drainage Easement granted herein, shall remain in full force and effect,
and hereby are ratified and confirmed ~n all respects as of the date hereof.
VACATION OF DRAINAGE EASEMENT:
Release is hereby given by Grantee of the location of that portion of the Original Drainage
Easement as delineated on Exhibit "A" attached hereto and incorporated by this reference.
Grantee, for good and valuable consideration, the receipt and sufficiency of which are hereby
confessed and acknowledged, releases the easement location described in this paragraph, it being
the intention of the parties to terminate said easement location. This release is for the location of
the Original Drainage Easement only. Grantee acknowledges that its acceptance of the new
Drainage Easement is expressly contingent upon all other terms and conditions set forth in the
Original Drainage Easement, including Grantee's responsibility to pay the defined pro rata
portion of all ongoing repair and maintenance costs associated with the Drainage Easement
granted herein and any other drainage easements utilized by the Berry Creek Housing Site to
carry drainage to the 2.6 acre retention pond.
MISCELLANEOUS:
This Drainage Easement is granted subject to prior, recorded grants of easements.
This Agreement shall be governed and construed in accordance with the laws of Colorado.
Venue for any action arising out of any dispute pertaining to this Agreement shall be in Eagle,
Colorado.
This Agreement and the rights and obligations created hereby shall be binding upon and inure to
the benefit of the Grantor and Grantee and their respective successors and assigns. Nothing
herein expressed or implied is intended or should be construed to confer or give to any person or
entity other than the Grantor or Grantee and their respective successors and assigns, any right,
remedy or claim under or by reason hereof of by reason of any covenant or condition herein
contained.
If any portion of this Agreement is held invalid or unenforceable for any reason by a court of
competent jurisdiction, such portion shall be deemed severable and its invalidity or its
unenforceability shall not affect the remaining provisions; such remaining provision shall be
fully severable and this Agreement shall be construed and enforced as if such invalid provision
had never been inserted into this Agreement.
This Agreement may be amended, modified, changed, or terminated in whole or in part only by
written agreement duly authorized and executed by both Grantor and Grantee. This Agreement
represents the full and complete understanding of the Grantor and Grantee and supersedes any

prior agreements, discussions, negotiations, representations or understandings of Grantor and
Grantee with respect to the subject matter contained herein.

EASEMENT AGREEMENT
For the consideration set forth rerein and other valuable consideration, the sufficiency of which is
hereby acknowledged, the Board of County Commissioners, County ~ of Eagle, State of
Colorado("Grantor"), hereby grants and conveys to the Berry Creek Limited Liability Co., a
Colorado limited liability company, its successors and assigns, ("Grantee"), non-exclusive easements
for the purposes of constructint, xnd operating a storm water drainage system consisting of swaies,
culverts, a retention basin, and d -4her devices (collectively referred to as "drainage easements") _`ar
the transportation of drainage from the Bent' Creek Housing Site at a location and on a route shown
on Exhibit "A" attached hereto and incorporated herein by this reference, which is a part of the
property commonly known as Tract C, Recreational Parcel of the Berry Creek/Miller Ranch
Development.
The drainage easements granted in this agreement shall be possessed and enjoyed by Grantee, its
successors and assigns, so long as the drainage easements shall be used by Grantee, its successors
or assigns in accordance with the terms and conditions of this Agreement. Grantee shall assign is
rights and obligations under this Agreement to the Miller Ranch Property Owners' Association upon
its formation. In the event that Grantee does not assign its rights and obligations within a reasonable
time. following the formation of the Miller Ranch Property Owners' Association, this Agreement
maybe terminated upon notice to the Grantee.
The drainage easements granted by this agreement are non-exclusive and Grantor reserves the right
to use for itself and to grant for others rights-of--way over, across or through the easement herein
granted, provided that they do not interfere with Grantee's easements herein. Grantor reserves the
right to use and enjoy the premises to the fullest possible extent without unreasonable interference
with the exercise by Grantee of the rights granted in this agreement. Without limiting the foregoing,
Grantor reserves the right to fence the whole or any part of the boundaries of the drainage easements,
to build fences crossing the drainage easements, and to place along, across, over and through the
drainage easements as many roads, streets, sidewalks, passageways, electric and power lines,
waterlines, sewer lines, gas lines, telephone poles, telephone lines and other utilities as Grantor may
desire subject only to the right of Grantee to use the same for purposes herein granted.
The Grantor and Grantee understand and agree that additional changes and modifications to the
drainage easements may become necessary due to County's continued construction of the Bevy
CreeklMiller Ranch Development. These changes and modifications may include, but are not
limited to: the construction of a larger retention basin with connecting swales and culverts at a
different location on the Berry Creek/Miller Ranch property. Currently, the Grantor is considering
the construction of an approximately five (5) acre retention pond between Tract A and Tract C of
the Berry Creek/Miller Ranch Property. Grantor, in its sole discretion, reserves the right to require
relocation of the drainage easements, which may include the use of underground transport of storm
water, to accommodate the future construction of any storm water drainage improvements. Grantee
agrees to comply with the relocation of the drainage easements upon notice by Grantor and bear the

costs of said relocation as stated herein.
Grantee agrees to be responsible for a pro rata portion of all ongoing repair and maintenance costs
associated witrr the current and any future drainage easements utilized by the Berry Creek Housing
Site. Grantee shall pay that portion of costs representing the volume of drainage generated from the
Berry Creek Housing Site in relation to the volume of drainage generated from Tract C, Recreational
Parcel of the Berry Creek/Miller Ranch Development. Such volume shall be based on the Drainage
Report detailing the subcatchment data fora 100-year storm for both the Berry Creek Housing Site
and Tract C, Recreation Parcel as prepared by Peak Civil Engineering and attached hereto as Exhibit
"B." Grantor and Grantee understand and agree that this report currently attributes approximately
ninety percent (90%) of the volume of drainage to the Berry Creek Housing Site and that this is a
fair and accurate representation of the volume of drainage generated by the Berry Creek Housing Site
in relation to the volume of drainage generated from Tract C, Recreational Parcel. Accordingly,
Grantee agrees to be responsible for 90% of all ongoing maintenance and repairs costs of the
drainage easements granted herein. Additionally, Grantee agrees to be responsible for any relocated
drainage easements in the same amount except that Grantee shall not be responsible for the
maintenance and repair costs of any future retention basin that maybe substantially larger than the
current basin. Grantee shall only be responsible for the costs associated with future swales, culverts,
and other devices necessary to transport the storm water to said future basin. This percentage of
costs shall not change during the duration of this Agreement unless stated so in a writing duly
authorized and executed by both Grantor and Grantee.
To complete the current storm drainage improvements for the Berry Creek Housing Site, Grantee
agrees to be responsible for the completion of the south drainage Swale as identified in Exhibit "A"
along with any remaining, necessary storm culverts in a manner acceptable to Grantor.
Additionally, Grantee agrees to be responsible for a pro rata portion of all construction costs
associated with future drainage improvements utilized by the Berry Creek Housing Site. Grantee
shall pay that portion of construction costs in the same percentage as that required for the ongoing
maintenance and repair costs. Accordingly, Grantee agrees to be responsible for 90% of all future
drainage improvements that maybecome necessary due to Grantor's decision to relocate the drainage
easements, except that Grantee shall not be responsible for the construction costs of any future
retention basin that may be substantially larger than the current basin. Grantee shall only be
responsible for the construction costs associated with future swales, culverts, and other devices
necessary to transport the storm water to said future basin. This percentage of costs shall not change
during the duration of this Agreement unless stated so in a writing duly authorized and executed by
both Grantor and Grantee.
Grantor shall perform or have performed all ongoing maintenance, repairs and construction in its
sole discretion. Grantee shall promptly pay its portion of these costs upon being notified by Grantor
of the same. Grantor agrees to reasonably attempt to notify Grantee prior to performing significant
maintenance, repairs and construction, however, failure by Grantor to so notify Grantee shall not
relieve Grantee of any of its obligations herein.

Grantor and Grantee agree that this Agreement may be enforced for specific performance, injunctive,
or other appropriate relief, including damages, as may be available according to the laws and statutes
of the State of Colorado. It is specifically understood that by executing this Agreement both the
Grantor and Grantee commit themselves to perform pursuant to these terms contained herein. In the
event that an action is brought to enforce this Agreement, the prevailing party shall be responsible
for the recovery if its costs and fees, including reasonable attorney's fees.
This Agreement shall be governed and construed in accordance with the laws of Colorado. Venue
for any action arising oft of any dispute pertaining to this Agreement shall be in Eagle, Colorado.

benefit of the Grantor and Grantee and their respective successors and assigns. Nothing herein

Tract C & Tract D Drainage Coordination
Dear Mr. Despeaux:
Stormwater discharged from Tract D will be conveyed into a detention basin at the western portion of
Tract C through a series of swales and culverts. The original drainage report for Tract C assumed all
stormwater discharging from Tract D would be conveyed in the Swale at the southern perimeter of Tract
C (Reach 11). Using the information provided by DLD Engineering, as listed in•the table below, for
proposed tract D basins A, B & C; the drainage model for Tract C was appropriately modified.

Attached is output from the drainage model for all downstream swaIes and culverts for the 100-year storm
demonstrating their ability to convey the required flow. The slight increments of one to two minutes in
the time of concentration, do not affect the characteristics and function of the detention basin as modeled
in the Tract C -Recreation Parcel - Phase I drainage report.
If constructed as specified all swales and culverts proposed for Tract C will adequately convey
stormwater from Tract D to the proposed detention basin located at the western portion of Tract C. The
detention basin will adequately reduce peak discharges for the 25-year and 100-year storms to the
flowrates specified in the Tract C-Recreation Parcel-Phase 1 drainage report.
