QUITCLAIM DEED

This indenture made this~5 day of'yy~F-P^~ , 2004, between UPPER
EAGLE REGIONAL WATER AUTHORITY (hereinafter referred to as the "Grantor")
and COUNTY OF EAGLE, a political subdivision of the State of Colorado, whose legal
address is P.O. Box 850, Eagle, Colorado, 81631 (hereinafter referred to as the
"Grantee").
Grantor, in consideration of $10.00 and other valuable consideration paid by
Grantee, does release and forever quitclaim unto Grantee, all the right, title, interest,
estate, claim, and demand, both at law and in equity, of Grantor, of, in, and to that
permanent easement together with the right of ingress and egress, to construct,
reconstruct, operate, repair and maintain utility lines and related appurtenances, in, on,
over, under and through that tract of land more particularly described in Exhibit "A"
attached hereto and incorporated herein by this reference together with all the
improvements, ways, easements, rights, privileges, and appurtenances held or owned by
or of Grantor in the above-described real property.

ACKNOWLEDGEMENT AND QUIT CLAIM
BERRY CREEK METROPOLITAN DISTRICT HEREBY ACKNOWLEDGES,
and to the extent necessary quit claims to the County of Eagle any interest it may have in,
this Quit Claim deed, dated March 25, 2004, from Upper Eagle Regional Water Authority
to County of Eagle; and
FURTHER ACKNOWLEDGES, that the Amended and Restated Master Service
Contract, dated January 1, 1998, conveyed to the Upper Eagle Regional Water Authority
all of its right, title and interest to all real and personal property related to the provision of
water service, subject to certain terms as contained therein; and
FURTHER ACKNOWLEDGES, that this property interest is being replaced with a
similar interest granted by the County of Eagle in a more convenient location.
