EASEMENT
For valuable consideration, Eagle County, a body politic and corporate, acting by and through
its. Board.of County Commissioners (hereinafter referred to as the "Grantor") hereby grants, sells
and conveys to the Upper Eagle Regional Water Authority, aquasi-municipal corporation of
the State of Colorado, whose legal address is 846 Forest Road, Vail, Colorado 81657 (hereinafter
referred to as the "Grantee"), the following real property situate in the County of Eagle, State of
Colorado, to wit:
A permanent utility easement thirty foot (30') in width, together with the right of ingress
and egress to construct, reconstruct, operate, repair and maintain utility lines and related
appurtenances, in, on, over, under and through that tract of land more particularly
described in Exhibit "A," which exhibit is attached hereto and incorporated herein by this
reference.
Together with all singular hereditaments and appurtenances thereto belonging, or in anywise
appertaining, and the reversion and reversions, remainder and remainders, rents, issues and
profits thereof; and all the estate, right, title, interest, claim and demand whatsoever, of the
Grantor, either in law or in equity, of, in and to the real property interest described in Exhibit
"A," with the hereditaments and appurtenances.
TO HAVE AND TO HOLD the real property interest described in Exhibit "A" and
described with appurtenances, unto the Grantee, its successors and assigns forever and the
Grantor, for itself, its heirs, successors and assigns, covenants, grants, bargains and agrees to and
with the grantee, its successors and assigns, that it has good right, full power and authority to
grant, bargain, sell and convey the same in manner and form as aforesaid, and that the same are
free and clear of alI former and other grants, bargains, sales, liens, taxes, assessments and
encumbrances of whatsoever kind and nature, subject to those liens, taxes, assessments and
encumbrances of record, if any; said real property interest to remain in the quiet and peaceable
possession of the grantee, its successors and assigns, against all and every person or persons
lawfully claiming or to claim the whole or any part thereof, by or through the Grantor, which
Grantor shall and will warrant and forever defend, except those matters currently of record.
Grantor, its heirs, successors, and/or assigns, shall not erect nor place any permanent
building, structure, improvement, fence or tree on the above-described easement, and Grantee
shall not be liable for their removal if they are so placed.
Acceptance of this easement by Grantee shall constitute its agreement and consent as
follows:
1. At such time and in the event that the described easement herein is abandoned,
Grantee's real property interest in the easement shall immediately revert to and be thereafter
merged with the servient estate.

2. Any facilities installed in the above-described easement shall be installed, maintained,
and operated so as to permit maximum use and enjoyment of the surface by Grantor, its heirs,
successors and assigns. In the event it is necessary to repair or replace the facilities, Grantee
shall restore the surface of the land as nearly as may be practicable to the same condition it was
in~ prior to such repair or replacement, provided no permanent building, structure, improvement,
fence or tree shall be placed thereon by Grantor.
