HomeMy WebLinkAboutC04-129 117 River Group, LP~~~ EASEMENT AGREEMENT THIS EASEMENT AGREEMENT (the "Agreement"), dated ~~~'---day of April, 2004 is made by and between 117 RNER GROUP, L.P., a Colorado limited partnership ("Grantor") and Eagle County, a political subdivision of the State of Colorado ("Grantee"). RECITALS A. Grantor is the owner of certain real property located in Eagle County, Colorado, described as Parcel 1, access parcels, Cliffside Village Condominiums, according to the plat recorded August 26, 1992 in Book 587 at Page 778, County of Eagle, State of Colorado, referred to herein as the "Access Road". B. Grantee desires to construct a pedestrian and bicycle trail adjacent to and across the Access Road on the land described on Exhibit "A" ECO Regional Trail, Dowd Junction to Avon Phase I, Construction Plans, August 11, 2003 attached hereto and incorporated herein (the "Trail"). C. Grantor desires to grant to Grantee, and Grantee desires to receive from Grantor, a non-exclusive easement over and across the portion of the Access Road more particularly described on Exhibit "B", attached hereto and incorporated herein (the "Easement Parcel"). AGREEMENT For good and valuable consideration as set forth in this Agreement, the receipt and sufficiency of which are hereby acknowledged, Grantor and Grantee make the following agreements and covenants: 1. Easement. Grantor provides to Grantee and its invitees anon-exclusive perpetual easement over and across the Easement Parcel, for crossing purposes only, and only by persons on foot or non- motorized vehicles such as bicycles or strollers except as maybe necessary for maintenance purposes. Provided that the use of the Easement Parcel by Grantee and its invitees is not unduly restricted, Grantor may make changes and alterations to the Easement Parcel in accordance with its sole and exclusive judgment so long as current construction standards and quality of the trail, including but not limited to pavement depth and width, striping and signing, are maintained. This easement is granted subject to all prior recorded grants of easements. 2. Non-exclusive Easement. This Agreement does not grant to Grantee the exclusive use of the Easement Parcel, and Grantor expressly reserves to itself and its tenants, invitees, grantees, licensees, agents, servants, employees and contractors the right to use the Easement Parcel for all legal purposes. During such times as Grantee is using the Easement Parcel it shall maintain, to the greatest extent possible, the free flow of vehicular traffic on the Easement Parcel and Grantee and each and every one of its invitees shall yield to any and all other users of the Easement Parcel. Cp-~-lad-03 3. Liability for Maintenance. During the period of this easement, Grantee shall be responsible for all maintenance and repair of the Easement Parcel and shall keep the Easement Parcel in good condition and repair, and free and clear of snow and debris; provided, however, Grantee shall not make any substantial alterations or improvements to the Easement Parcel without the prior written consent of Grantor. All costs and expenses in maintaining and repairing the Easement Parcel shall be paid by Grantee. 4. Personal Injury and Propert~Dama~e Liability To the extent allowed by law, Grantee shall be fully responsible for, shall pay for and agrees to defend, indemnify, protect and hold harmless Grantor from and against any claim, loss, damage, cause of action, liability, judgment, cost or expense (including, without limitation, reasonable attorneys' fees) arising from (1) bodily injury suffered by Grantee, Grantor, or any of their respective employees, agents, contractors, tenants, guests, licensees, grantees or invitees, or to any workman employed to complete maintenance or repairs under this Agreement, arising, in each case, from the use of the Easement Parcel by Grantee, or any of its employees, agents, contractors, tenants, guests, licensees or invitees, and (2) any damage to the Easement Parcel or to the personal or real property of Grantee or Grantor, or any of their respective employees, agents, contractors, tenants, guests, licensees or invitees, arising, in each case, from the use of the Easement Parcel by Grantee, or any of its employees, agents, contractors, tenants, guests, licensees, grantees or invitees. The obligation of Grantee to defend, indemnify, protect and hold harmless Grantor is absolute, unconditional, present and continuing, and shall not be dependent upon or affected by the genuineness, validity, regularity or enforceability, of any claim, loss, damage, cause of action, liability, judgment, cost or expense incurred by or asserted against Grantor. Notwithstanding the foregoing, Grantor and Grantee shall not be prohibited from challenging any claim asserted against Grantor or Grantee by any third party and neither Grantor nor Grantee are waiving the right to rely upon and be protected by any immunities, limitations, defenses, or bars to claims available to either Grantor or Grantee under the Acts against any claims asserted by any third party. The "Acts" shall mean the Colorado Governmental Immunity Act, C.R.S. 24-10- 101 et seq., the Colorado Recreational Liability Act, C.R.S. 33-41-101 et seq., or any similarly enacted statutes. Grantee shall be fully responsible and shall pay for general liability insurance for property and persons, to fully insure against bodily injury or death and property damage of whatever nature arising from or out of the use of the Easement Parcel by Grantee, or any of its employees, contractors, agents, tenants, guests, licensees or invitees or any workman employed to perform maintenance or repairs under this Agreement. Such insurance policy shall have reasonable limits of not less that $1,000,000 per occurrence. The policy shall name Grantor as an additional insured, shall obligate the insurance company to notify Grantor, at the address set forth below, of any change or cancellation at least 30 days before the effective date of the change or cancellation in coverage, and shall include a contractual liability endorsement sufficient to cover the indemnity set forth above. At least 24 hours prior to the execution of this Agreement, Grantee shall deliver policies of such insurance, certified copies thereof, or evidence of insurance using the Accord 25 S form, to Grantee. In the event Grantee fails to obtain or continuously maintain such insurance policy, Grantor shall have the right to terminate this Agreement, as further explained in paragraph 5 below. 2 5. Default. If Grantee fails to maintain the Easement Parcel in good condition and repair, maintain any insurance required to be obtained by Grantee hereunder or defaults in its performance of any other covenant or obligation of this Agreement, then Grantor may exercise all remedies, legal or equitable, to which Grantor is entitled bylaw or by the terms of this Agreement, including, but not limited to, the right to immediately terminate this Agreement without notice by Grantor to Grantee and the right to enforce, to the extent permitted by the laws of the State of Colorado, any other rights or remedies applicable to this Agreement by operation of law or contract. 6. Waiver. Waiver by Grantor of any one default will not be deemed to be a waiver of any other default under this Agreement. Any remedy or election under this Agreement will not be deemed exclusive, but instead, whenever legally permissible, will be cumulative with all other remedies at law or in equity. 7. Construction. The rule of strict construction does not apply to this Agreement. This Agreement shall be given reasonable construction so that the intention of the parties can be carried out. 8. Notice. All of the provisions of this Agreement, including the benefits and burdens, run with the land and are binding upon and inure to the benefit of the successors and assigns of the parties to this Agreement, subject to the provisions of this Agreement. 10. Attorne~Fees. In the event of any action or proceeding brought by either party against the other under this Agreement, the prevailing party shall be entitled to recover all costs and expenses, including reasonable attorneys` fees. 11. Choice of law and Venue. This Agreement will be governed by and enforced under the laws of the State of Colorado.
