SALES AGREEMENT This First Amendment ("First ~menr) to the Sales Agreement dated August 16, 1993 is made and entered into this day of December, 2003, by and between the County of Eagle, State of Colorado (hereinafter referred to as "COUNTY'), by and through its Board of County Commissioners and Eagle Computer Systems, Inc. (hereinafter referred to as "ECS"). COUNTY and ECS are collectively referred to as the "Parties." WITNESSETH: WHEREAS, on August 16, 1993 ECS and COUNTY executed a Sales Agreement (hereinafter referred to as the "Agreemenr) for purchase and installation of the ECS TIMS+plus System; and WHEREAS, the Parties now desire to amend the Agreement to provide for the installation of a Public Trustee Standard Module interface (hereinafter referred to as "EagleTrustee Standard Module") as stated in this First Amendment; and NOW, THEREFORE, in consideration of the promises and the mutual covenants and obligations set forth herein and in the original Agreement, the Parties agree as follows: AGREEMENT: 1. EagleTrustee Standard Module To expand the Public Trustee's capabilities to accommodate the needs of the general public and to manage and track Public Trustee foreclosures and releases of deeds of trust, ECS shall provide COUNTY with a perpetual, nonexclusive, and nontransferable license for the EagleTrustee Standard Module. COUNTY will purchase software licensing, staging and installation services, and training and implementation services for the Eagle Trustee Standard Module Interface software for a total of $19,720.00. The description of services and price breakdown is set forth below: Application Software Total $13,000.00 Staging and Installation $1,120.00 (Includes all professional services, travel time, expenses, and per diem costs for all staging and installation of network hardware and software.) Training and Implementation $5.600.00 (Includes all professional services, travel time and expenses, and per diem costs for training and implementation required for a successful implementation of the project.) $19,720.00 Billing for Software, Staging and Installation Services, and Training and Implementation Services shall take place as follows: December 9, 2003 $19,720.00 2. EagleTrustee Standard Module Software/Hardware Maintenance Services In addition, COUNTY will purchase one (1) year of Eagle Trustee Standard Module Interface support and maintenance for the Eagle Trustee Module Interface software in the amount of $630.00 per month. System Support Agreement fees will be invoiced on a monthly basis in the amount of $630.00 per month beginning on January 1, 2004. Software maintenance services and support include Error corrections, program maintenance, product upgrades, unlimited telephone and online support as defined in the existing System Support Agreement for TIMS+plus dated December 21, 2000. Hardware maintenance is not covered under this Agreement but can be provided on a time and materials basis if requested. 3. Receipting portion of Standard Module: It is hereby understood by the COUNTY that the receipting applet of the Standard Module is still under development and will not be delivered with the EagleTrustee Standard Module application. The receipting applet shall be delivered and installed at a later date (no later than December 31,2004) at no charge to the County. 4. Other Except as herein expressly amended, all other terms and conditions of the original Agreement shall remain in full force and effect. In addition, support hours and response times as specified in the Treasurer's current Support Agreement for TIMS+plus dated December 21, 2000 shall apply to the EagleTrustee Standard Module Software. 5. This First Amendment shall be binding on the Parties hereto, their heirs, executors, successors and assigns. 2 .~ IN WITNESS WHEREOF, the Parties hereto have executed this First Amendment on the day and year first above written.
