FIRST AMENDMENT TO THE SUB-LEASE AGREEMENT BETWEEN
EAGLE COUNTY SERVICE AND SUPPORT CORPORATION
AND
THE RESOURCE CENTER OF EAGLE COUNTY, INC.
This First Amendment (hereinafter referred to as the "First Amendment") to the Sub-
Lease Agreement between Eagle County Service and Support Corporation, a Colorado not-for-
profit corporation (hereinafter referre~j to as the "Sub-Lessor") and The Resource Center of Eagle
County, Inc., a ~plorado not-for-profiw,corporation (hereinafter referred to as the "Sub-Lessee")
is made this `°~- day of ~~er, 2003. Sub-Lessor and Sub-Lessee are collectively referred
to as the "Parties." ~e~ b
RECITALS
WHEREAS, on March 2, 1987, Eagle County by and through its Board of County
Commissioners, entered into a Lease Agreement with Echo Ranch, Inc. a Colorado not-for-profit
corporation for the purpose of the operation of a group home; and
WHEREAS, Echo Ranch, Inc. on October 1, 2000 assigned all of its rights and interests
in that Lease Agreement to the Eagle County Service and Support Corporation; and
WHEREAS, Eagle County Service and Support Corporation subsequently entered into a
Sub-Lease Agreement with The Resource Center of Eagle County, Inc. on January 8, 2002,
thereby leasing via this Sub-Lease Agreement certain premises more specifically described in
"Revised Exhibit B" to the Sub-Lease Agreement; .and
WHEREAS, the Parties now desire to amend the leased premises in order to provide
additional area for improvements.
NOW, THEREFORE, in consideration of the mutual promises set forth herein, in the
Sub-Lease Agreement and in the Lease Agreement, the Parties agree as follows:
AGREEMENT
1. "Revised Exhibit B" to the Sub-Lease Agreement of January 8, 2002, is hereby
replaced by "Exhibit 1," attached hereto and incorporated herein by this reference. "Exhibit 1" is
a map of the Echo Ranch Lease Parcel and includes the amended property description. The
Parties agree and understand that "Exhibit 1" illustrates buildings and property in addition to the
leased premises. Those additional buildings and property maybe used for any purpose the Eagle
County Service and Support Corporation and Eagle County deem appropriate.
2. The leased premises shall include the property described in the Echo Ranch Lease
Legal Description, attached hereto as "Exhibit 2" and incorporated herein by this reference.
3. Except as herein expressly amended, the terms and conditions of the Sub-Lease
Agreement and Lease Agreement shall remain in full force and effect.

4. If any conflict exists between the provisions of this Amendment and the original Sub-~
Lease Agreement, the provisions of this Amendment shall control.
5. This Amendment shall be binding on the Parties hereto, their heirs, executors,
successors and assigns.
IN WITNESS WHEREOF, the Parties hereto have executed this First Amendment to
the Sub-Lease Agreement between Eagle County Service and Support Corporation and The
Resource Center of Eagle County, Inc. on the day first written above.
