This Memorandum of Understanding is between, Eagle County Health & Human Service,
Colorado West Mental Health, and Family Learning Center for purposes of providing early
childhood coaching and consultation services with Family Learning Center during the calendar
year 2003.
The parties agree to work cooperatively in the implementation of coaching and consultation services
to p rovide o n-site c oaching a nd consultation in early childhood development, socio-emotional
learning, child health, learning environments, and access to individualized family mental health.
Colorado West Mental Health
Colorado West Mental Health, through the Coaching and Consultation Program,
agrees to conduct the following services without cost to Family Learning Center and enrolled
children and families:
i. Conduct an assessment of needs and strengths with staff and parents to identify
classroom, staff, family and child behavioral needs
ii. Develop and assist in implementing program intervention strategies in conjunction
with childcare program staff and parents that will create positive, age-appropriate
learning and mental health environments for preschool age children.
iii. Provide referral and service coordination services for families requesting counseling
and treatment services for preschool age children. Payment for individual
counseling and treatment services will be funded through private insurance, Medicaid
or other fee for service arrangements and will not be funded through this contract.
iv. Colorado West Mental Health assures that a clinician licensed by the State of
Colorado appropriately supervises all staffproviding services under this agreement.
v. Colorado West Mental Health will maintain client confidentiality regarding all
children identified and served under this agreement. All child and family services
provided under this agreement will be with the express permission the child's
parent(s) or legal guardian.
vi. Colorado West Mental Health will safeguard information and confidentiality of the
child and the child's family in
accordance with rules of the Colorado Department of Human Services and Eagle
County Health & Human Services.
vi. In accordance with mandatory reporting requirements, mental health providers will
report any suspected child abuse or neglect.
vii. Licensing concerns will be discussed with the program prior to reporting it to the
appropriate licensing authority.
The parties to this Agreement intend that the relationship of Colorado West Mental Health to the
County is that of independent contractor. No agent, employee or volunteer of the Colorado West
Mental Health shall be deemed to be an agent, employee or volunteer of the County.

The Family Learning Center agrees to participate in development of a plan for coaching and
consultation services that meets the needs of children, parents and program staff. The program will
advise the Coaching and Consultation Program of any and all other coaching, consultation, and
program improvement activities occurring with and in the program.
The Family Learning Center shall indemnify and hold harmless Colorado West Mental Health and
the County, its Board of Commissioners, and the individual members thereof, its agencies,
departments, officers, agents, employees, servants and its successors from any and all demands,
losses, liabilities, claims or judgments, together with all costs and expenses, including but not limited
to attorney fees, incident thereto which may accrue against, be charged to or be recoverable from the
County, its Board of Commissioners, and the individual members thereof, its agencies, departments,
officers, agents, employees, servants and its successors, as a result of the acts or omissions of
Contractor, its employees or agents, in or in part pursuant to this Agreement or arising directly or
indirectly out of Contractor's exercise of its privileges or performance of its obligations under this
Agreement.
Eagle County Health & Human Services agrees to:
i. Monitor the provision of Coaching and Consultation Services under the provisions of
its contract with Colorado West Mental Health.
ii. Coordinate access to treatment service funding through Medicaid, Family Issues Cash
Fund, CORE Services, TANF/Child welfare services and other treatment programs
through Health & Human Services.
Termination: The County may terminate this Agreement upon ten (10) days written notice to the
early child care program if it is deemed by the County in its sole discretion, that the early
childhood program or Colorado West Mental Health is not fulfilling the program as specified in
this Agreement, or for any other reason. The early childhood program may also terminate this
agreement upon ten (10) days written notification for any reason.
