WHEREAS, CMC is a public junior college district organized under the Junior College Organization Act, Section 23-71-101 et seq., Colorado Revised Statutes; and WHEREAS, CMC offers programs leading to an Associate of Applied Science in Nursing and a Certificate of Occupational Proficiency for Practical Nursing, an integral part of which is a clinical rotation experience; WHEREAS, Facility operates a health care facility in Ea ~ 1 e County, Colorado, which facility is licensed by the S f c~-~, a~ C O (0 t a d o ;and WHEREAS, both parties agree that it is in their mutual interests to work together to provide a clinical rotation experience for CMC nursing students in a manner that will enable them to meet course and program objectives. NOW THEREFORE, for good and valuable mutual consideration which the parties agree is sufficient, the parties agree as follows: A. TERM 1. The term of the agreement is from the last signature date below until June 30,~po y, unless earlier terminated or extended as provided below. a. The term may be extended for rolling 1 -yeaz terms, by written agreement prior to the end of each CMC fiscal yeaz. CMC's fiscal yeaz runs from July 1 through June 30. b. If the program is not successful in the opinion of CMC or the Facility, it may be phased out, and this contract ternnated, over a i -yeaz period, so that students who have started the program may have an opportunity to complete it. If either party desires to terminate the contract under this provision, it shall give notice to the other not later than ~O b dl a~ ~ before the end of the contract yeaz preceding the ~ yeaz phase-out period. c. This agreement may be terminated at any time if so required or ordered by the state Boazd for Community College and Occupational Education ("SBCCOE"), or other governmental entity. If this occurs, CMC will give as much advance notice as possible to Facility. • ... B. DEVELOPMENT AND OPERATION OF CLINICAL ROTATION PROGRAM 1. The parties shall work together to develop a clinical rotation program which meets the needs and objective of both parties; is consistent with the College's curriculum requirements, educational objectives, policies, procedures; and is consistent with the Facility's objectives, policies, regulations, procedures and practices. The College shall have final control of curriculum decisions: Planning shall be completed at least two months before the beginning of the clinical rotation. 2. Once defined, the program shall not be changed except by express advance agreement of the parties. The intent of this section is to insure that any changes in the program will not disrupt or interfere with the completion of the program by any student. 3. The parties shall meet not less often than annually, in or about November of each year, to discuss the progress and status of the program, and to make any modifications and changes deemed appropriate to improve and carry on the program. 4. Advisory Committee: Representatives from the community and clinical facilities will be invited to serve as an Advisory Committee member for CMC. The Purpose of the Advisory committee is to advise CMC administrators and occupational and academic programs. The CMC Program Advisory Committee Handbook provides the criteria for the Advisory Committee. C. RESPONSIBILITIES OF COLORADO MOUNTAIN COLLEGE The responsibilities of CMC shall be as follows: 1. CMC shall work with the Facility to plan the clinical rotation program as set forth in pazagraph 2 above. 2. CMC shall at all times conduct its program in accordance with facility policies and procedures regazding practice issues, confidentiality, and number and scheduling of students. 3. CMC shall, in cooperation with the Facility, instruct its faculty, staff, and students regazding Facility policies and procedures prior to the start of the student clinical experience. 4. CMC shall provide insurance covering professional liability of faculty, staff and students, and to provide workmen's compensation insurance. 5. CMC shall require that all faculty, staff and students participating in the program meet Facility health requirements including but not limited to rubella screening, Hepatitis B vaccination, TB testing; and to furnish facility with copies of any necessary documentation. Facility shall be responsible for determining whether documentation or screening is sufficient to meet regulations. Facility shall not be responsible for the cost of any tests or examinations. 6. CMC shall require that all faculty, staff and students be clearly identified for the clinical rotation by means of appropriate uniforms and ID badges. 7. CMC shall obtain any approvals necessary from the Colorado Commission on Higher Education ("CCHE") and State Board for Community Colleges and Occupational Education ("SBCCOE"), and to state and federal agencies as required. Facility shall reasonably assist in this process upon request from CMC. 8. CMC shall undertake the following with regazd to its students: a. CMC shall prepare its students educationally for the clinical experience in the facility by providing appropriate classroom instruction and laboratory experience. b. CMC shall provide the facility with a list of the names of students participating in the clinical rotation. c. CMC shall require all students: 2 r (1) 'participate in agreed orientation at the~cility prior to the clinical rotation, and become familiaz with the policies, procedures, systems, practice issues, and program agreement between CMC and Facility. (2) To maintain their own health insurance, and assume responsibility for any health care service not covered by that policy. (3) To communicate cleazly to the instructor when assistance is needed during the clinical rotation. (4) To complete all assignments and report to both the instructor and Facility staff involved in the Gaze of the patient. (5) To abide by Facility policies, procedures, regulations, and practice rules, and to follow course guidelines mutually agreed upon by CMC and Facility. (6) To notify the instructor or appropriate Facility staff immediately of any problems, incidents, or injuries occurring during the clinical experience, and to follow Facility procedures related there to. (7) To weaz appropriate uniforms or attire and identification, to identify self to patients as a student, and to administer care only under the supervision of the instructor, and only to consenting patients. d. CMC shall inform its students that they shall have no access to the clinical areas of Facility except at times scheduled and agreed as part of the supervised clinical program. e. CMC shall, in cooperation with facility, instruct students regazding Facility regulatory requirements prior to clinical assignment, including but not limited to CPR certification and OSHA regulations; and to furnish Facility with copies of any necessary documentation. f. CMC shall perform all supervision, grading, record keeping, instruction, and discipline of students of the College, in compliance with laws, policies, and procedures regazding due process and confidentiality rights of students. 9. CMC shall undertake the following with regazd to instructors and staff: a. CMC shall provide instructors and staff to supervise the students directly in the performance of patient care. b. CMC shall require all instructors and staff to: (1) Participate in orientation at the facility prior to the clinical rotation, and becoming familiaz with the policies, procedures, systems, practice issues, and program agreement between CMC and Facility. (2) Work collaboratively with the management of the Facility to meet the objectives of the program, including periodic consultation with facility staff to review student progress and program operation. (3) Directly supervise students and be readily available at all times. (4) Facilitate communication between students and Facility personnel, for the purpose of coordinating and assuring continuity of caze. (5) Assist in resolving any problems involving students. (6) Assist students in a positive way to meet the clinical rotation objectives. (7) Adhere to College and Facility policies, procedures, rules and regulations regarding the clinical program and patient caze. (8) Assist in student discipline as needed, consistent with student due process rights, including but not limited to removal from the clinical azea of any student who does not abide by the Facility's rules, or is disruptive, or whose actions jeopardize patient welfaze. `~, c. RESPONSIBILITIES OF FACILITY The responsibilities of the Facility shall be as follows: 1. Facility shall grant reasonable access to CMC's faculty, staff and students, for the conduct of a clinical rotation program consistent with this agreement. Facility will also allow reasonable access by CMC faculty, staff and students to its food service and pazking facilities at usual fees. 2.. Facility shall work with the College to plan the clinical rotation program as set forth in paragraph 2 above. 3. Facility shall work with CMC to provide instruction and orientation to CMC faculty, staff, and students, especially regazding the policies, rules, practices, and regulations with which Facility expects CMC faculty, staff and students to comply. 4. To timely inform and update CMC regazding any and all policies, procedures, rules, regulations, or requests, with respect to clinical practice under this program at the Facility. 5. Responsibility for patient Gaze remains with Facility notwithstanding any provisions of the Agreement. 6. Facility shall not be responsible for transportation, uniforms, or other expense incurred by CMC faculty, students, or staff in connection with the clinical rotation. E. GENERAL PROVISIONS 1. CMC's faculty, staff and students shall not receive any pay, salary, wage, or other compensation from Facility while engaged in activities under the clinical rotation program. Z. The parties aze independent contractors, and no employees or agents of either party shall be deemed to be agents or employees of the other. CMC students shall not be deemed to be employees of Facility. 3. CMC's financial obligations hereunder, if any, aze subject to annual appropriation of funds by its Board of Trustees. 4. Each party agrees to take reasonable measures to maintain a high level of professionalism in the conduct of this program. 5. Facility shall not discriminate on the basis of race, color, creed, sex, national origin, ancestry, disability, or age, or in any other way contrary to CMC policies and procedures. Facility may from time to time issue reasonable, non-discriminatory rules and regulations governing the conduct of CMC faculty and students, provided that such rules and regulations aze discussed with CMC before implementation. Subject to the above, Facility may refuse access to any faculty, staff, or student of the college who does not meet Facility's standazds of safety, health, or ethical behavior. 6. The College and Facility reserve the right to temporarily suspend the clinical programs if either party determines that the program is not working. 7. Each party will be solely responsible for its acts and the acts of its agents and employees in the performance of this agreement, and shall indemnify and hold the other party harmless from and against all claims and demands in connection with such acts. 8. Students shall be admitted to the program, and classes shall be offered, on a basis, which will make the program and classes eligible for FTE funding under applicable regulations of the State of Colorado. 9. This agreement shall be interpreted and enforced according to the laws of the State of Colorado. Venue shall be proper in only state court in (~,r~~ end County, Colorado unless otherwise agreed. 4 r • • 10. In the event of a la~t concerning this Agreement, the sub~tially prevailing party shall be entitled to an awazd of reasonable attorney fees and costs. 11. This is the entire agreement between the parties and supersedes all prior agreements and discussions. This agreement may not be modified except in writing signed by both parties. 12. This Agreement may not be assigned by either party without prior written consent of the other. Subject to this provision, however, this Agreement shall be binding on and shall inure to the benefit of the successor and assigns of the parties. 13. If either party is prevented from performing any of its obligations hereunder by an occurrence beyond its reasonable control such as but not limited to acts of God, inclement weather, fire, flood, waz, riot, strike, or lack of common carver transportation facilities, then the party affected shall be excused from performance so long as such occurrence exists. 15.
