Prior to commencement of work, a retainer of $ N/A will be received to be credited against the final billing. Client shall
compensate Wright Water Engineers, Inc. monthly for services and expenses as set forth in the attached Schedule of Hourly Rates
(SchedWe B).
The total invoiced amount shall not exceed by more than 10% the estimated professional fee of $4,500.00, plus expenses without further
negotiation and further written agreement between Wright Water Engineers, Inc. and the Client. Should work beyond that described in
the Scope of Services be required, it will be paid for as extra work at a cost to be agreed upon prior to commencement of the additional
work. If Wright Water Engineers, Inc. hires an attorney to collect any money due it under this Agreement, Client shall pay Wright Wa-
ter Engineers, Inc. all reasonable attorney's fees and costs that it incurs in that collection effort

The undersigned represents and warrants that he is the duly appointed and authorized agent of the Client and that he is authorized by the
Client to enter into this Agreement, in the amount specified, on behalf of the Client. However, the undersigned agrees that if the Client
does not pay Wright Water Engineers, Inc. the monies due it, when due, under this Agreement that the undersigned will guarantee that
obligation by promptly making payment to Wright Water Engineers, Inc., in full, of the unpaid balance due Wright Water Engineers,
Inc. under this Agreement.

• Automobile at 38 cents per mile.
• Four-wheel drive vehicle at 50 cents per mile.
• AutoCAD at 15 dollars per hour.
• Computer at 10 dollars per hour.
Seven and one-half percent (7.5%) will be added to all reimbursable expenses to cover
administration for special consultants, independent laboratory tests, direct printing costs,
telephone, supplies, lodging and subsistence, in-house computer, auto, postage, fax, and
travel.
TERMS OF PAYMENT: It is agreed that this account will be billed on a monthly basis.
Unless otherwise approved by the Company, payment is due upon receipt of invoice. Mail
payment to the main office of the Company at 2490 West 26th Avenue, Suite 100A, Denver,
Colorado 80211. If payment is not received, client agrees to pay interest at the rate of 1.5
percent per month on the outstanding balance. This does not constitute a credit arrangement, and
in no case shall the minimum payment be less than 33 percent of the amount billed. ff account is
placed with an attorney for collection, client agrees to pay court costs and reasonable attorney
fees. The liability of Wright Water Engineers, Inc. for losses or damages arising out of the
errors, omissions, or negligence of Wright Water Engineers, Inc. while providing professional
services shall be limited to the total fee due Wright Water Engineers, Inc. pursuant to this
agreement.

Wright Water Engineers, Inc. (WWE) is pleased to present this engineering proposal to define
the facts and develop a plan for Eagle County (County) to acquire adequate Robinson Ditch
water from the U.S. Forest Service (USFS) to meet the ultimate irrigation needs of the County's
community center (formerly the USFS Mt. Sopris Tree Farm) near Basalt, Colorado. WWE will
prepare this report under the general guidance of Jeff Houpt and yourself.
WWE has long been familiar with the Robinson Ditch and the Mt. Sopris Tree Farm property.
We will rely, in part, upon this history and experience to prepare our report and
recommendations. We understand that this report may be the basis for negotiations between the
County and the USFS to acquire the water.
We propose to undertake the following scope of work.
1. Working with County personnel, we will review and document the irrigation water
requirements for the Community Center.
2. WWE will review available reports regarding the Robinson Ditch and the Mt. Sopris Tree
Farm including documentation regarding the transfer of the land to the County.
3. WWE will review and document the historic use of Robinson Ditch water at the Mt.
Sopris Tree Farm. The analysis will include prorating the historic use between the
current lands owned by the County and those retained by the USFS. Historic use of the
Mt. Sopris Tree Farm wells will also be integrated into the analysis.
4. WWE will consult with you, Mr. Houpt, Rich Cunningham, and possibly USFS
personnel regarding this analysis.
5. WWE will prepare an engineering report documenting the findings of the above work
items and will make recommendations on the appropriate amount of water rights that
should be transferred from the USFS to the County to meet the ultimate irrigation
requirements of the Community Center.

We propose to undertake the above scope of work on an hourly rate basis in accordance with the
attached rate schedule. We estimate the cost to complete Tasks 1 through 5 will be $4,500 plus
direct costs. If this proposal is acceptable, please sign the attached Project Agreement and return
it to our Glenwood Springs Office.
