SERVICES AGREEMENT
Siemens Business Services Inc.
And
Eaale County, Colorado
This Agreement, is beiween the County of Eagle, Colorado, a body corporate and politic ("Customer, with its principal place of
business located at 500 Broadway, Post Office Box 850, Eagle, Colorado 81613,
and Siemens Business Services, Inc., ("SBS"), with its principal place of fstisiness located at 101 Merritt 7, 6~' Floor, Norwalk,
Connecticut 06851.
RECITALS
WHEREAS, Customer and SBS intend by this Agreement to set forth the scope of the responsibilities of both parties in
connection with the Services (as defined below) and related terms and conditions to govern the relationship between
Customer and SBS in connection with the Services.
NOW, THEREFORE, in consideration of the premises and the mutual covenants and agreements set forth herein, the
parties agree as follows:
SECTION 7. SERVICES
1.1 SBS will provide Customer with qualified
employees, consultants or subcontractors ("StafP7
to perform support, consulting, design, acquisition,
project management, Implementation and related
computer services, as more fully described in the
Statement(s) of Work ("SOW7 either attached or
subsequently entered into by mutual agreement of
the parties ("Services'.
1.2 SBS will require its Staff working on Customer's
premises to observe at all times currently
implemented security and safety policies and
normal business hours of Customer, as may be
communicated in writing to SBS from time to time.
1.3 In performing under this Agreement, SBS will be an
independent contractor, and nothing in this
Agreement will be interpreted or construed as
creating or establishing an employer-employee
relationship, an agency relationship, a partnership
or joint venture between the parties.
1.4 In the event that any products purchased or
licensed by Customer are subject to shrink-wrap,
on screen or similar license or other agreements
that must be accepted during any Service
performed by SBS, Customer authorizes SBS to
accept the terms of such agreements on behalf of
Customer.
SECTION 2. TERM OFAGREEMENT
2.1 The term of this Agreement will be effective on
February 25, 2003 and continue through
December 31, 2003 (°Initial Term' and will be
renewable by mutual agreement of the parties for
successive terms (°Renewal Terms' of one (1)
year each. Nofin-ithstanding the foregoing, the
Agreement will continue until the completion or
termination of the last SOW outstanding, unless
earlier terminated as set forth herein. The term
for particular Services provided under this
Agreement is as stated In each SOW.
2.2 Customer may, in its sole discretion, terminate
this Agreement, with or without cause. Customer
may do so upon thirty (30) days' written notice to
SBS. Upgn such termination each party shall be
relieved of any obligations under this Agreement,
subject to the provisions of Section 13.9 hereof.
Customer shall only be liable for Services
satisfactorily completed by SBS (that Is,
completed in accordance with the applicable
SOW(s)) prior to the date of termination and SBS
shall be required to complete Services for which
they have already been compensated by
Customer, except in the event SBS terminates
this Agreement for cause.
2.3 SBS may terminate th1s Agreement, if Customer
shall neglect or fail to perform or observe any of
the covenants herein contained on its part to be
performed or observed, and Customer shall fail to
remedy such default within twenty (20) days after
SBS has given Customer written notice
specifying such neglect or failure, or within such
period, if any, as may be reasonably required to
cure such default if it is of such a nature that it
cannot be cured within such twenty (20) days,
provided Customer commences to remedy such
default within such twenty (20) days and
proceeds with reasonable diligence thereafter to
cure the default.
SECTION 3. PRICE; PRICE ADJUSTMENTS; BILL/NG
AND PAYMENT TERMS
3.1 The prices charged for the Services shall be set
forth in the SOW. Any changes in the SOW shall
be made in accordance with the Project Change
Request Process asset forth in such SOW.
3.2 Unless otherwise provided in the SOW, billing for
Services with an initial term of one (1) year or less

will be monthly, and for Services with an initial term
of greater than one (1) year will be quarterly.
3.3 Customer agrees. to pay SBS the actual and
reasonable expenses incurred by SBS Staff in the
performance of the Services, unless the prices in
the SOW specifically include such expenses.
3.4 Payment will be made net thirty (30) days from date
of invoice. In the event of any dispute over
amounts invoiced, Customer agrees to pay all
undisputed amounts within thirty (30) days.
Customer agrees to pay a finance charge of three
fourths (3/4~ %) percent per month, but not in
excess of the lawful maximum, on all past due
invoices. In the event of litigation or collection
activity arising out of Customer's non-payment, the
prevailing party will be entitled to reasonable costs
and expenses incurred, including attorneys' fees.
SBS reserves the right to suspend performance if
Customer is in arrears.
3.5 Customer will provide SBS with a valid exemption
certificate from the applicable taxes. In the event
that Customer fails to provide such exemption,
then, Customer is solely responsible for payment of
any taxes (including sales, use, intangible and
property taxes) resulting from Customer's purchase
or use of the Services, other than taxes based on
the income of SBS.
SECTION 4. REPRESENTATIONS AND WARRANTIES
4.1 Services will be provided in accordance with the
provisions set forth in the SOW(s) and will be
performed in a professional manner by SBS Staff
using reasonable care and having a level of skill
commensurate with the requirements of this
Agreement.
4.2 Any product, materials or programs created by SBS
and provided to .Customer pursuant to this
Agreement do not and will not infringe any U.S.
copyright or trademark, or misappropriate any other
intellectual property rights of any third party in any
manner that would have an adverse effect on
Customer.
4.3 With respect to any part, product, or software
("Products sold, distributed, licensed or supplied by
SBS in connection with the Services, to the extent
permitted by the manufacturer or licensor of such
Product, SBS will pass through to Customer all
warranties provided by the manufacturer or
licensor. At SBS's option, replacement parts may
be new or reconditioned.
SBS makes no warranty, express or implied, with
respect to any product and, other than the pass
through of warranties as described above, has no
responsibility for product warranties or indemnities
or the manufacturer's performance or failure to
honor any such warranty or properly perform
warranty services.
4.4 Except as otherwise specifically provided in this
Section 4, SBS MAKES NO WARRANTIES,
EXPRESS OR IMPLIED, WITH RESPECT TO ANY
SERVICE, PRODUCT OR PART SOLD OR
SUPPLIED BY SBS, AND SBS EXPRESSLY
•
DISCLAIMS ANY IMPLIED WARRANTY OF
MERCHANTABILITY, YEAR 2000 COMPLIANCE,
OR FITNESS FOR A PARTICULAR PURPOSE.
4.5 Customer recognizes that the use of computer
products may entail a substantial risk of loss,
damage, corruption or mistransmission of stored
data and of software CLoss of Data', and that
industry standards dictate Customer's systematic
use, in conjunction with any central processingynit,
computer products or other technology that uses
software or stores data, of products that provide
comprehensive back-up of data and software so as
to prevent such loss. Customer assumes all risk of
Loss of Data in any way related to or resulting from
the provision of Services hereunder.
Notwithstanding the foregoing, to the extent that
any such Loss of Data is caused by the negligent
acts or omissions of SBS, SBS agrees to provide
Customer with commercially reasonable
assistance, at no charge to Customer, to restore
the lost data from Customer's most recent available
back-up. The foregoing sets forth the sole and
exclusive remedy of Customer, and the entire
obligation and liability of SBS, as to any claim
relating to Loss of Data.
4.6 Customer owns or has license or other rights
sufficient to provide SBS with the right to use
(including the right to sublicense these rights to
subcontractors), all software, hardware, equipment,
systems, documentation and other materials or
information that are owned, licensed or used by.
Customer during the term of this Agreement, as
SBS may reasonably require in connection with its
performance of Services under this Agreement,
without charge.
4.7 Customer will provide SBS with the facilities and
resources, including office and storage space,
required for the performance of .the Services,
without charge. These facilities and resources will
be reasonably safe and secure, .in appropriate
locations, with adequate furniture, telephone,
computer connectivity, electric power, lighting, heat
and air-conditioning, and in no event will be less
than Customer provides to its own employees.
4.8 Customer will provide SBS with access to
Customer's facilities, personnel, equipment and
systems, whether provided or maintained by SBS,
Customer or third parties, as necessary for the
performance of the Services without charge.
Additionally, Customer will provide access to other
facilities such as parking, without charge or, at
least, at prices no higher than are charged to
Customer's own employees.
4.9 Customer will provide SBS with the assistance and
cooperation of its management, personnel and
contractors in support of SBS's performance of the
Services as set forth in the SOW, without charge.
4.10 The parties have full legal and corporate power and
authority to enter into this Agreement. Neither SBS
nor Customer is subject to any agreement or other
constraint that would prohibit, restrict or adversely

affect its right or ability to enter into, or carry out its
obligations under, this Agreement. This
Agreement, when executed, will become the legal,
valid and binding obligation of the respec4ve
parties, enforceable against them in accordance
with its terms.
SECTION 5. /NDEMN/FICATIONS
SBS ("Indemnifying Parly'~ will provide the following
indemnifications to Customer (°Indemnified Party"), but
only if the Indemnified Party promptly provides the
Indemnifying Party with written notice of any covered claim
and the Indemnified Party allows the Indemnifying Party
the opportunity to control the defense and any related
settlement negotiations, with full cooperation of the
Indemnified Party:
(a) Intellectual Property
The Indemnifying Party agrees to hold harmless, and
indemnify the Indemnified Party, its directors, officers,
employees and agents, ftom and against any and all
costs, damages and attomeys fees that may be
awarded by final judgment of a court of competent
jurisdiction in the United States (°U.S.7 for any third-
party claims, and. to defend the Indemnified Party
against such claims, at the Indemnifying Party's
expense, in connection with any product, materials or
programs created by the Indemnifying Party and
provided to the Indemnified Party pursuant to this
Agreement (°Covered Product) for infringement of any
U.S. copyright or trademark, or any other
misappropriation of intellectual property rights, held by
any third party, except to the extent attributable to the
acts or omissions of the Indemnfied Party, and
provided that the Indemnifying Party will have no
obligation with respect to any such costs, damages,
fees or claims to the extent arising out of or in
connection with:
(i) information or materials not provided by the
Indemnifying Party or Covered Product created to
Customer's specifications or under the direction
of Customer;
(ii) the Indemnfied Party's misuse or unauthorized
modification of the Covered Product;
(iil)the Indemnified Party's failure to use corrections,
enhancements or updates provided by the
Indemnifying Party;
(iv) use of the Covered Product in a manner in
excess of that permitted under any applicable
license; or
(v) the use or operation of the Covered Product in
combination with devices, data, programs or
services not supplied by the Indemnifying Party.
If a claim covered under this Section 5(a) is made or
threatened, the Indemnifying Party may, at its option, (i)
provide to the Indemnified Party the rights necessary to
continue to use the Covered Product; (ii) modify the
Covered Product to render it non-infringing; (iii) furnish the
Indemnified Party with anon-infringing substitute for the
Covered Product that is comparable in function and
performance; or (iv) refund to the Indemnified Party any

amounts paid to the Indemnifying Party for the Covered
Product. The provisions of this Section 5(a) set forth the
entire obligation of SBS, and Customer's sole remedy(ies),
with respect to any claim or matter referred to in Sections
4.2 or 5(a) of this Agreement.
(b) Injury or Property Damage
The Indemnifying Party agrees to hold harmless,
indemnify and defend the Indemnified Party, its
directors, officers, employees and agents, from and
against any and all costs, damages and attomeys fees
that may be awarded by final judgment of a court of
competent jurisdiction in the United States for any third
party claims in connection with the performance of
Services arising out of:
(i) any claim for bodily injury or death; or
(li) any claim for damage to tangible properly,
except to the extent attributable to the acts or
omissions of the Indemnified Party.
(c) Wages and Benefits
SBS agrees to hold harmless, indemnify and defend
Customer,.its directors, officers, employees and
agents, from and against any and all costs, damages
and attomeys fees that may be awarded by final
judgment of a court of competent jurisdiction for any
third party claims, and to defend the Indemnfied Party
against such claims, at the Indemnifying Party's
expense, arising out of claims of an SBS Staff person
for wages or benefits in connection with the
pertormance of Services by SBS hereunder.
SECTION 6 LIMITATION OFLIABILITY
6.1 Regardless of the basis of any claim (whether an
action in contract or tort), SBS's total liability will be
limited .to (and in no event shall be for other than
actual direct damages):
(a) With respect to replacement parts, the pass
through of warranties as described in Section 4.3;
(b) W ith respect to any claim covered by any of the
indemnfcations provided in Section 5, SBS's
obligations under that Section.
(c) With respect to any other claim or matter, if SBS,
at its option, re-performs the Services that are the
subject of, or gave rise to, the claim, such re-
performance. If (i) the claim or matter cannot be
remedied by such re-performance; (ii) re-
performance is not an applicable remedy; or (iii)
re-pertormance is not provided, then SBS's total
liability will be limited to actual direct damages in
an amount not to exceed the greater of (a)
$1,000,000 or (b) amounts paid by the Customer
to SBS during the twelve (12) months prior to the
date the basis for the claim arose with respect to
the Services that are the subject of, or gave rise
to, the claim.
6:2 Notwithstanding anything provided elsewhere In this
Agreement, IN NO EVENT SHALL EITHER PARTY
BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, PUNITIVE, EXEMPLARY OR

CONSEQUENTIAL DAMAGES, WHETHER IN AN
ACTION IN CONTRACT OR TORT (INCLUDING
NEGLIGENCE AND STRICT LIABILITY)
RESULTING FROM ITS PERFORMANCE OR ANY
FAILURE TO PERFORM UNDER THIS
AGREEMENT, INCLUDING, BUT NOT LIMITED TO,
LOSS OF DATA OR LOSS OF ANTICIPATED
PROFITS OR BENEFITS, EVEN IF SUCH PARTY
HAS BEEN ADVISED OF THE POSSIBILITY OF
SUCH DAMAGES.
6.3 SBS will have no liability to Customer for any third
party claims except as, and to the extent, provided in
Section 5, and subject to the provisions of Sections
6.1 (c) and 6.4.
6.4 The limitations of liability in Section 6.1(c) will not
apply to claims for bodily injury or death.
6.5 These Section 6 limits also apply to any of SBS's
subcontractors and consultants. It is the maximum for
which SBS and its subcontractors are collectively
responsible. Except as specifically set forth in
Section 13.4 or as specified in a SOW, there are no
liquidated damages provisions included in this
Agreement.
SECTION 7. INSURANCE
7.1 SBS will obtain and maintain the following
insurance coverage during the entire term of this
Agreement: (i) Workers' Compensation insurance
in accordance with the applicable laws of the
states where SBS performs Services hereunder,
including Colorado and Employer's Liability
Insurance in an amount not less than one
million dollars ($1,000,000) per occurrence; (ii)
Commercial General Liability or Broad Form
Comprehensive General Liability insurance with a
combined bodily injury and property damage
single limit of not less than one million dollars
($1,000,000) per occurrence; (iii)
Comprehensive Automobile Liability insurance
with a combined bodily injury and property
damage single limit of one million dollars
($1,000,000) per occurrence.
7.2 Upon thirty (30) days' prior written notice by
Customer to SBS, SBS will deliver copies of the
certificate(s) of insurance providing the coverage
specified above to the Customer. Such
certificate(s) will stlpulate that the insurance
company(ies) will provide Customer at least thirty
(30) days' prior written notice, via certified U.S.
mail, of any material change, non-renewal or
cancellation of coverage.
SECTION 8 CONF/DENTIAL AND PROPRIETARY
INFORMATION
8.1 SBS and Customer acknowledge that in the
performance of this Agreement, it may be
necessary for Customer and SBS to disclose
certain confidential or proprietary Information of one
party to the other party. Each party agrees that, to
the extent allowed by applicable state law, for the
term of this Agreement or a period of two (2) years
from receipt of information from the other party
hereunder, whichever is greater, such party
("Recipient") will use at least the same means it
uses to protect its own confidential proprietary
information, but fn any event not less than
reasonable means, to prevent the disclosure and to
protect the confidentiality of (i) written information
received from the other party ("Provider's that is
marked or identified as confidential, (ii) oral or
visual Information identified as confidential at the
time of disclosure, and (iii) nonpublic information
which under the circumstances surrounding
disclosure ought to be treated as confidential
(°Confidential Information's.
8.2 .Confidential Information will not include information
that belongs to the Recipient or is (i) already known
by the Recipient without an obligation of
confidentiality other than under this Agreement; (ii)
publicly known or becomes publicly known through
no unauthorized act of the Recipient; (iii) rightfully
received from a third party; (iv) independently
developed by the Recipient without use of the
Provider's Confidential Information; (v) disclosed
without similar restrictions to a third party by
Provider, (vi) approved by the Provider for
disclosure; or (vii) required to be disclosed pursuant
to a requirement of a governmental agency or law
of the Uni#ed States of America or a state thereof,
or any governmental or political subdivision thereof,
so long as the party required to disclose the
information provides the other party with timely prior
notice of such requirement.
8.3 Each Recipient may use Confidential Information
received from the Provider only in connection with
this Agreement, and may disseminate such
Confidential Information only to persons having a
need for access to such Confidential Information in
connection with their performance of the Services,
and with respect to whom the Recipient takes
steps, no less rigorous than those it takes to protect
its own proprietary information, but in any event not
less than reasonable means, to prevent such
persons from acting in a manner inconsistent with
the terms of this Section 8. However, Customer
may not disclose SBS Confidential Information to
third parties who provide services similar to or
competitive with SBS, even in connecflon with
SBS's performance of the Services.
8.4 Upon termination of this Agreement or upon the
written request of the Provider, the Recipient will
return all copies of Confidential Information to the
Provider or certify, if so requested by the Provider,
in writing that all copies of Confidential Information
have been destroyed.
8.5 Each party acknowledges that the other may suffer
irreparable damage in the event of any material
breach of the provisions of this Section 8.
Accordingly, in such event, a party may be entitled
to seek preliminary and final injunctive relief, as well
as any other applicable remedies at law or in equity
against the party who has breached or threatened
to breach this Agreement..

8.6 In the event that the parties agree in any SOW that
.SBS will provide specified deliverables to Customer
that include proprietary information developed by
SBS specifically and exclusively for Customer in the
performance of this Agreement, SBS agrees to
assign ownership rights to such deliverables and
such proprietary information to Customer, and
Customer agrees to grant 5BS a worldwide, paid
up, irrevocable, royalty free, perpetual license to
use, copy, modify, or create derivative works based
upon, distribute, license, sell or rent any of the
deliverables or proprietary information owned by
Customer as a result of the foregoing provision.
8.7 Nothing in this Section 8 will be interpreted or
construed to assign to Customer (and SBS
reserves all right, title and interest that SBS may
have or acquire in) any proprietary software, tools,
utilities, methodologies, processes, documentation
and other items that are used or developed in
performance of the Services, but not developed
specifically and exclusively for Customer in the
course of performing its duties and obligations
hereunder.
SECTION 9. CHANGES /N SCOPE, ADDITIONAL AND
THIRD PARTY SERVICES
9.1 Any change requested by Customer to the scope of
Services from the scope as described in the
applicable SOW will be effected in accordance with
the change control procedures of that SOW, or, fn
the absence of such procedures, will be subject to
the mutual agreement of the parties. All change
orders are subject to the prior written approval of
Customer.
9.2 During the term of this Agreement, Customer may
request and SBS will.use reasonable commercial
efforts to provide, services other than those
described in the SOW(s) ("Additional Services'.
Unless otherwise agreed, the prices charged for
Additional Services will be SBS's time and
materials rates then in effect
9.3 During the term of this Agreement, Customer will
have the right to contract with a third party service
provider ("Third Party to perform Additional
Services, and SBS will use reasonable commercial
efforts to cooperate with such Third Party, provided
that (i) Customer expressly agrees that Customer
will not contract with a Third Party to perform all or
any portion of the Services; (ii) Customer will
prevent disclosure to any Third Party of any
Confidential Information provided by SBS to
Customer, (iii) SBS will be excused from ~ the
pertormance of its obligatlons under this
Agreement, including any Service Level
Agreements, to the extent that SBS's performance
of the Services Is adversely impacted by such Third
Party; and (iv) Customer will reimburse SBS for any
added costs or expenses incurred in the
performance of the Services related to or resulting
from the performance of Additional Services
provided by the Third Party as approved in
accordance with the Change Order Process set
forth in the SOW.
SECTION 70. SERVICES FOR SPECIFIC SITES OR
SYSTEMS
If a SOW provides for on-site Services to specified
covered systems or products, any transfer of such covered
systems or products to a site other than the installation or
work site designated in the SOW is subject to SBS's
acceptance upon written notice by Customer. Any such
transfer may result, at SBS's option, in automatic
termination of this Agreement with respect to such
covered systems, should SBS choose not to accept the
transfer. If a SOW provides for maintenance or other
Services for systems or products, the prices listed for the
Services are for such systems or products, brands and
model types listed by the Customer and provided to SBS
as of the date of the signing of the specific SOW.
Changes to or additions to systems or product brands or
model types may result in an increase In price for
Services.
SECTION 77. EXCUSE OF PERFORMANCE
Except for Customer's obligation to make payment
hereunder, neither early will be liable to the other for any
delay or inability to perform its obligations under this
Agreement or othervvise if such delay or inability arises
from any act of God, fire, natural disaster, act of
government, riot, civil disturbance, manufacturers
shortages or constraints of parts or products, or any other
cause beyond the reasonable control of such party. In the
event of such a delay or Inability to perform, the time for
performance will be extended for a period of time equal to
the length of the delay or inability to perform, plus an
additional reasonable period to recommence performance.
SECTION 72. NOTICES
Legal notlces to the parties to this Agreement will be
mailed certified first class postage prepaid, return receipt
requested, or delivered 6y recognized overnight courier
service, to the following addresses:

Either party shall have the right, by giving written notice to
the other, to change the address at.which its notices are to
be received.
SECTION 19. GENERAL .;
13.1 This Agreement, together with all SOW(s),
attachments, are intended to be the sole and
complete statement of obligations of the parties
with respect to the subject matter of this
Agreement, and supersede all previous
understandings, representations, negotiations, and
proposals, including the Engagement Letter
beiween the parties dated December 3, 2002. In
the event of a conflict between the terms of this
Agreement and the terms of any such SOW or
other attachment, the terms of this Agreement will
control.
13.2 No waiver, alteration or modification of any
provision hereof, including the SOW(s), will be
binding unless in writing and signed by duly
authorized representatives of both parties.
13.3 Failure by either party to exercise any right or
remedy under this Agreement does not signify
acceptance of the event or waiver of any such right
or remedy.
13.4 During the term of this Agreement and for a period
of six (6) months after termination, neither
Customer nor any entity affiliated with Customer
will, directly or indirectly, solicit for employment or
performance of computer services, or hire or
contract with, any SBS Staff person who becomes
known to Customer in connection with the
performance of SBS hereunder. In the event
Customer, or any affiliate of Customer, hires or
contracts with any SBS Staff person contrary to this
Section 13.4, Customer agrees to pay to SBS, as
liquidated damages and not as a penal an
amount equal to all compensation, including salary,
wages, bonuses, benefits and commissions, that
such Staff person received from SBS during the
immediately preceding six (6) month period. If the
SBS Staff person worked for SBS for a period of
fewer than six (8) months, the payment will be six
(6) times the average monthly compensation for the
period worked.
13.5 SBS agrees to submit to Customer any proposed
press release, advertisement or other promotion
relating to the existence of this Agreement or its
relationship with Customer and offer Customer the
opportunity to review any such materials prior to
publication. Customer agrees that it will not
unreasonably withhold its consent to the publication
of such materials provided Customer is offered the
opportunity to review these materials prior to
publication.
13.6 Either party may assign this Agreement subject to
the prior written consent of the other party.
13.7 Neither party will bring a legal action against the
other party more than two (2) years after the cause
of action arose.
13.8 Should any part of this Agreement be held
unenforceable or invalid, then the validity of or
enforceability of the remaining provisions will not in
any way be affected or impaired.
13.9 Any provision of this Agreement which requires
performance or grants a benefit after termination of
the Agreement shall be deemed to survive the
termination or expiration of the Agreement.
13.10 SBS reserves the right to determine the assignment
of its personnel and SBS may subcontract the
performance of the Services, or any part thereof, to
any subcontractor selected by SBS.
Notwithstanding the foregoing, no subcontracting
shall relieve SBS of its obligations and
responsibilities under this Agreement. If Customer
has objections to any SBS Staff person's
continuation of performance of Services at a
Customer location, then SBS will investigate
Customer concerns and, if SBS determines that
those concerns are reasonable, lawful and in good
faith, then SBS will take appropriate action which
may include replacement of such Staff person.
13.11 This Agreement may be executed In one or more
counterparts, all of which taken together will
constitute the Agreement
13.12 The headings in this Agreement are not intended to
be used as an aid to interpretation
13.13 Any consent or approval required to be obtained
from either party under this Agreement will not be
unreasonably withheld, conditioned or delayed.
13.14 This Agreement and all disputes arising hereunder
shall be governed by the internal laws of the State
of Colorado and the parties agree that venue and
jurisdiction over any claim arising from this
Agreement shall lie in the courts of the Fifth Judicial
District of Colorado. In the event of litigation, the
prevailing party shall be entitled to reasonable
attorney's fees and costs.
13.15 Notwithstanding anything to the contrary
contained in this Agreement, Customer shall
have no obligations under this Agreement nor
shall any payment be made in respect of any
period after December 31 of each calendar year
during the term of this Agreement, without prior
appropriation therefor by Eagle County in
accordance with a budget adopted by the board
of Eagle County Commissioners in compliance
with applicable provisions of law.

1 Executive Overview
Eagle County Information Technology has requested Siemens Business Services to provide a
turnkey approach to transition Eagle County from a Novell Netware infrastructure to a Microsoft
predominant environment. Eagle County has requested that the project design and
implementation adheres to current industry standards, maximizes opportunities for near- and
long-term cost-savings.
Eagle County has initiated a transition from Novell to a Microsoft based computing environment.
There are several inter-linking facets of this transition:
Base networking infrastructure Servers (DNS, DHCP, etc)
File and Print Servers
Messaging Servers
Messaging Data Migration
The implementation of a new enterprise-wide network operating system that is tightly integrated
with Eagle County's corporate IT infrastructure is a major endeavor.
The Exchange 2000 platform provides a host of powertul new technologies such as Active
Directory Integration, Instant Messaging, Storage Groups, Clustering Support and significantly
changes the way that companies plan, design and deploy Exchange messaging environments.
Therefore, Eagle County has requested the services of SIEMENS to assist in the transition from
Novell GroupWise; to design and deploy Exchange 2000 Server throughout its information
systems environment and to facilitate the transition.
The Exchange 2000 platform delivers new and innovative technologies to build more useful,
manageable, and scalable messaging environments. The Exchange 2000 Active Directory
integration provides advanced features such as unified administration of Exchange Server and
Windows 2000 objects with one set of tools, security groups, and use of Lightweight Directory
Access Protocol (LDAP) gives a-mail directory access to a wide range of client software. These
and other new Exchange 2000 technological components must be carefully addressed in a
structured manner to achieve a concise Exchange 2000 design for Eagle County.
The key objective of this project is to assess the critical business and technology needs relevant
to the transition from Novell Netware and GroupWise to aMicrosoft-centric infrastructure
centered around Windows 2000 Server and the Exchange 2000 messaging platform. SIEMENS
and Eagle County will need to work closely to develop the necessary awareness of Eagle
County's existing organization structure, business workflow, and information systems
architectures. SIEMENS will leverage existing information developed by Eagle County staff
members during the preliminary planning. Objectives of this project are as follows:
Assessment
^ Secure an understanding of Eagle County business and technical environments, which can then be
leveraged to understand the technical impact of integrating the client access for Exchange 2000 into
the existing environment.
^ Determine the essential business and technical requirements of Eagle County relevant to the solution
design and ultimate enterprise-wide deployment of the Exchange 2000 platform.

^ Secure an understanding of the Eagle County environment, which can then be leveraged to properly
develop the plan for the Windows 2000 Server migration project.
^ SIEMENS will develop processes customized to the Eagle County environment to enable the proper
management and execution of the project.
^ Work with Eagle County representatives to gather site-specific information needed to plan for a
workstation migration project.
Design
^ Implement a dynamic Exchange 2000 Proof-of-Concept Lab that will allow Eagle County staff to
become familiar with the Exchange 2000 management interfaces and rich feature set.
^ Identify the impact that the Exchange 2000 platform may have on existing Eagle County technical
support policies and procedures.
^ Work with Eagle County to create a Windows 2000 Architectural Design which best fits the Eagle
County's requirements.
^ Work with Eagle County to create a Server and Active Directory deployment methodology.
^ Work with Eagle County to create a Transition Design.
^ Work with Eagle County to test Windows 2000 Server technologies in a Technology Validation Lab.
^ Work with Eagle County to create suitable End User and IT Training Programs
^ Secure an understanding of Eagle County environment, which can then be leveraged to properly
develop the plan for the Windows 2000 Professional migration project.
^ Utilize existing SIEMENS tools/technologies to gather workstation data elements (Survey) in order to
determine what equipment will need to be replaced, upgraded or left alone.
^ Creation or modification of an inventory database to meet Eagle County needs.
Development
^ Work with Eagle County to develop the specific Server and Active Directory deployment processes
required to execute the project
^ Work with Eagle County to test the Server and Active Directory design in aProof-of-Concept Lab.
^ Work with Eagle County to develop a Server and Active Directory Implementation plan according to
the defined deployment methodology.
^ Work with Eagle County to test and validate the all processes at a designated pilot site.
^ Produce accurate inventory reports of Eagle County existing workstation base in order to design and
implement a Windows 2000 Professional/XP
^ SIEMENS will develop processes customized to Eagle County environment to enable the proper
management and execution of the assessment project.
Deployment
^ Work with Eagle County to deploy the Workstation Operating System Migration
^ Work with Eagle County to deploy the designed infrastructure at all sites.
^ Work with Eagle County to provide post deployment support to alleviate any migration issues

2 Transition to Microsoft Environment Services
Generallv. SIEMENS will perform the services defined in this Statement of Work (the "SOW") to support
Eagle County in the project management of the transition project. These services will generally include
project management, process development, and leading Eagle County through the assessment, design
and deployment.
SIEMENS will utilize its structured Consulting Engagement Methodology (CEM) and work in conjunction
with Eagle County to work towards designing a Windows 2000 based environment that is aligned with the
stated business requirements. Project Management will take place through all phases of the project.
This work will include the overall Project Management of the Transition Project, the development of
processes to assist in managing the project, and site-specific project management.
Cooperation of Parties. The Parties acknowledge that the activities set forth in this SOW contain many
interdependencies between their individual obligations. Each Party shall provide the other Party such
assistance as is appropriate and necessary in order to accomplish the goals of the Project. To the extent
one Party requires certain information from the other Party or if one Party is required to perform some
action to enable the other Party to perform its services, and the other Party does not provide such
information or perform such action, the Parties will escalate the problem promptly in accordance with the
escalation process set forth in Appendix B -Escalation Process.
Definitions. Capitalized terms not otherwise defined in the General Terms and Conditions or elsewhere in
this Attachment will have the meanings set forth in Appendix L -Glossary.
Optional Services. During the course of a workstation migration project, Eagle County may request
SIEMENS to perform additional services. (See Project change Request Process -Appendix C)
Generallv, SIEMENS will perform the services defined in this Statement of Work (the "SOW") to support
Eagle County in the assessment, design, development, and implementation of a Windows 2000 Server
and Active Directory architecture with Exchange 2000 Messaging and Windows 2000 or XP Professional
Workstations.
Estimated Number of Servers. SIEMENS shall provide server assessment and design services for each
Site as identified in the Site List -Appendix A. It is expected that SIEMENS will discover /survey the
Novell servers across the sites, listed in the Site List -Appendix A.
Resources. During the course of a continuous phase, Siemens will use its' best efforts to provide
consistent key resources through that phase. If there are extenuating circumstances, Eagle County will be
provided as much notice as possible as to the scheduling or re-scheduling of such key personnel. In the
event that key personnel are substituted, Siemens shall bear all costs associated with educating and
bringing the new personnel up to speed on the project, including but not limited to review of documents.
If in transition from one phase to the next, Eagle County does not approve moving forward in a timely
manner Siemens may only be able to provide the same resources based on other engagement
requirements and that resource availability.

2.1 Project Initiation
2.1.1 Overview
A project initiation meeting will be attended by Eagle County and SIEMENS. This formal project launch
will serve to explain the project schedule, resource commitments, and outline key procedural processes.
The tasks that will be performed follow.
2.1.2 SIEMENS Responsibilities
^ Preparation of project initiation meeting agenda.
^ Preparation of a Project Plan for the project.
^ Introduce the SIEMENS lead on the project.
^ Explain the role of the SIEMENS project resources.
^ Review the SIEMENS Change Order procedures and associated Change Order Forms (Refer to
Appendix C -Project Change Request Process).
^ Review the scope definition, tasks and baseline Project Plan.
^ Determine the specific requirements for status and financial reporting to Eagle County.
^ Review the prerequisites for project initiation such as facilities access, phone usage, and Eagle
County security clearance prerequisites.
^ Review Eagle County roles and responsibilities matrix.
^ Identify interviewees for Assessment phase.
2.1.3 Eagle County Responsibilities
^ Introduce Eagle County lead on the project.
^ Participate in the project initiation meeting.
^ Assist in the definition and validation of the project roles and responsibilities.
^ Assist in the definition and validation of the requirements for status and financial reporting.
^ Validate and approve facilities requirement necessary to execute this project.
^ Validate and approve the SIEMENS Project Plan -Utilizing the Validation Acceptance Form -
Appendix M.
2.2 Project Schedule & Processes
SIEMENS shall manage its provision of services through an Engagement Manager established in
accordance with the provisions of Appendix D -Project Roles & Responsibilities. The Project Team will
be established with the initial organization as described in Appendix E -Project Roles. The Parties
acknowledge that the structure and responsibilities of the Engagement Manager will change throughout
the Term in order to meet the then-current requirements of the Project. Specific responsibilities of the
Project Team for each Sub-Project are outlined in Appendix F -Project Roles & Responsibilities by Job
Title. Fees and pricing are outlined in Appendix G -Price & Payment. Other Vendors or Contractors
may provide representatives as necessary to complete the project.
2.2.1 Project Schedule
Using Microsoft Project, SIEMENS will develop a Project Schedule for completing all of the activities set
forth in this SOW. SIEMENS shall submit any changes to the Project Schedule to Eagle County for its
approval. Eagle County may request that SIEMENS modify the Project Schedule from time to time and
SIEMENS will make reasonable efforts to accommodate those changes. These changes made by
SIEMENS with respect to a particular site made by SIEMENS will be subject to Eagle County approval.
The Project Schedule will be based upon the milestone table presented in Appendix H -Project
Milestone Schedule.

Individual Mailbox migrations will be managed via the T-Minus Schedule presented in Appendix I -
2.2.2 Project Processes
SIEMENS will develop processes as follows:
1. Process Approval. Documents related to the approval of processes. SIEMENS shall promptly make
such modifications to the documents as are requested by Eagle County and promptly resubmit the
revised Documents for Eagle County approval. Once approved, SIEMENS will deliver each
document in paper and electronic form. The initial Process Approval Process is presented in
Appendix J -Process Approval Process.
2. Change Control. Documents related to approval of changes to the SOW and project schedule. This
will include schedule changes encountered during regularly scheduled change control meetings. The
initial Change Control Process is presented in Appendix C -Project Change Request Process.
3. Quality Assurance -Documents related to the process to be implemented by SIEMENS and a
schedule of periodic reviews to provide Eagle County timely services and documentation.
4. Project Reporting -Documents related to the establishment of meetings, meeting content, electronic
reporting and reporting format. The initial Project Reporting Requirements are presented in Appendix
K -Project Meeting and Reporting Requirements.
5. Communications -Documents related to the communications of project activities to Eagle County,
end users and executive management.
6. Invoicing -Documents related to the establishment of billing and invoicing procedures and format.
7. Client Satisfaction -Documents related to the establishment of client satisfaction measurement and
reporting.
8. Problem Escalation -Documents related to the establishment of issue escalation, management and
reporting. A sample escalation process is included in Appendix B -Escalation Process.
9. Migration Tracking Database -Documents related to the development of a database to be used
during the Project for tracking pertinent project data. This database will be developed by SIEMENS
in a format, which is compatible with Eagle County's other databases using Microsoft Excel and/or
Microsoft Access, and will be maintained in a location accessible to and approved by Eagle County.
10. Assessment Data Collection -Documents related to the process and management of collecting data
through workshops, interview and tools. The Assessment Data Collection would be required at all
sites.
11. Deployed Server and Client Acceptance -Documents related to the process for validating that that
the messaging server and messaging client software is operational at a site after deployment. This
includes: Sign-off forms for Server and Client Deployment, Post Deployment Support and completion
of the User Verification Checklist.
12. Server and Helpdesk Hand-Off -Documents related to the process for handing off a Messaging
Server's administration, operations and maintenance from SIEMENS to Eagle County. Also a
process for handing off user helpdesk functions from SIEMENS Post Deployment Support to Eagle
County.
13. Messaging Server and Client Change Control -Documents related to the process of incorporating
updated Messaging Server and Client information and configuration into the Deployment process.
14. Lifecycle Services -Documents related to the procurement and lifecycle management processes for
Eagle County Equipment and Eagle County Software. This process will allow SIEMENS to provide
assistance to Eagle County in the management of the selected Eagle County hardware and software
suppliers.
15. Post-Deployment Support Process -Documents related to the process for Post-Deployment Support.
16. Help Desk Augmentation -The documents, tools and processes with which Eagle County can utilize
SIEMENS Central Services to provide augmented Help Desk Support, if required.
17. Acceptance Criteria Process -Documents related to process and forms to be used at the expiration
of the Post-Deployment Sub-Project in order to transition operational support from SIEMENS to
Eagle County.

2.2.2.1 SIEMENS Responsibilities
SIEMENS will have the following responsibilities:
^ Provide Eagle County's Project Manager with such reports as may reasonably be required by Eagle
County to determine project status.
^ Provide clear and precise job descriptions for roles SIEMENS personnel will fill.
^ Enter the results of discovery into the reporting and tracking system.
^ Set up a regular communication session with the local Eagle County representatives.
^ Report daily-migrated mailboxes and exception counts verified by local Eagle County Project
Manager.
^ Provide server hardware order tracking status for site delivery.
^ Provide server hardware re-deploy tracking status for site delivery.
^ Precisely document items that are outside of the SOW, and would be billed on a Time & Materials
basis as per the Change Control Process.
^ Maintain server and workstation messaging client build checklists filled in by deployment technicians.
^ Track and report on non-functioning equipment (Dead on Arrivals-DOA's) and equipment that is to be
returned as determined by Eagle County (Return Authorizations RA's).
^ Provide serial and asset tag numbers of decommissioned servers.
^ Verify preliminary Messaging Migration /Deployment report with Eagle County local Project Lead and
Eagle County LOB Project Manager.
^ Verify final Messaging Migration /Deployment report with Eagle County Project Lead and Eagle
County Business Project Manager and obtain appropriate Eagle County signoffs.
^ Attend training provided by Eagle County for tools and processes.
2.2.2.2 Eagle County Responsibilities
Eagle County will have the following responsibilities:
^ Eagle County personnel will participate and respond to project discussions, review cycles, and
approval activities in a timely manner.
^ Eagle County will cooperate and work with SIEMENS to execute this project.
^ Eagle County will participate as required in developing processes.
^ Eagle County will designate a Project Liaison for the duration of this project and will assist SIEMENS
in scheduling interviews, providing access to vital information and other supporting tasks.
^ Eagle County will designate a Project Sponsor for the project to facilitate escalation and resolution of
issues that may severely affect project execution.
^ Eagle County technical and business managers will take an active role in the identification of key
personnel for determining specific schedules.
^ Eagle County will schedule and facilitate access to key Eagle County resources for participating in
this Project.
^ Eagle County will provide a list to SIEMENS of all administrators who will interface with SIEMENS.
^ Eagle County will arrange meetings with SIEMENS involving appropriate site Eagle County personnel
^ Eagle County will provide an internal escalation list used by Eagle County resources.
^ Eagle County will provide SIEMENS with access to the sites as required, including providing security
badges and access rights for SIEMENS staff to the facility, as required (to include off-hour access).
^ Eagle County will provide adequate facilities for SIEMENS to perform this project such as site access,
phone usage, modem access, Internet access and security clearance prerequisites.
^ Eagle County will provide facility access to SIEMENS engagement personnel for the duration of this
project. This includes but is not limited to office space, phones, a-mail, and voice mail.

2.3 Assessment Phase
2.3.1 Business and Technical Assessment
2.3.1.1 Overview
SIEMENS must understand how Eagle County is organized operationally, physically, and
administratively. SIEMENS will utilize workshops, interviews and questionnaires to secure information
from Eagle County. This information will be used to assist in the design phase. The tasks that will be
performed follow.
This stage consists of defining and analyzing Eagle County business requirements. The definition of
these requirements will serve as the foundation for creating the Windows 2000 Server Architectural
Design based upon Eagle County strategic business vision. SIEMENS must understand Eagle County IT
requirements enterprise wide and for each participating Line of Business. Each identified requirement
will be aligned with a sponsor, appropriate weighting and purpose to clearly articulate its need. In
addition, the Requirements Definition document will include an assessment that will identify certain areas
of risk identified by SIEMENS during the initial definition processes. Upon capturing and analyzing Eagle
County requirements, SIEMENS will conduct mutual exercises with Eagle County to confirm the validity of
each requirement. This information will be used to assist the design phase to properly select and
configure key components.
This Assessment consists of defining and analyzing Eagle County technical requirements. The definition
of these requirements will serve as the foundation for creating the Windows 2000 Server Architectural
Design based upon Eagle County technical requirements. SIEMENS must understand Eagle County IT
requirements enterprise wide and for each participating Line of Business. Each identified requirement
will be aligned with a sponsor, appropriate weighting and purpose to clearly articulate its need. In
addition, the Requirements Definition document will include an assessment that will identify certain areas
of risk identified by SIEMENS during the initial definition processes. Upon capturing and analyzing Eagle
County requirements, SIEMENS will conduct mutual exercises with Eagle County to confirm the validity of
each requirement. This information will be used to assist the design phase to properly select and
configure key components.
At the conclusion of the Assessment Phase and before the onset of the Design Phase, a review will be
conducted with the Eagle County project sponsor. The objective of this review is to confirm the quality of
the services being provided. With the written approval of the project sponsor, via email or some the
means, the project team will progress to the next phase of the project, Design Phase.

2.3.1.2 SIEMENS Responsibilities
^ Prepare and perform interviews, workshops, and questionnaires to collect existing documentation and
information from Eagle County.
^ Identify the functional interdependencies and integration needs between the various business units,
and Eagle County offices.
^ Identify geographic locations and number of employees at each Eagle County office site.
^ Identify Eagle County business units including size, location and workflow.
^ Identify business directions and major technology objectives.
^ Identify existing desktop, laptop and server hardware configurations.
^ Identify and document Eagle County naming conventions and practices.
^ Identify network and system infrastructures including: Active Directory Design (if exist), NT Domain
Design or other network directory service (if exist), TCP/IP Infrastructure and Windows 2000
Domains.
^ Identify existing LAN ~ WAN physical architectures, including: WAN links between sites, Remote
Access, Routers and Switches ~ Hubs. Also, if possible, with assistance from Eagle County, and their
communication providers, assess bandwidth usage on communication links.

2.3.2 Site Discovery
2.3.2.1 Overview
The discovery process gathers site-specific information for all customer locations listed in Appendix A.
During this phase SIEMENS consultants will perform interviews with Eagle County key business and
technical resources. The data gathered will supply detailed information regarding site facilities, site
contacts, Line of Business information, and LAN Support. It will provide crucial information for the
implementation phase and also identify any potential problems, which can be proactively addressed prior
to implementation.

2.3.2.2 SIEMENS Responsibilities
^ Prepare a Site Discovery Process
^ Prepare and perform interviews, workshops, questionnaires to collect discovery information and any
pertinent existing documentation.
^ Identify business units including contacts, number of users, business hours, blackout periods, training
requirements, and overall concerns.
^ Identify site facility information including contacts, security, loading dock area, staging and storage
areas, and waste disposal.
^ Identify workstation naming conventions, remote access solutions, LAN contacts, security settings &
architecture, support requirements & structure, software distribution methods, and training facilities.
^ Import/Input all Discovery data into Discovery/Survey database
^ Prepare a Requirements Definition documents focusing on the required business, technical, and
operational requirements associated with the Windows 2000 technology components implemented
within Eagle County environment. This document will also provide an assessment of areas of risk
relevant to the deployment of the Windows 2000 platform identified by SIEMENS during the initial
assessment and requirements definition processes.
2.3.2.3 Eagle County Responsibilities
^ Eagle County will assist in preparation of the Site Discovery Process
^ Eagle County will provide SIEMENS with any asset inventory currently available.
^ Eagle County will provide SIEMENS with an HR feed detailing, at a minimum, user name,
department, location, and line of business.
^ Identify geographic locations and number of employees at each office site.
^ Work with the SIEMENS to schedule interviews /meetings with key Eagle County resources (line of
business representatives, LAN Administrators, facilities manager, department representatives).
^ Participate fully in interviews and other data gathering processes required to complete the discovery
phase.
^ Validate the Requirements Definition document.
2.3.3 Workstation Survey
2.3.3.1 Overview
The survey process gathers all requested information on workstation hardware and user settings that will
be affected by a Windows 2000 professional implementation. The data is broken down to equipment and
user categories. The users are either: Office or Mobile users. The Equipment can be: Desktops,
Laptops, Monitors, or Peripherals. The data will be imported or entered into the Discovery/Survey
database to be used for report generation and implementation planning.
2.3.3.2 SIEMENS Responsibilities
^ Prepare a Workstation Survey Process for Office and Mobile Users
^ Provide on-Site Project Managers to direct and monitor the work of SIEMENS technicians
^ Prepare Site Survey Plans
^ Hold meetings as required to review goals, plans and status of the Site
^ Provide means for technicians to gather workstation data (i.e. Survey Forms or Data Collection
Utility).
^ SIEMENS will coordinate the survey efforts with the designated Eagle County representatives to
provide that all Sites are surveyed on schedule and within budget
^ For the designated machines, SIEMENS will interview Eagle County representatives to obtain
existing installed workstation software applications

recommendations necessary to perform upgrades with respect to drivers, compatibility, or capacity

Appendix B.

2.3.3.3 Eagle County Responsibilities

^ For the designated machines, Eagle County will run a workstation survey procedure and/or interview

2.3.4 NT Domain Objects

2.3.5 NDS Objects
2.3.5.1 Overview
The survey process gathers all required information on the existing NDS objects that would be affected by
a Windows 2000 Server implementation. This step is designed to assess those directory objects that
typically store the largest amount of information and the most important information. An immediate, one-
time migration moves these Bindery or NDS objects to Active Directory-specifically, user accounts,
groups, and distribution lists (for both Bindery and NDS), and (for NDS only) also organizational units
(OUs) and organizations. The NDS object data could include, but not be limited to user accounts, user
groups, system security, login scripts, transport driver properties and printer configurations. The existing
NDS object data will be transferred to the Windows 2000 Active Directory. The data will be imported or
entered into the Discovery/Survey database to be used for report generation and implementation
planning.
2.3.5.2 SIEMENS Responsibilities
^ Prepare Server Survey Process for each client site
^ Provide on-site Project Managers to direct and monitor the work of SIEMENS technicians
^ Prepare Site Survey Plans

2.3.6 Server Hardware /Networking Operating System Survey
2.3.6.1 Overview
The survey process gathers all requested information on server hardware and configuration that will be
affected by a Windows 2000 Server implementation. The data is broken down to equipment and server
roles. The server roles include domain controllers, member servers, application servers, file /print
servers, and messaging servers. The equipment would be hardware that is designated to be functioning
in a server capacity. The data will be imported or entered into the Discovery/Survey database to be used
for report generation and implementation planning.
2.3.6.2 SIEMENS Responsibilities

2.3.7 Server Application Survey
2.3.7.1 Overview
The survey process gathers all requested information on server application and configuration that will be
affected by a Windows 2000 Server implementation. The data is broken down to application software
that is compatible with Windows 2000 and applications that are not compatible. The application software
that is compatible with Windows 2000 would be software that has been certified by the software vendor.
The application software that would not be compatible would require additional research to determine
what steps would be required for it to work with Windows 2000. The data will be imported or entered into
the Discovery/Survey database to be used for report generation and implementation planning.

2.3.8 Requirements Definition
2.3.8.1 Overview
This stage consists of defining and analyzing Eagle County business and technical requirements. The
definition of these requirements will serve as the foundation for creating the Windows 2000 Solution
Design based upon Eagle County strategic business vision. Each identified requirement will be aligned
with a sponsor, appropriate weighting and purpose to clearly articulate its need. In addition, the
Requirements Definition document will include an assessment that will identify certain areas of risk
identified by SIEMENS during the initial definition processes. Upon capturing and analyzing Eagle
County requirements, SIEMENS will conduct mutual exercises with Eagle County to confirm the validity of
each requirement. The tasks that will be pertormed follow.
2.3.8.2 SIEMENS Responsibilities

executives to capture definitive requirements for Windows 2000 Transition.

2.4 Design Phase
2.4.1 Workstation Functional Design
2.4.1.1 Overview
Siemens must understand Eagle County requirements enterprise wide and for each participating Line of
Business. Siemens will review the information provided by Eagle County. This information will be used
to assist the design phase to properly select and configure key components. The tasks that will be
performed follow.
The functional design requirements take into account company-wide Eagle County needs for the
workstation design. This includes applications that will be installed on all workstations. Once enterprise
wide requirements are in place SIEMENS will be able to develop the base workstation design.
The Line of Business requirements take into account Eagle County's individual Line-of-Business (LOB)
needs for the workstation design. This includes applications that will be installed only on specific LOB
workstations. The tasks that will be performed follow.
At the conclusion of the Design Phase and before the onset of the Development Phase, a review will be
conducted with the Eagle County project sponsor. The objective of this review is to confirm the quality of
the services being provided. With the written approval of the project sponsor, utilizing the Validation
Acceptance Form -Appendix M, the project team will progress to the next phase of the project,

2.4.2 Preliminary Workstation Design and Lab
2.4.2.1 Overview
Upon the completion of Section 2.4.1 SIEMENS will initiate the preliminary workstation design process.
This effort involves mapping the known Eagle County requirements into a preliminary Windows 2000
Professional workstation design. This will illustrate the overall integration of the Windows 2000
technological components within Eagle County enterprise network infrastructure. The preliminary design
will be reviewed and approved by Eagle County.
Siemens will establish a Preliminary Design Lab for the testing of individual workstation design
components. This process will ensure verify integration, functionality and customization of the
workstation design meet Eagle County requirements and expectations.
The primary objective of SIEMENS will be to illustrate how Windows 2000/XP Professional will be
customized and integrated into Eagle County environment.
2.4.2.2 Siemens Responsibilities
^ Define the standard enterprise wide Windows 2000/XP Professional Eagle County configuration for
desktops and laptops.
^ Define LOB application suite(s).

Siemens will establish a Final Design Lab for testing the final individual workstation image(s). The Final
Design Lab must be an accurate replica of Eagle County's production network for all designated Sites.
This process will ensure verify integration, functionality and customization of the workstation design
meets Eagle County requirements and expectations in the production environment.
Once Eagle County approval of the final workstation image(s) is obtained Siemens will initiate the
development of the appropriate deployment methodologies for each Site.

hardware and software requirements will be incorporated into this SOW as in the Workstation Functional
Specification Document.

2.4.6 Technology Validation Lab
2.4.6.1 Overview
A Microsoft Windows 2000 Technology Validation Lab will provide Eagle County with a structured
environment in which the Windows 2000 platform can be evaluated and the Windows 2000 technology
validated. SIEMENS will work with Eagle County to design and develop a Windows 2000 Technology
Validation Lab environment. From the general knowledge of Eagle County's environment, SIEMENS will
recommend a Lab configuration that will initially meet the environmental scenarios known to SIEMENS,
this design and lab content will be enhanced as SIEMENS learns about the business and technology
requirements Eagle County has.
To start, this lab will allow Eagle County to evaluate the features of Windows 2000. One or more Active
Directory (AD) domains will be created and Eagle County staff will be able to familiarize themselves with
the management interface of the Microsoft Management Console (MMC) and to navigate with this utility
to manage the whole network. As the assessment and then the design phases continue, the selected
requirements of the Windows 2000 feature set will be tested and validated in this lab.
2.4.6.2 SIEMENS Responsibilities
^ Develop a Windows 2000 Technology Validation Lab document that describes the proposed
Windows 2000 test lab environment and configuration

organizational unit, and site structure, along with business justifications and decisions. This will illustrate
the overall integration of the Windows 2000 server technological components within Eagle County
enterprise network infrastructure. This process will ensure verify integration, functionality and
customization of the active directory design meet Eagle County requirements and expectations.
SIEMENS will establish a preliminary active directory design. The primary objective of SIEMENS will be
to illustrate how Windows 2000 Active Directory will be customized and integrated into the Eagle County
environment.

2.4.9.1 Overview
SIEMENS will provide a migration plan to assist Eagle County in migrating from an existing network
operating system to Windows 2000 Server. Apre-requisite for the migration process requires that the
Active Directory namespace design must be completed prior to starting the migration process. Following
the namespace design, migration goals must be defined. These goals will affect the migration plan.
These goals will be business or migration related.
^ Business-related goals in most cases drive the initial migration decision. These types of goals are
involved when making implementation choices, and are used to evaluate possible trade-offs. Some
business related goals are better manageability, better scalability, improved security, and improved
availability.
^ Migration-related goals focus on the results of the migration. These goals identify concerns about
disruption to production systems, final system pertormance and mean-time-between-failure will
influence these goals. The goals determine how test plans and acceptance criteria are developed.
The primary goal of the migration plan will be to switch to Windows 2000 native mode as soon as
possible to receive the maximum benefit from Windows 2000 Server technologies.

2.4.10.1 Overview
SIEMENS will develop a mutually agreeable process to move from an existing Novell Directory Services
environment to the Microsoft Active Directory Services environment. During this phase SIEMENS will
develop and document the method to migrate Novell Directory Service Objects to Windows 2000 Active
Directory objects. This process includes the planning for object validation, backing out, third party
migration tools, protocol use and Microsoft migration tools. To successfully migrate from NDS to Active
Directory, it is necessary to provide co-existence for some time frame. During this process development,
SIEMENS will determine what level of co-existence and tools are necessary to carry out the migration.
Protocols and Tools such as NWLink, Gateway Services for Netware, File and Print Services for Netware
and the Directory Migration Tools will be evaluated and tested. SIEMENS will then setup and test the
migration process in the design lab. Once the appropriate design has been developed and agreed upon,
SIEMENS will develop the post-deployment support process. Finally SIEMENS will document the
developed NDS to Active Directory migration process.

Exchange Message Routing, Exchange Public Folder Design and Internet Gateway Design, Exchange
Shared Folder Design, Network Client Logon and Client Access to Exchange Server.

project addresses the critical areas related to development of the enterprise wide implementation project
plan.
At the conclusion of the Implementation Phase and before the onset of the Deployment Phase, a review
will be conducted with the Eagle County project sponsor. The objective of this review is to confirm the
quality of the services being provided. With the written approval of the project sponsor, utilizing the
Validation Acceptance Form -Appendix M, the project team will progress to the next phase of the project,

2.5.2.1 Overview
A key factor in success of the implementation of any Windows 2000 environment project is thorough
testing based on realistic scenarios. Realistic scenarios require a test environment that simulates the
production environment as much as possible. In this test environment, members of the planning teams
can verify their assumptions, uncover deployment problems, and optimize the deployment design, as well
as improve their understanding of the technology. Such activities reduce the risk of errors and minimize
downtime in the production environment during and after deployment.
Awell-designed proof-of-concept lab provides a controlled environment for the range of testing
throughout the project life cycle -from experimenting with the technology, to comparing design
solutions, to fine-tuning the rollout process. The proof-of-concept lab is an investment that can pay for
itself many times over in reduced support and redeployment costs that arise from poorly tested solutions.
It is an important part of the risk management plan for the transition project. The Proof-of-concept lab can
identify risks when tests uncover problems such as:

In addition to the Proof-of-Concept lab for Windows 2000 Server, Exchange 2000 will also spend time in
the Proof-of-Concept Lab and will provide Eagle County with a structured environment in which the
Exchange 2000 platform can be evaluated and the Exchange 2000 technology validated.
To start, this lab will also allow Eagle County to evaluate the features of Exchange 2000. The messaging
features of Exchange 2000 server will be incorporated into the initial testing, this will include, mailboxes,
public folders, system monitoring, storage groups, single seat administration, and possibly Outlook Web
Access. One or more Active Directory (AD) domains will be created and Eagle County staff will be able to
familiarize themselves with the management interface of the Microsoft Management Console (MMC) and
to navigate with this utility to manage the whole network. Exchange 2000 will be introduced to the lab
environment and Eagle County staff will be able utilize the MMC snap-ins to manage the Exchange 2000
installation as well.
SIEMENS will assist Eagle County in developing and reviewing the processes required for migration i.e.
Windows 2000 migration, migration strategies, legacy system to Windows 2000 user migration, migration
tools, connectivity, coexistence, etc.
2.5.2.2 SIEMENS Responsibilities

encountering problems with deploying Windows and Exchange 2000 Servers across the enterprise.
The Pilot Project will demonstrate that the Windows 2000 Server Design and Deployment plan works in
the production environment as expected and that it meets Eagle County business requirements. The pilot
provides an opportunity for the end user community to give feedback about how the features work and
the level of support required during the post-deployment stage.

The Server Application Compliance portion of the project will ensure that there is minimal impact to the
production environment and that it meets Eagle County business requirements.

a Windows and Exchange Design highlighting: Active Directory /Exchange Security, Exchange AD
Design, Exchange Message Routing, Exchange Public Folder Design and Internet Gateway Design,
Exchange Shared Folder Design, Network Client Logon and Client Access to Exchange Server.

management and delivery of the infrastructure rollout, early adopters (live-pilot), full rollout and post
deployment support.
This effort also involves acceptance testing, quality assurance testing, and a quality review conducted to
ensure that the overall solution delivered meets Eagle County business needs. A financial audit is also
conducted to validate that the budget and established timeframes for the project were accomplished.
This effort involves completing and delivering all project documentation to Eagle County, so the migrated
environment can be maintained and continuously improved upon to meet changing business needs.
At the completion of the Deployment Phase, a project review meeting will be conducted with the client

After satisfactory delivery by the Reseller of the workstations to each Site, SIEMENS will install and test
the workstations in accordance with the requirements set forth in the Workstation Deployment Process,

project management and delivery of the member server rollout, full rollout, post deployment support, and
helpdesk services.
This step of the project will address the critical areas related to the deployment of the member servers in
a parallel Windows 2000 Server environment utilizing existing server hardware. One of the main
advantages of installing or upgrading to Windows 2000 Server is to take advantage of Active Directory.
However, even if Active Directory has not been deployed, member servers can still be upgraded to
Windows 2000 Server. This allows new and improved component features and services such as Routing
and Remote Access and Terminal Services to be leveraged. Member servers can act as:

This Statement of Work is subject to and incorporated into the Master Services Agreement or Letter of
Engagement between SIEMENS, Inc. (SIEMENS) and Customer (Eagle County).
The contents of this Document accurately define the full scope of work and operating procedures to
complete the project described herein.
The scope of work for this project will become fixed when this Statement of Work Document is agreed
upon and signed by both authorized SIEMENS and Eagle County representatives.
If a change to the scope detailed in this document is required subsequently, the change control procedure
in Appendix C -Project Change Request Process must be followed.

Project Change Control Process Flow Description
All requests for change must be submitted in writing using the SIEMENS Change Request Form
(copy attached -see Appendix C -Change Control Request Form).
2. Change requests may be completed by any SIEMENS project team member or any Eagle County
project team member and must be submitted to the SIEMENS Project Manager for evaluation via
electronically.
3. SIEMENS will estimate the amount of time required to investigate the change and report this estimate
within 24 hours to Eagle County via a-mail.
4. Eagle County must approve investigation of all changes by signing the SIEMENS Change Request
Form, before SIEMENS initiates the change investigation.
5. SIEMENS will record the time spent on analysis and report the estimated project impact
(price/schedule/scope). SIEMENS will also determine whether the request is in or out of the existing
scope. Out of scope changes will be deferred, where appropriate. Siemens will conduct the Project
Change Control Process and determine project impact (price/schedule/scope) in a reasonable
manner.
6. SIEMENS will recommend approval or disapproval of the Change Request to Eagle County via e-
mail.
7. In scope changes will be added to work plan immediately, if requested by Eagle County.
8. If Eagle County agrees to the impact and cost of the Change Request, SIEMENS and Eagle County
will sign the Change Request to indicate their approval of the Change Request into the current
approved project scope.
All changes will be recorded into a Change Control History Log for tracking purposes.

SIEMENS Project Office Intertace Responsibilities
The SIEMENS Program Executive will manage the Project and serve as the central intertace to Eagle
County for all business and operational activities. With Eagle County-designated contacts, the Project
Managers will plan and manage the discovery/survey activities and provide site coordination. In addition,
the SIEMENS Project Management will be responsible for:
Developing and managing all activities and aspects of the SOW as defined herein
Providing the focal point for all communication and Project implementation activities
Managing centralized and Site Project staffing, sub-contractor and resource requirements
Representing SIEMENS during meetings, reviews, issue resolution, escalation, scope change
approvals and acceptance
Providing and conducting regularly scheduled reports and reviews
Reviewing and approving requested Schedule changes
Eagle County Project Intertace Requirements
Eagle County Project Management will serve as a focal point for all activities during the Project. Eagle
County will also provide IT and local contacts for Site project coordination. Eagle County Project
Management responsibilities include:
Providing pertinent information and requirements
Sourcing, coordinating and facilitating all Eagle County resources required for the Project
Representing Eagle County during meetings, reviews, issue resolution, escalation, scope change
approvals and acceptance
Providing all necessary space for work areas.
Providing Eagle County specification standards as amended from time to time, which form the
basis of the Project design standards
Reviewing and approving requested schedule changes.
Notwithstanding the foregoing, only Eagle County Project Management can authorize modifications,
additions or deletions to the Agreement, including its Appendix's.

Appendix G -Price and Payment
1. Price
A. Contract Value -The services rendered to Eagle County by SIEMENS are based upon Time and
Materials (T&M) hourly charges for the activities outlined in this Statement of Work. Fees shall be
charged to Eagle County as expenses are actually incurred and billed subject to the following
exceptions. Siemens shall provide bi-weekly updates of percentage of billing to percentage of
completion throughout the project. Actual charges for each phase shall not exceed 115% of the
projected price. In addition, Siemens shall provide Eagle County with an updated cost estimate prior
to beginning each new phase of the project.
B. Travel 8'< Expenses -Eagle County shall reimburse Siemens for the actual travel costs incurred
by Siemens in connection with pertorming the Services. The procedure for handling this
reimbursement is to be agreed upon by the Parties. Siemens shall conform to its travel
reimbursement policy. Siemens employees are required to stay at participating locations in which
Eagle County has established rate agreements.
C. Work hours are defined as follows:
Regular Work Hours - 8 AM to 5 PM Monday -Friday (except Holidays)
Overtime Hours -Non Regular Work hours Monday -Saturday (except Holidays)
Provisions for overtime or double time are not included in the pricing
Double time Hours -Sundays and Holidays
D. Project Scope Change -Should the scope of services or service volumes materially differ from
the information provided, Siemens Business Services reserves the right to provide a revised pricing
quotation.
The T&M pricing below is an estimate and reflects Siemens's understanding of the project definition
as of 01/10/2003. Actual charges will vary by actual hours used in performance of this Statement of
Work.

3. Cancellations
In the event Eagle County changes the date upon which the Project will be performed for any Site not as
a result of a default by SIEMENS, and SIEMENS is unable to otherwise redirect its resources towards
other Eagle County Sub-Projects (a. deploy its personnel to another location within the same Site or b. to
an alternative Site within the same geographic area), then, Eagle County will pay SIEMENS the following
amounts: if the change is made on the day of the applicable Site Survey through the 3~d day prior to the
applicable Survey or during the scheduled Site Survey, Eagle County will pay SIEMENS 50 percent of
that portion of the Desktop Survey Support Fees that would have otherwise been payable upon
completion of the changed Survey. The cost of pertorming the missed Services will be at the rates set
forth in Section 2 above.

A "Site Cancellation" will require a Change notice. The change notice will include any T&E fees required
to meet the cancellation. This type of cancellation occurs from T-Minus 5 days to T-Minus 1 Day. Only
Eagle County Project Executive can authorize this type of cancellation. A Site Cancellation will be
invoiced immediately upon Change notice approval.
An "In-Progress Full Cancellation" will require a Change notice. The change notice will include any T&E
fees required to meet the cancellation. This type of cancellation occurs T-Minus 0 Day through the end of
Survey. Only Eagle County Project Executive can authorize this type of cancellation. An In-Progress Full
Cancellation will be invoiced immediately upon Change notice approval.
An "In-Progress Partial Cancellation" does not require a Change notice. This type of cancellation occurs
T-Minus 0 Day through the end of Surrey. This cancels a portion of a day's scheduled Surveys. Eagle
County Site Project Manager can authorize this type of cancellation. An In-Progress Partial Cancellation
will be invoiced upon Site Survey completion and acceptance.
4. Payment Terms
• Services will be invoiced on a monthly basis reflecting actual, itemized charges incurred during
that period.
• Payment terms Net 30.
Reasonable Travel Expenses are to be paid by Eagle County. Eagle County requires prior
approval of any non-travel related expense exceeding $100.
5. Payment
A. Eagle County payments to SIEMENS will be in accordance with

Appendix J -Process Approval Process
The 4-2-1 Process refers to the procedure governing the steps and the timings involved with the approval
of processes developed predominately by SIEMENS for the Project. The idea of a fixed cycle was
conceived of, to ensure the smooth and timely flow of a process through the approvals necessary before
deployment can occur.
This process begins following the completion of a draft process by the process owners. Each of the
numbers in 4-2-1 refers to a key step of the subsequent approval process. Four (4) refers to the number
of business days Eagle County is allocated to perform their initial review of the draft process and return to
SIEMENS staff their comments and suggestions for improvement. Two (2) refers to the number of
business days SIEMENS is allocated to pertorm such improvements and modifications. Unless the
parties agree in advance that a process review and approval will entail a different timeline, one (1) refers
to the business day allocated to Eagle County to complete final review and approval, following delivery of
the updated process.
Note that the above timing specifically applies to a process that requires only minor modifications. If,
during the review cycle, a serious deficiency is uncovered or a major rewrite is required/requested, a
specific re-approval timeline will be negotiated between SIEMENS and Eagle County staff.
If circumstances arise that make it impossible to complete the process within the outlined timetable, a
mutually agreeable plan will be developed prior to the onset of the approval process.

Appendix L -Glossary
Asset Tag A physical tag placed on equipment signifying the control number of
the asset in question. The asset number is typically reflected in an
asset management database aligning the asset with an end user,
department and current book value.
Backup The function of ensuring data integrity and reliability by copying or
archiving data files to some form of media, typically tape, to ensure
that disaster recovery can properly be performed.
Bill of Materials A summary listing of the component parts that needs to be ordered
to purchase new equipment and upgrade existing systems. The bill
of materials includes part numbers, descriptions and quantities as
well as supporting data such as location and due date.
Desk Side Support Second Level help desk support provided at the user's desk side
when telephone support does not resolve properly the issue at
hand.
Desktop Personal Computer and associated peripherals in one physical
location, i.e. Workstation, keyboard, monitor.
DOC Eagle County's Distributed Operations Center. The DOC pertorms
centralized network and server management as well as User ID
management.
Enterprise Enterprise refers to the collection of NT Infrastructure, Application
and Transition Servers along with their associated Network
Services to be deployed at a Site.
File Server A server that houses some of or all of the following: software
related to a business application; software for shrink wrapped
applications user data files and shared group files; a-mail data and
folders; print queues for network connected printers; and electronic
software distribution files.
LAN Local Area Network - A series of computers and peripherals
physically & logically connected together in order to share
resources such as printers and files.
LAN Administration Position required ensuring that the Local Area Network and all
associated devices utilized within the LAN are functional and
accessible to all authorized users. Functions performed include
security access, backup and restoration, installation of software and
performance tuning.
LAN/WAN Administration Eagle County group or department responsible for designing and
implementing Site LAN and WAN connectivity.
Laptop Workstation that is physically small enough to be carried around
and utilized in numerous locations.
LOB Line Of Business
Master Project Plan Has the meaning set forth in Section 2.2.1 of the Statement of
Work.

Mailbox Server A server running messaging software and is set up to home or
store user messages.
Network Management Managing all aspects of a network including configuration,
pertormance, accounting, security, operations, and crisis
management.
Per Seat or Seat An individual Intel-based Workstation in either a laptop or Desktop
form factor accessing a mailbox. Workstations functioning as file,
mail, and/or print Servers are not considered "seats°.
Purchase Order Documentation from Eagle County committing the procurement of
services or product from a specific vendor.
Purchase Request Document completed by Eagle County that initiates the purchase
process and lists information about the items Eagle County wishes
to have procured along with the required approvals and
authorizations and cost allocation information.
Rollout Schedule Rollout Schedule has the meaning set forth in Section 2.2.1 of the
Statement of Work. The Rollout Schedule will be coordinated with
Eagle County Implementation Managers, end-users, LAN
Administration and Customer Support Training programs.
Server A centralized computer which contains a Network Operating
System for control and access to the LAN and responsible for the
sharing of all required resources.
Single Point of Contact (SPOC) Ultimate support call setup, where end user places a single call
independent of call requirements. Help desk will either resolve the
call directly or route to the appropriate support group.
Site Site shall mean an Eagle County Service Location, as defined in
Appendix A of the Agreement.
Site Project Plan Site Project Plan has the meaning set forth in Section 2.2.1 of the
Statement of Work.
Sub-Project One of the Sub-Projects identified in the Statement of Work, as
follows: Engineering, Discovery/Survey, Design Build/Configuration,
Workstation Deployment, Work-at-Home End-User Deployment,
Infrastructure Deployment and Post Deployment Support.
WAN Wide Area Network -A series of computer and peripherals
physically and logically connected together in order to share
resources such as printers and files. There are no physical or
geographic limitations as to where these resources are located.
