Statement of Work
This Statement of Work (SOW) is intended to ensure that the consulting services project (Services)
planned with Novell Consulting (Novell) meets Eagle County's (Customer) objectives and
expectations. This SOW includes the following sections:
Objectives I An overall description of the project and the Customer's technical and business goals to
be achieved as a result
Project Scope of Work I A list of Services and associated Deliverables; including project boundaries, documents,
and estimated completion dates (if applicable)
Exclusions I Specific Services, Deliverables, or goals that are not included in this project
Novell Responsibilities A list of the overall engagement activities Novell must provide to ensure a successful
project completion
Eagle County Responsibilities I A list of services the Customer must provide to ensure a successful project completion
Standard Working Hours I Description of the hours in which Services wilt be provided
Proposed Schedule I Project dates
costs I A detail of the project costs, expenses, and any additional amounts to be bitted to

Objectives
The objective of this engagement is to provide Eagle County with a solution and plan to prepare for
a deployment of Novell NetWare® 5.1, eDirectory, and PurelP. Novell Consulting will review the
current network environment and documentation, analyze your organization's stated business
needs, and develop the solution for an optimal upgrade to NetWare 5. 1, eDirectory v85.12, and a
"Pure-113" NetWare architecture.
Project Scope of Work
The following sections outline the tasks and milestones, which will be accomplished during this
project.
Phase 1- Technical Assessment and Design System
• Conduct Basic NDS® Design and Health review
• Conduct Basic NDS Security assessment. This security assessment includes a
review of the NDS tree for NDS User account security issues and concerns.
(i.e. Review all accounts with "Administrator" privileges, review NDS tree
for hidden accounts)
• Conduct environmental assessment
• Review and Assess network /system environment
• Review and Assess client workstations
• Review and Assess printing environment and related dependencies
• Review and Assess NetWare server hardware
• Review and Assess NetWare server OS
• Review and Assess WAN architecture
• Prepare and deliver technical assessment and impact study report

• Determine/ review NDS v 85.12 design and configuration
• Recommend methods to address /revise current NDS structure and design
• Determine/ review recommended client software design

Notes:
1. Requests for Novell Consulting resources and schedules are managed by a Novell
Consulting branch manager and will be assigned based on mutual agreement with Eagle
County, the skill set needed for the engagement topic, and the availability of
consultants possessing the required skill set.
2. To ensure on- target delivery of services and deliverables, Novell Consulting will avoid
making "on- the - spot" changes to its customer's environment. If Novell Consultants
observe what they deem to be a "minor" change that will improve the health,
stability, or performance of the Eagle County tree, they will inform Eagle County of
this, so that Eagle County can choose to implement this change.
Exclusions
This engagement excludes the following:
• Complete implementation of recommendations, solutions, or suggestions. The scope of
this project is limited to two production NetWare 5.1 upgrades.
• A staff skills assessment.
• Troubleshooting of technologies outside of the scope of this Statement of Work
• Training (related or unrelated to the scope of this Statement of Work)
The Services and Deliverables described in this SOW constitute the entire project. If Eagle County
requests services in addition to the Services identified in this SOW, the performance of such
additional services will require a modification to the project Deliverables and any adjustment to
the schedule and /or fees to be paid by Eagle County. The Novell Consulting project manager or
lead consultant can track such requests via Change Order and arrange for such services to be
rendered.
Novell Consulting Responsibilities
To ensure the success of this consulting project, Novell Consulting will
• Provide on -site consultation with highly focused and trained consultants. Consultants may
perform an advisory role providing management teams timely input or research on related
technologies, while assisting in tactical and strategic planning.
• Review project milestones (Exhibit A) with Eagle County upon completion of the
engagement to ensure all deliverables, as specified in this Statement of Work, have been
completed.
Eagle County Responsibilities
Eagle County agrees to provide a purchase order for this Statement of Work, and will cooperate
with and assist Novell in the performance of the Services. Eagle County will provide the following:
A minimum of four (4) weeks lead time to allow scheduling of properly skilled consultants
for project.

• Appoint and make available a project manager to work with Novell for the duration of the
Services. (This person must have authority to act on behalf of Eagle County.)
• Furnish consultants with information and data on Eagle County's operations, activities, and
existing systems, as reasonably required to achieve the project objectives.
• Provide Novell consultants with necessary security access to networking systems and Eagle
County's facilities during the performance of Services.
• Provide adequate workspace and power sources at each facility where Services will be
performed.
• Provide suitable server platforms, with properly installed and patched network operating
system (NOS) software necessary for each project.
• If necessary, Eagle County shall be solely responsible to contract for telecommunications
facilities (data communications circuit, analog phone lines, wiring, etc.), and for the costs
associated with such facilities.
• Eagle County shall be responsible for the back up of all computer systems.
• Eagle County agrees to provide requested information about Eagle County's network
environment prior to initiating on -site work with the consultant. This information is
required for the completion of Services identified in this Statement of Work. Eagle County
understands that the availability of these resources is a critical success factor for the
project.
• Eagle County is responsible for ensuring adequate power sources are available for new and
existing equipment.
• Eagle County is responsible for implementing recommendations, solutions, or suggestions
proposed by the consultant and presented in the final project report.
Standard Working Hours
This SOW covers Services performed during standard business hours of Monday through Friday 8am
to 5pm. Depending on the type of project, any on -site Services performed after the standard
business hours will be charged at one and a half (1�i) times the standard rate. Any work performed
during weekends or holidays will be charged at two (2) times the standard rate. Weekend and
holiday hours begin at 7:01 PM on the day before any weekend or holiday and end at 6:59 AM the
day following the weekend or holiday.
Proposed Schedule
Unless otherwise negotiated between the parties, Novell will generally require three weeks lead -
time to start a project. Requests for consulting resources and schedules are managed by the
Project Managers and will be assigned based on mutual agreement, the skill set needed for the
project, and availability of consultants possessing the required skill set.

Costs

Costs for this consulting project are presented in the following table:
Price for engagement $34,000.00
Less MLA licensing discount - $3,400.00
Travel Expense Estimate: (20% Estimate, billed actual) $6,000.00
Total Costs (including fees and estimated expenses) $36,600.00
Eagle County AGREES TO PROVIDE A PURCHASE ORDER FOR THIS SOW. IF CUSTOMER DOES NOT
ISSUE PURCHASE ORDERS, THIS SOW SHALL SERVE IN LIEU OF ANY PURCHASE ORDER. In the
event Eagle County is required by law to withhold taxes, Eagle County agrees to furnish Novell all
required receipts and documentation substantiating such payment.
Novell Consulting will make an earnest effort to staff this project from local resources. The
likelihood of needing to bring in a Consultant from a remote branch for this engagement will be
greatly reduced with maximum lead -time between executing the Master Consulting Agreement and
this Statement of Work and the start date of the project. Billable travel and estimated travel
expenses apply only if the project cannot be staffed with a local Novell Consulting resource. The
estimated billable expense figure is provided for budgeting purposes. Only actual expenses incurred
will be billed to the project.
Terms and Conditions
BY SIGNING BELOW, CUSTOMER ACKNOWLEDGES AND AGREES THAT THIS STATEMENT OF WORK
SHALL BE GOVERNED BY THE TERMS AND CONDITIONS OF THE MLA BETWEEN NOVELL AND STATE OF
COLORADO ( "PRIME CUSTOMER "), CONTRACT NUMBER M5Z438 -032, AND THE ASSOCIATED PREMIUM
SERVICE GUIDE. THE PARTIES EXPRESSLY ACKNOWLEDGE THAT PURCHASE ORDER TERMS WILL NOT
APPLY.
IN WITNESS WHEREOF, each of the parties hereto have caused this Statement of Work to be executed by duly
