WEAR, TRAVERS, KRUEGER St PERKINS, P.C. 1000 South Frontage Road West Suite 200 Vail, Colorado 81657 CORRECTIVE EASEMENT DEED AND AGREEMENT (Water Line) WHEREAS, Eagle County Recreation Authority, a Colorado quasi-municipal corporation, as Grantor, and Edwards Station, LLC, a Delaware limited liability company, as Grantee are parties to that certain Easement Deed and Agreement (Water Line), recorded January 21, 1999 at Reception No. 684221 in the Real Estate Records of Eagle County, Colorado (the "Original Easement Deed"). All capitalized terms not otherwise defined in this Corrective Easement Deed and Agreement, shall have their meanings set forth in the Original Easement Deed. WHEREAS, the description of the Grantee's Property attached as Exhibit A to the Original Easement Deed incorrectly described Grantee's property benefited by the easement and the description of the easement attached as Exhibit C to the Original Easement Deed incorrectly described the location of the Easement. WHEREAS, Grantee, Edwards Station Association, the successor-in-interest to certain interests of Grantee and Eagle County, Colorado, the successor-in-interest to Grantor under the Original Easement Deed desire to correct the description of the Grantee's Property and the description of the Easement by replacing Exhibit A to the Original Easement Deed with a correct description of the Grantee's Property and replacing Exhibit C to the Original Easement Deed with a correct description of the Easement. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree that Exhibits A and C recorded with the Original Easement Deed shall be replaced and superseded by Exhibits A and C attached to this Corrective Easement Deed and Agreement. All other terms and provisions of the Original Easement Deed shall remain unchanged and in full force and effect.
