CONTRACT for PURCHASE, INSTALLATION of
A COLOR -CODED FILING SYSTEM
and CONVERSION OF FILES to new system
Eagle County Assessor Department
THIS AGREEMENT is made this day of _ 1993, by
and between the County of Eagle, State of Colorado, by and thro h its Board of
County Commissioners (hereinafter "the County ") and ROCKY MOUNTAIN
RECORDS MANAGERS, (the "Contractor ").
The County and the Contractor, in consideration of the mutual covenants
hereinafter set forth, agree as follows:
ARTICLE I. SCOPE
The County desires to purchase and Contractor agrees to provide and install
certain equipment generally described as "A Color -Coded Filing System" for
installation at the Eagle County Assessor Department, 500 Broadway, in Eagle,
Colorado.
The County agrees to purchase the Rocky Mountain Records Managers
equipment listed in Exhibit "A" attached hereto and incorporated herein by refer-
ence, and including installation and conversion of files, for the total price of
$36,850.00 as itemized therein.
Contractor shall install, on or before Sunday, April 4, 1993, all equipment
necessary for satisfactory operation of the system described above and complete
the conversion of the Eagle County Assessor's files to the County's specifications
which Contractor acknowledges it has reviewed and accepts.
Contractor guarantees County's total satisfaction with the operation of the
Color -Coded Filing system as provided herein. Contractor further warrants the
operation of the system to the standard for which it was designed and purchased.
ARTICLE 11. PAYMENT
The County agrees to pay the Contractor the total sum of $36,850.00, as
follows:
1. One -third of said amount ($12,283.83) upon the execution of this
agreement by both the County and the Contractor.
2. One -third upon delivery by Contractor of the filing system to County
premises.
3. The balance upon the satisfactory installation of the filing system and
County satisfaction that files have been converted without error.
Payments shall be by Eagle County warrant processed through the County's
normal bill - paying procedure.
ARTICLE III. PARTIES' REPRESENTATIVES /NOTICE
Any notice required herein shall be deemed to have been given if hand
delivered or mailed certified mail, postage prepaid, to the parties' representatives,
as follows:

ARTICLE IV. AGREEMENT DOCUMENTS
The parties acknowledge that the recitals herein and set forth in Exhibit "A"
attached hereto comprise the entire agreement between the County and Contrac-
tor. The provisions of this agreement may not be altered, amended or repealed
except in writing signed by Contractor and by the Chairman of the Board of County
Commissioners.

ARTICLE V. INSURANCE AND BONDS
The Contractor shall maintain during the period of installation of the systems
described herein, insurance and coverage protecting it from claims which may arise
out of or result from the Contractor's operations under this agreement, whether
such operations be by itself or by any subcontractor or by anyone directly em-
ployed by any of them, or by anyone for whose acts any of them may be liable.
Failure of the Contractor to comply with the foregoing insurance require-
ments shall in no way waive the County's rights hereunder.
ARTICLE VI. INDEPENDENT CONTRACTOR
This agreement does not create an employee /employer relationship between
the parties. It is the parties' intention that Contractor will be an independent
contractor and not an employee of Eagle County for all purposes, including, but not
limited to, the application of the Fair Labor Standards Act minimum wage and
overtime payments, Federal Insurance Contribution Act, the Social Security Act,
the Federal Unemployment Tax Act, the provisions of the Internal Revenue Code,
Colorado Revenue and Tax laws, Colorado Worker's Compensation law and the
Colorado Unemployment Insurance laws. Eagle County will not be liable for any
such obligation incurred by Contractor.
Contractor will retain sole and absolute discretion in determining the manner
and the means of carrying out its activities and responsibilities hereunder.
Contractor agrees that it is a separate and independent enterprise from Eagle
County, that it has a full opportunity to find other business, that it has made its
own investment in its business, and that it will utilize a high level of skill necessary
to perform the work.
ARTICLE VII. MISCELLANEOUS
A. No assignment by a party hereto of any rights under or interest in the
Agreement Documents will be binding on another party hereto without the written
consent of the party sought to be bound; and specifically but without limitation,
moneys that may become due and moneys that are due may not be assigned with-
out such consent (except to the extent that the effect of this restriction may be
limited by law), and unless specifically stated to the contrary in any written

consent to an assignment, no assignment will release or discharge the assignor
from any duty or responsibility under the Agreement Documents.
B. The County and Contractor each binds itself, its successors, assigns
and legal representatives with respect to all covenants, agreements and obligations
contained in this agreement.

COLOR -CODED FILE FOLDERS
24026 14 point manila, letter size file folder with a 12
digit computer generated strip label. The label will consists of
12 1/2" color coded numbers provided by the county with a computer
disk or tape. The label will also provide a bar code to match the
12 digit file number.
