Prior to the commencement of work, a retainer of $8000.00 will be received and placed in escrow to be credited against the final billing. The balance of the $9000.00 fee is to be paid within 30 days of the completion of this project. A monthly statement will be submitted to the EMS council showing professional services rendered for that period and a year to date total. Should work beyond the scope of service be required, it will be paid as extra work at a cost to be agreed upon prior to commencement of the additional work. The liability of B &B Communications for losses or damages arising out of errors, omissions, or negligence of B &B Communications while providing the professional services described herein shall be limited to the total fee due B &B Communications pursuant to this contract. EMS Communication Council Eagle County Council Members: } B &B Communications, Inc., hereafter referred to as B &B, in entering into an agreement with Eagle County agrees to perform the consulting service as listed scope of work below: .� • Design County wide EMS channel to communicate in UHF band, allowing ambulance and paramedic services to communicate with hospitals in both Glenwood Springs and Vail. • Design County wide EMS disaster channel for coordinating EMS response teams. • Design centralized control of base station repeaters . • Work with EMS council to develop grant request for Feb. 15 due date. • Survey county agencies for current inventory of radio equipment. • Develop five year communication plan for Eagle county government agencies. • Perform necessary site surveys for base stations and dispatch locations. • Perform frequency coordination with APCO and other agencies. • Define system requirements . • Develop detail bid specifications. • Supervise final acceptance test . (attachment 1) EMS Communication Council Eagle County December 17, 1992 Page 2 Eagle County will make available all pertinent drawings and equipment inventories and any other information that will assist in accomplishing this project. The cost for these services will be fixed at $9000.00 and is based on our good faith estimate of services necessary to complete the previously described tasks. This estimate consists of two hundred ( 200 ) hours of service performed. B &B will not be responsible for any costs associated with: Tower stress analysis for additional microwave dishes. • Microwave path analysis fee required for new microwave licensing. • FCC licensing fees required. • Lease or ownership agreements for equipment locations. • Any fees not directly implied in the above listed tasks. B &B will provide the EMS council a sign -off sheet for each stage of the project. An authorized signature indicates satisfactory completion of that task of the project. Upon completion or approval of the final acceptance test, B &B will not be held liable for any damage or failure of the system components . All of the services provided, as listed above, will be completed by December 31, 1993. B &B will not be obligated to provide any additional services 15 days after the final acceptance test. B &B will provide a detailed monthly statement for professional services rendered and draw from an escrow account the amount of funds required to cover those expenditures. B &B will obtain written consent prior to entering into any agreements for contracting services necessary for the completion of this project. By: James Boyd Manager EMS Communication Council Eagle County December 17, 1992 (Attachment 1) Acceptance Test Proposal The following is a guideline for the services B &B will provide concerning the final acceptance test. B &B will meet with the EMS council within 20 days of the completed installation of equipment and perform the necessary tests to evaluate the systems performance. The basis of these test will consist of the following: • Confirmation of the coverage area of the UHF medical channel per the counties requirements. • Confirmation of the coverage area of the UHF disaster response channel per the counties requirements. • Dispatch control of both UHF channels per the counties requirements. • Confirmation of the communication link from the base station sites to the control site. • Portable and mobile radio interface with the base station equipment. • B & B will be required to perform an acceptance test only on equipment installed by December 31, 1993.
