ZIF, 81631 BILLING ATTN: _MTKF BRADLEY BUILDING LOCATION Eagle County Justice Center 605 Chambers Avenue EQUIPMENT DESCRIPTION This agreement covers the equipment as identified in the Customer Equipment Record attached. 1. Edwards, through its field service representative, will make one regularly scheduled service call at 6 month intervals. The following services will be performed within the agreement period for the equipment specified on the Customer Equipment Record: a. Clean, adjust and test all control equipment. b. Inspect all outlying initiating and indicating devices. c. Provide labor to replace defective parts, as re- quired. 2. The regularly scheduled service calls will be es- tablished for the mutual convenience of Edwards and its customer. 3. The charge for this contract is $1 , 998 .00 includ- ing all labor, as described in Paragraph 1, travel, and is payable in payment(s) of $ 999 .00 . It does not include any materials, or parts which may be required. The aforesaid annual charge also does not include labor on electrical systems or wiring external to the Edwards equipment. 4. The customer will purchase from Edwards spare parts to support the Preventive Maintenance program. Spare parts will be sold by Edwards to the customer at the most recent Edwards published net price less 20 per- cent. Such emergency calls shall be charged at Edwards normal hourly labor rate in effect at that time, less * discount. Emergency calls will be re- sponded to between the hours of 9 A.M. to 5 P.M. Monday through Friday, except holidays. 6. This agreement is automatically renewed by and be- tween Edwards and the above -named customer unless RLS 181A Edwards or the customer notifies the other in writing thirty days or more prior to the expiration date of this contract. 7. Edwards may modify the annual charge at the renewal date and the agreement shall otherwise continue without change. However, the customer may notify Edwards within thirty days of receipt of the modification that it elects to terminate rather than accept the new annual charge. 8. An Emergency call may be expanded at the discretion of the Edwards Technical Representative to a regular schedule call. 9. Routine maintenance covered by this agreement shall be performed only by an Edwards Factory Service Repre- sentative or Service Technician. LIMITATION OF LIABILITY * SEE RIDER EDWARDS WILL REPAIR OR REPLACE ANY EQUIP- MENT COVERED BY THIS AGREEMENT UPON WHICH IT IS WORKING WHICH IS DIRECTLY DAMAGED BY EDWARDS ON SITE IN THE COURSE OF PERFORM- ING ITS SERVICE. SUCH OBLIGATION IS IN LIEU OF ANY AND ALL OTHER OBLIGATIONS AND LIABILITIES AND ALL WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR BY LAW. THIS AGREEMENT STATES EDWARDS ENTIRE AND EXCLUSIVE LIABILITY AND SETS FORTH THE ENTIRE AND EXCLUSIVE RIGHT OF THE CUSTOMER AGAINST EDWARDS ARISING OUT OF THE SUPPLY OF THE SERVICE. IT IS AGREED THAT EDWARDS WILL IN NO EVENT BE LIABLE FOR ANY FURTHER DIRECT, OR ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGE WHATSOEVER. This agreement does not apply to major repairs to, or replacement of, the equipment subject to this agree- ment, whether such major repairs be required by reason of vandalism, flooding, fire, lightning, power failure, in- stallation of incompatible equipment, improper operating procedure, or by any other cause beyond the control of Edwards. No representations of any kind have been made by Edwards to its customer except as set forth herein and this document contains the entire agreement between the parties. Emergency service including holidays and weekend service shall be available via Edwards :Hot Line ". 2 Free calls per year (on Fire Alarms only). Service above and beyond shall be charged at a base rate of $42 per hr. for on site labor. Travel time will be charged at a rate of $175 per visit or $42 per hr., which ever is less. 11. The facility shall provide any necessary man lifts, ladders or special equipment required for access for any and all devices. 12. The facility shall provide necessary escorts with keys to enter areas as required. Edwards Co. or it's representatives shall not be responsible for security of any inmates. 13. This contract will cover (1) full test per year. 14. 7 Fire doors will be tested twice annually in conjunction with the fire alarm test. Door testing and service will be done by Overhead Door Co., of Frisco, Co. 15. Door service calls will be performed at the base rate of $45 per hr. for the first man and $22.50 per hr. for the second man, plus $35 trip charge.
