CONTRACT
THIS CONTRACT is entered into this �_ day of
C) "DX�— , 1988, by and between the County of Eagle,
State of Colorado, by and through its Board of County Commissioners
(hereinafter referred to as "the County "); and FRED S. LAMES &
COMPANY OF COLORADO, INC. (hereinafter referred to as
( "Contractor ").
The County and Contractor, in consideration of the mutual
covenants hereinafter set forth, agree as follows:
ARTICLE I. SCOPE OF SERVICES TO BE PERFORMED
The Contractor will be responsible for the following:
A. Review of all current employee benefit plans currently
offered by the County to its employees to ascertain if
they are effective and comparable with those provided by
other governmental entities for the majority of the
employee population; after this review, recommendation
of future County insured benefit programs.
B. Recommendation of possible types of funding for employee
benefit plans. Research the advantages and disadvantages
of self- funding for some or all benefit plans.
C. Preparation of necessary requests for proposals for
presentation to insurance carriers for the purpose of
receiving quotations on desired coverages.
D. Analysis of proposals received and preparation of report
with recommendations. Review and analysis of draft
copies of insurance master policies.
E. Make recommendations of a preferred alternative between
a third party administrator versus direct claims handling
with carrier, or doing claims handling in- house.
Coordination of the administration and claims handling
procedure.
F. Act as liaison between the County and insurance carriers.
G. Preparation of comprehensive monthly and annual reports;
analysis of claims experience, benefit payments,
financial operations, insurance and administrative costs,
insurance carrier performance and reserves.
H. Presentation to the Eoard of County Commissioners at
public meeting of information relating to any or all of
the above duties.

ARTICLE II. TERM OF AGREEMENT
The Term of this agreement shall be for 1 year beginning the
15th day of October 1988 and ending the 15th day of October 1989.
ARTICLE III. COUNTYIS REPRESENTATIVE
The Director of Human Resources or her designee, or in their
absence the County Manager, is designated as the County's
representative for purposes of administering the Agreement
Documents. The County's Representative shall identify specific
tasks to be comDleted under this contract.
ARTICLE IV. AGREEMENT PRICE
A. The County shall pay the Contractor *01,000 per month for
services provided under this agreement. The Contractor
shall send an invoice to the County each month listing
the services provided and their value. The County shall
pay the monthly fee upon receipt of the invoice and
within its normal bill paying cycle.
B in the event that at the conclusion of this Agreement the
Countv has received services valued in excess of $12,000,
they County agrees to pay the additional cost of services
up to an addit--onal S2,000. In no event shall services
provided by the Contractor hereunder result in a cost
greater t-n-an 514,000.

E. The Contractor shall not receive any commission for
services performed under or related to this contract.
F Any communications development or printing costs must be
authorized by the County's Representative and are outside
the scope of this Agreement.
G. The Contractor may receive commissions from the sales of
any products provided to employees under Voluntary
Benef:it Plans. Said commissions are the responsibility
of the employee purchasing the product and shall be
included in the purchase price.
ARTICLE V. CONTRACTOR'S REPRESENTATIONS
In order to induc-z- the County to enter into this Agreement,
Contractor makes the follcwing representations:
A. All appropriate records and statistics will be made
available to Contractor for review and evaluation, with
the Contractor being responsible for their
identifications and collection. The County will not
provide clerical services, office supplies or permanent
office space unless otherwise negotiated. The County

will provide teir porary work space as needed. Any records
of a confidential nature shall be kept strictly
confidential by the Contractor.
B. Contractor has famill*arized.himself with the nature and
extent o` +-he work and with all federal, state and local
laws, ordinances, rules and regulations that in any
manner may affect cost, progress or performance of the
work.
C. All reports, data, notes, or other information provided
to the e Contractor by the County shall remain property of
the County, whether in their original form or some other
form adop*:e-d i0y till? Contractor. SI-ici-i reports•, data,
notes, or other information may not be used for any
purpose other t a n t hose intended herein unless
specifically authorised in writing prior to such use by
the Board of County Commissioners.

ARTICLE VII. AGREEMENT DOCUMENTS
This Agreement and the Contractor's Bid constitute
the entire agreement between the County and Contractor. The
Contract nay be altered, amended or repealed only by modification
on
in writing signed by Contractor and the Board of County
Commissioners.
ARTICLE VIII. 'MISCELLANEOUS
A. No assignment by a party hereto of any rights under or
interest in the Agreement Documents will be binding on
another party hereto without the written consent of the
party sought to be bound.
