In consideration of the sum of $13,684.81 Caterpillar Financial Services
Corporation ( "Seller ") hereby sells to Eagle County, CO ( "Buyer ") the
equipment described below (hereinafter the "Equipment "):
Description of Equipment Serial No.
1 Caterpillar PS130 Pneumatic Tire Roller 7ND00094
Buyer is purchasing the Equipment in reliance upon his personal inspection
and knowledge of the Equipment and in an "AS IS, WHERE IS" condition.
Seller makes no warranties of any nature, express or implied, except that
the Equipment is free of all encumbrances of any person claiming solely
through Seller. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SELLER
MAKES NO WARRANTIES WITH RESPECT TO THE QUALITY, CONTENT, CONDITION,
MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE EQUIPMENT.
Buyer agrees to defend, indemnify and hold Seller harmless from and against
any and all fees and taxes of any nature and from and against any and all
claims, losses, liabilities, demands, suits, judgments and causes of
action, and any costs or expenses in connection therewith, including
reasonable attorneys, fees, resulting from or arising in any manner out of
the sale of the Equipment to, or the ownership, possession, use or
disposition of the equipment by Buyer.
IN WITNESS WHEREOF, Buyer and Seller have duly executed this Bill of Sale.
