MOUNT SOPRIS TREE NURSERY ACQUISITION AGREEMENT
A. PARTIES.
1. The Board of County Commissioners of the County of
Eagle, Colorado (hereafter "Eagle County ") is a County of the
State of Colorado created by Article XIV of the Colorado
Constitution and Section 30 -5 -121, C.R.S.
2. The Board of County Commissioners of the County of
Pitkin, Colorado (hereafter " Pitkin County "), is a County of
the State of Colorado created by Article XIV of the Colorado
Constitution and Section 30 -5 -155, C.R.S.
B. AUTHORITY.
This Agreement is entered into, inter alia, pursuant to
Section 29 -1 -201, et se q., G.R.S., and Article XIV, Section
18, of the Colorado Constitution.
C. RECITALS.
1. Purpose. The purpose of this Agreement is to
establish rights and responsibilities with respect to the
acquisition of land by exchange owned by the U.S. Forest
Service formerly known as Mount Sopris Tree Nursery.
2. Land Involved. That portion of land owned by the
J.S. Forest Service and formerly used as a tree nursery and
located in Tracts 43, 44, 45, and 46 of Sections 3 and 4,
Township 9 South, Range 87 West of the Sixth Principal
Meridian in Eagle County, Colorado..,
D. OBLIGATIONS OF PARTIES.
1. The parties hereby agree to pursue the acquisition
by exchange of the Mount Sopris Tree Nursery for use as a
regional park or open space.
2. Designation of Lead Party. Eagle County will act as
the lead party in developing and carrying out an exchange for
the Mount Sopris Tree Nursery.
3. Responsibilities of Lead Party. In its capacity as
lead party, Eagle County shall be the lead jurisdiction in
making an exchange with the Forest Service to acquire the
Mount Sopris Tree Nursery. Eagle County shall be fully and
solely responsible for compliance with financial management,
environmental reviews, and record keeping requirements.
4. Contributions.
Eagle County shall contribute certain lands, mining
claims and dollar amounts towards acquisition of the Mount
Sopris Tree Nursery through exchange. The parties shall be
obligated up to the following contributions as may be neces-
sary to consummate the transaction.
A. Eagle County
1. Mining claims described in Attachment A.
2. Dollar Contributions as follows:
*Up to $20,000 for appraisals of mining
claims owned by both Counties.
*Up to $25,000 for lobbying costs if a
bill is introduced in Congress to create
the exchange.
*Up to $50,000 for title insurance on
mining claims owned by both Counties.
*Up to $30,000 to pay for the services of
a contractor (Western Land Exchange
Company) to facilitate the exchange.
*Up to $5,000 to pay for an environmental
analysis.
Total Contribution not to exceed $130,000.
B. Pitkin County
(1) Mining claims described in Attachment B.
(2) Dollar contribution up to $10,000 for
title insurance.
(3) The services of County employee(s) to
collect information to develop plans,
contracts, etc., as needed.
5. Ownership.
Eagle and Pitkin Counties will jointly acquire the
Mount Sopris Tree Nursery from the Forest Service, and each
county shall own an equal undivided interest in the property
if the exchange is successful. Both parties agree that

long -term management of the property shall be for recrea-
tional, park, open space, and government- related purposes.
Upon execution of a Memorandum of Understanding between the
two counties which describes Eagle County's long -term manage-
ment plans for the property, Pitkin County will convey its
entire interest in the property to Eagle County.
6. Amendments. The terms of this Agreement may be
modified or amended at any time by mutual written agreement of
both parties to this Agreement.

1. This MEMORANDUM OF UNDERSTANDING between the Boards
of County Commissioners of Eagle and Pitkin describes a
process for long -term management of the property known as the
Mount Sopris Tree Nursery, pursuant to the Mount Sopris Tree
Nursery Acquisition Agreement dated Marrh '11, 19,98
2. This MEMORANDUM OF UNDERSTANDING sets for the
parameters for Eagle County's long -term management of the
Mount Sopris Tree Nursery. This property is also described as
that portion of land owned by the U.S. Forest Service and
located in Tracts 43, 44, 45 and 46 of Sections 3 and 4,
Township 9 South, Range 87 West of the Sixth Principal Meridian
in Eagle County, Colorado.
3. As mandated at Sec. D5 of the Mount Sopris Tree
Nursery Acquisition Agreement, both Boards of Commissioners
"Agree that long -term management of the property shall be for
recreational, park, open space, and governmental related
purposes."
NOW, THEREFORE, the parties hereto agree as follows:
1. Not later than July 1, 1990, the Eagle County Board
of Commissioners will distribute a draft Park Plan to the
following entities:
a. Town of Basalt
b. Mid Valley Economic
c. Pitkin County
d. Colorado Division of
Development Association
Wildlife
2. Not later than December 31, 1990, the Eagle County
Board of Commissioners will receive comments and direct
consultation from the same entities.
3. Not later than March 1, 1991, the Eagle County Board
of Commissioners will adopt a detailed park management plan
for the property, sufficient to identify short -term and
long -term uses for the property.
4. The Park Plan shall include fairgrounds, fishermen's
access, senior citizen activities, and other park and recrea-
tional uses.
5. Upon execution of this MEMORANDUM OF UNDERSTANDING,
Pitkin County will convey its entire interest in the property
to Eagle County, and agrees to deed any interest it subse-
quently obtains pursuant to the land trade contemplated in the
agreement described in Paragraph 1 of this memorandum.
6. Any provision of this MEMORANDUM OF UNDERSTANDING
may be modified by mutual consent in writing of the Boards of
County Commissioners of both counties.
