THIS CONTRACT is entered into as of this 1st day of January_'
19 88, by and between Eagle County
with principal office located at 550 Broadway,
C88 -05 -35
Eagle, Colorado (hereinafter referred to as the Employer),
and Colorado West Regional Mental, Health Center, Inc. with its principal
office incated at 2014 Blake Avenue, Glenwood Springs, CO 81601 (hereinafter
referred to as E.A.F. Contractor). +
WITNESSET11 THAT:
The Employer and the EAP Contractor do mutually agree as follows:
I. STATEMENT OF WORK:
The EAP Contractor shall, in a satisfactory and proper manner
as determined by the LT-ployer, perform the work as set forth in Exhibit
"A ", STATEMENT OF WORK AND /OR SPECIAL CONDITIONS, attached hereto and by
this reference made a part of this Contract as if fully set forth
herein.
II. PERIOD:
The EAP Contractor shall commence performance of this contract
on they. 1st day of January 19 88 ., and end on the 31st
day of December 1988
III. COMPENSATION:
The EAP Contractor shall be compensated for services performed
under this contract, upon the submittal of invoices, by no more than the
amounts set forth in Exhibit "B" CONTRACT BUDGET, attached hereto, and by
this reference made a part of this Contract. The time schedule of payments
is as follows:
January 1, 1988 First Quarter Payment in amount of $1,358;
April 1, 1988 Second Quarter Payment in amount of $1,358;
July 1, 1988 Third Quarter Payment in amount of $1,358;

IV. LIMITATION OF COST:
It is expressly understood and agreed that in no event will the
total amount to be paid by the Employer to the EAP Contractor under the
terms of this Contract exceed $ See pg. 1 for full and complete satisfactory
performance or $ See pg. 1 per for performance of Statement
of Work during the Contract period. If any payment in excess of such limit
is made without a specific written agreement waiving this limitation, or
any advance payment for services is made and the services are not provided,
the EAP Contractor shall promptly refund such excess payment upon. demand
of the Employer.
V. TERMINATION OF CONTRACT:
The Center or the Contractor may terminate this contract prior
to its expiration date by giving thirty (30) days written notice.
VI. CHANGES AND AMENDMENTS:
The Employer may, from time to time, request changes in the
scope of the services of the EAP Contractor to be performed hereunder.
Such changes including any increase or decrease in the amount of the EAP
Contractor's compensation, which are mutually agreed upon by and between
the Employer and the EAP Contractor, must be incorporated in written amend-
ments to this contract. This Part shall also apply to any other changes
or modificaitons requested to be made by either party. No such amendment,
change, or waiver of any provision of this Agreement shall be binding upon
the Employer unless it is executed by a duly authorized officer of the Em-
ployer.
VII. COMPLIANCE WITH LAWS AND STANDARDS: (also see Part VIII,
Confidentiality)
Each of the parties hereto shall comply with all applicable
laws, ordiances, codes, and lawful regulations, of Federal, State, and Local
governments, and of public agencies having jurisdiciton over any, activity
covered by this Agreement. To the extent there are standards of recognized
professional and accrediting organizations which are relevant to such acti-
vities and if such standards are not in conflict.with the terms of this
Standard Form or, the attachment(s) hereto, such standards' shal I also be
deemed applicable hereto.

VIII.
CONFIDENTIALITY:
The EAP Contractor agrees not to divulge any information obtained
in.the course of such service to unauthorized persons, and not to publish
or otherwise make public any information regarding persons who have received
services such that the personwho received services is identifiable. The
EAP Contractor further agrees to abide by the provisions of any additional
or subsequent limitation on the disclosure of such information as may be
made known- by the Employer at any time after the date of execution of this
contract (provided that no such limitation shall be deemed applicable on
a retrospective basis). The restrictions imposed by this Part shall be
made known to all employees and agents, and appropriate education and train-
ing regarding confidentiality requirements and procedures shall be given
to any such employee or agent who is expected to have access to information
of the type described herein.
IX.
INDEPENDENT CONTRACTORS:
The EAP Contractor shall, at its own cost and expense, maintain
in full force and effect during the terms of this agreement the following
policies of insurance:
(a) General Comprehensive Liability Insurance against injury
in a sum of at least $500,000 for all damages arising out of any one occur-
rence of bodily injury, including death, at any time resulting therefrom
• and $500,000 for all damages arising out of injury to, or destruction of
property on any one occurrence. In addition, this policy shall specifically
include blanket contractual liability, completed operations coverage and
medical malpractice insurance in limits of not less than $500,000.
(b) Worker's Compensation insurance in accordance with the
provisions of the Worker's Compensation Act of the State of Colorado, for
all of its employees to be engaged in Services and in case services are
subcontracted, the EAP Contractor shall require. the subcontractor similarity
to provide the Worker's Compensation insurance for all the latter's employees
to be engaged in'such services.
X. INDEMNIFICATION:
The EAP Contractor agrees to indemnify, defend and hold harmless
the Employer, its respective agents, affiliates, officers, directors, servants

and employees of and from any loss, cost, damage, injury, liability, claims,
liens, demands, actions or causes of action, whatsoever, arising out of -
or related to negligent acts, errors or omissions, or that of its employees,
consultants, etc., whether contractual or otherwise.
XI. CENTER OPERATIONAL STANDARDS AND POLICIES:
The EAP Contractor agrees to comply and to assure compliance
by its employees with all operational standards, policies, and rules and
regulations of Employer as may be applicable to the work to be performed
pursuant to this contract.
XII. ASSIGNMENTS:
The contract shall not be assigned by either party without the
prior express written consent of the other party. The provisions of this
contract and all obligations arising hereunder and extend to, be binding
upon, and inure to the benefits ofthe heirs, executors, administrators,
successors, and assigns of each of the parties hereto.
IN WITNESS WHEREOF, the Employer and the Contractor have executed this Con-
tract as of the date first above written.

EXHIBIT "A"
Contract For Employee Assistance Services
For January 1 to December 31,1988
STATEMENT OF WORK AND /OR SPECIAL CONDITIONS
EAP
1) Scope of Services
The EAP Contractor shall provide to all Eagle County
employees or immediate family members of employees a profes-
sional employee assistance program to include, but not be
limited to the following:
a) Assessment and referral services consisting of not
more than three visits per person for an Eagle
County employee or any member of such employee's
family, with no charge to the employee or family
members.
b) Supervisory training as needed concerning the use of
the services.
c) Consultation with Eagle County supervisory personnel
regarding management of problematic circumstances in
the supervision of employees.
2) Obligations of Colorado West
a) Coordinate the scheduling of appointments with Eagle
County employees and family members.
b) Colorado West shall provide to Eagle County quarter-
ly reports concerning use of the services by Eagle
County employees and family members. Such reports
shall not jeopardize the confidential relationship
between Colorado West and the Eagle County employees.
c) Colorado West and Eagle County, in a cooperative and
timely manner, shall inform County employees and
their families of the EAP services.
3) Obligation of Eagle County
Eagle County and Colorado West, in a cooperative and
timely manner, shall inform County employees and their fami-
lies of the EAP services.
4) Compensation
The total compensation for EAP services from January 1,
1988 to December 31, 1988, shall be $5,432.00. Such compen-
sation shall be payable quarterly.
