THIS AGREEMENT is made this day of August,
1987, by and between the County of Eagle, State of Colorado,
by and through its Board of County Commissioners, hereinafter
"the County," and Frank L. Martinez, d/b/a Martinez Janitorial
Service, hereinafter "Contractor."
The County and the Contractor, in consideration of the
mutual covenants hereinafter set forth, agree as follows:
ARTICLE I. SCOPE OF WORK
Contractor shall complete all work as specified or
indicated in the Agreement Documents. The Work is generally
described as cleaning of the following County Buildings
located in Eagle, Colorado:
1. Eagle County Justice Center: Cleaning of this
building will include the atrium, courtrooms, District Attor-
ney's offices, court offices, and public and employee restrooms
adjacent to such areas.
2. McDonald Building: Cleaning in this building shall
include all offices, hallways, meeting rooms, and restrooms.
3. Eagle County Courthouse: Cleaning shall include all
offices, hallways, meeting rooms, and restrooms.
4. Castle Peak Building: Cleaning shall include the
Human Resources offices, Public Health offices, public common
areas, and the Data Processing office (but not the computer
room).
5. Eagle County Library: Cleaning shall include all
rooms containing the library collection, reading rooms, hall-
ways, restrooms, offices, and meeting rooms.
6. Building and Grounds Office: Cleaning shall include
offices, restrooms, and storage rooms. The shop area shall
not be included.
7. Extension Office: Cleaning shall include all
offices, common areas, and both restrooms.
8. Road and Bridge Office: Cleaning shall include all
offices, common areas, meeting rooms, hallways, and restrooms.

Cleaning shall be performed in each building or office
according to the Cleaning Schedule attached hereto and made a
part hereof as Exhibit A. Snow removal is not included.
Contractor shall provide all manpower, tools, equipment,
bathroom tissue, and cleaning materials needed to perform the
work contemplated herein. The County will provide, where
possible in each building, space to store supplies and equip-
ment. Storage areas may be locked, if the County's Represen-
tative is provided with access. The County will provide
dumpsters and trash pick-up.
Cleaning must be accomplished between the hours of 6:00
p.m. and 6;00 a.m. the following day, Monday through Friday.
The names, addresses, and social security numbers of
persons performing work required herein must be submitted
three days prior to the day they begin work. All such persons
must pass a background investigation performed by the Eagle
County Sheriff's office. All employees must wear identifica-
tion badges or uniform shirts which identify them as employees
of the Contractor. Such identification will be provided by
the Contractor. Contractor shall provide necessary training
to employees.
ARTICLE II. COUNTY'S REPRESENTATIVE
The Eagle County Building and Grounds Supervisor or his
designee, or in their absence, the Director of Public Works,
is designated as the County's representative for purposes
required in the Agreement Documents.
ARTICLE III. PAYMENT
The County agrees to pay the Contractor $5,940 per month
for the performance of the work in accordance with the Agree-
ment Documents, upon receipt of an invoice by the Buildings &
Grounds Supervisor, Eagle County, P.O. Box 850, Eagle, Colorado,
81631. Payment will be made by Eagle County Warrant within
thirty days of receipt of the invoice for work completed the
previous month. Payment for partial months shall be prorated
accordingly.
ARTICLE IV. TERM
Services under this Agreement shall begin at the direc-
tion of the County Representative and continue through the end
of August, 1988.

County will make periodic inspection as to completeness
and quality of the performance of the work herein described.
If the work is deficient, the County shall notify Contractor
in writing of the specific deficiencies. The Contractor shall
have ten working days to correct the work. If after such
notice and correction period Contractor fails to remedy the
deficiencies, County shall have the right to terminate this
Agreement. County shall not be liable for damages caused by
such termination.

The Agreement Documents which comprise the entire agree-
ment between the County and Contractor are attached to the
Agreement, made a part hereof and consist of the following:
A. This Agreement.
B. Bid Documents and Contractor's Bid.
C. Exhibit A.
There are no Agreement Documents other than those listed
above in this Article V. The Agreement Documents may be
altered, amended or repealed only by a modification in writing
signed by Contractor and by the Chairman of the Board of
County Commissioners.
ARTICLE VI. INSURANCE AND BONDS
The Contractor shall purchase and maintain during the
term of this Agreement insurance in the following types and
coverages protecting him from claims which may arise out of or
result from the Contractor's operations under this Agreement,
whether such operations be by himself or by any subcontractor
or by anyone directly or indirectly employed by any of them,
or by anyone for whose acts any of them may be liable.
A. Workmen's Compensation shall be carried, including
coverage for disability, for all persons performing services
under this Agreement.
B. General Liability Coverage shall be carried in the
minimum amount of $400,000 for coverage of claims for damages
arising from the performance of services under this Agreement,
including but not limited to personal injury or death, property
damage, and other damages imposed by law upon the Contractor

and each subcontractor with respect to all work performed by
them.
C. Comprehensive Motor Vehicle Insurance shall be
carried in the minimum amounts of $150,000/$500,000 for bodily
injury, and $500,000 for property damage, each occurrence.
All liability and property damage insurance required hereunder
shall be Comprehensive General and Automobile Bodily Injury
and Property Damage form of policy.
D. Subcontractor's Insurance: Before permitting any of
his subcontractors to perform any work under this Agreement,
Contractor shall either (1) require each of his subcontractors
to 'procure and maintain, during the life of his subcontract,
insurance which meets the requirements for the Contractor
herein, or (2) provide for insurance of the Subcontractor in
Contractor's own policy in the amounts required hereinabove.
E. Certificates of Insurance: Certificates of Insurance
acceptable to the County Attorney shall be filed with the
County Attorney's Office prior to commencement of the work.
These Certificates shall contain a provision that coverages
afforded under the policies will not be cancelled until at
least fifteen days' prior written notice has been given the
County. Contractor shall not permit any of his subcontractors
to start work until all required insurances have been obtained
and the certificates with the proper endorsements have been
filed with the Contractor and the County Attorney.
F. Bonding: Each employee performing work hereunder
shall be bonded in an amount of $1,000.00 to the benefit of
the County.
Failure of the Contractor to comply with the foregoing
insurance requirements shall in no way waive the County's
rights hereunder.
ARTICLE VII. MISCELLANEOUS
A. No assignment by a party hereto of any rights under
or interest in the Agreement Documents will be binding on
another party hereto without the written consent of the party
sought to be bound; and specifically but without limitation,
moneys that may become due and moneys that are due may not be
assigned without such consent (except to the extent that the
effect of this restriction may be limited by law), and unless
specifically stated to the contrary in any written consent to
an assignment, no assignment will release or discharge the
assignor from any duty or responsibility under the Agreement
Documents.

B. Owner and Contractor each binds himself, his part-
ners, successors, assigns and legal representatives in respect
to all covenants, agreements and obligations contained in the
Agreement Documents.
IN WITNESS WHEREOF, the parties hereto have signed this
Agreement in duplicate. One counterpart each has been deliv-
ered to County and Contractor.

I am very pleased in presenting to you a well established plan for a
cleaning contract bid with your firm.
As stated above, my name is Frank L. Martinez. I have been a resident of
Eagle County for 24 years, and a resident of Eagle for 8years. I am 48
years old and my health is in good condition.
I am very interested in the bid building contract, and would like to begin
by letting you know why I feel that I would be the perfect individual for
this offer.
I feel that my past experiences in the work force qualify me for being the
controller of this contract. I have had several experiences in supervising,
and have always done an efficient job. I have always done well in planning
and setting up job duties.
Upon receiving the building contract, I will have immediately a well choosen
staff. This staff will include: myself, my wife, and two sons. I feel that
working as a family to begin with will well benefit this business.
I would like to give you some past experiences and history of myself,'and my
family.
Next is my wife, Helen Martinez. She has been employeed with Robert T.
Lazier for 24 years as a supervisor and housekeeper for a busy resort lodge
in Vail Colorado. She maintains an excellent working staff, and enjoys her
work to the fullist. She has a great deal of knowlege of working in the
cleaning service. I feel that her being on my staff will be a great attribute.
Her work performance is always considered as being excellent by her employer.
Next is my son, Rick Martinez. Rick has always been an enthusiastic and
hard worker. He as well gained a substancial amount of knowlege in the
cleaning business,by working with his mother Helen. After graduating from
High School, he continued education in college, and later joined the Navy
where he was actively on duty for 4 years. I feel that he will make an
excellent addition to this business because of his great experiences in the
work force.
Next is my son, Gary Sam Martinez. Gary has worked closely for several
years with his mother „ and as well gained a great deal of knowlege in the
cleaning business. After High School, he continued working with his mother
and became a housekeeping supervisor within the same company. After his
supervising for 2 years, he continued college education and earned a degree
in the medical field. I feel that he will also make an excellett addition
to this company.
In 1963 I began work in the

We performed excellent in cleaning these offices, and were acknowleged

I feel that I am an excellent candidate in pursuing this building contract.
Being familar with all the necessary tools needed, have I come to realize
how excellent I would function as a professional business.
Being a local resident of Eagle.I-'fdel is important in pursuing this.
business. No traveling is required, and because of this, it makes my

EAGLE COUNTY CLEANING CONTRACT
Pre Bid Meeting
Minutes of the Meeting
July 17, 1987
Buildings & Grounds held a meeting for pre bidders on July 17, 1987,
at 10 a.m. in the Buildings & Grounds office.
ATTENDANCE Lazy L Bar F Enterprises - Lynn Pleasant, Frank L. Martinez,
Clean Machine Commercial and Residential Cleaning - Cherry Froyland,
Mike Bradley, and Margie Turgeon.
BUSINESS Mike would like to send a copy of the contract to each of the bidders
when the Attorney's office completes them. Mike handed out the bid
packets and went over the packet.
The County takes the option to have sane or all of the buildings
cleaned. The budget will be the deciding factor for what will be
included in the contract.
Insurance and bonding is required and is stated in the packet.
When the bid packets are turned in, a letter from the bidders'
insurance company stating that they will insure your company, if
granted the contract.
Currently the County has two people working the night shift to do
the cleaning. This has been in effect for about 2 years.
The contract is for one year. If things are going well, it will
be rolled over to the next year. If it's not going well, it will
not be rolled over.
The security area at the Justice Center is not in the bid.
WALK THROUGH
THE BUILDINGS The Buildings and Grounds offices was the first building we walked.
through. The County will supply light bulbs and will be replaced
by the cleaning people to any of the buildings. Any repairs to
leaky sinks and toilets will be the Buildings & Grounds responsibility,
and the cleaning people will make a note when they find any problems.
If no papers are on desks, they should be cleaned.
The McDonald building was next on the list. The coal heat requires
more dusting in this building during the winter. Remodel projects
by Buildings & Grounds will make a mess, so we will notify the
cleaning people when there are remodels. Good carpet cleaning
needs to be done semi-annually. Lights need cleaned as needed to
remove the flys. Clean around any computers. Do not include the
Civil Defense or the storage area at the mail room. Gravel gets
tracked in during the winter months.

WALE THROUGH
THE BUILDINGS Castle Peak was the next building. The refrigerator in the lunch-
room needs to be cleaned out each week and defrosted as needed.
Plants are cared for and cleaned up by the employees that bring
them into the office. Data Processing offices are included but
not the equipment roan. Do not clean Data Processing offices if
too many cables are crossing the floor. Colorado West Professional
Counseling Center is not in the bid. The Nurses office is
completely cleaned daily. The trash is to be taken out of the
Nurses office very carefully because of used syringes.
The Courthouse was the next building. Clean the cigarettes out
of the cans at the entrance daily. Clean the Courtroom only as
needed. The modular jail is not included. Common area lunch room
will not require cleaning the refrigerator. Sweep the handicapped
entrance. Phone room is not included along with the back stairs.
The Road & Bridge offices includes just the modular.
The Extension office includes the modular office just south of the
Exhibit hall. This building receives heavy traffic and has no
janitorial storage roon.
The Justice Center will have an addition of 3,000 feet to start
construction possibly in August. When entering the Justice Center,
cleaning people will check in with the Sheriff's office. Keys are
needed for the paper towels in the restrooms. Dust around all
book shelves including the law library. The addition will not
have a jury box and will be 10 to 15 feet shorter than the existing
court rooms. No abrasive cleaners will be used on the signs. Do
not clean the refrigerator.
We walked through the Library last. All cam -on areas and restrooms
are included.
BUSINESS Mike will try to put the bid to the Board of County Commissioners
on Monday August 3, 1987. The bid should be awarded that same
week.

Building Summary:
1. Eagle County Justice Center - The Justice Center is two years old. And is
used as Eagle County's detention center, law enforcement, and judicial head-
quarters. The cleaning of this building will be limited to the atrium, court-
rooms, D. A. offices, public and employee restrooms, and court offices. This
building is in use 24 hours a day, 7 days a week.
2. McDonald Building - The McDonald building was built in the early 1900's. And
is used as Eagle County's administrative center. As well as the offices of the
Board of County Commissioners. All offices, hallways, meeting rooms, and rest -
rooms will need cleaning. The typical office hours are 8:00 a.m. to 5:00 p.m.
Monday through Friday.

3. Eagle County Courthouse - The Courthouse was built in 1932. And is used to
house most of the Elected offices along with the Social Services offices.
All offices, hallways, meeting rooms, and restrooms will need cleaning. The
typical office hours are 8:00 a.m. to 5:00 p.m. Monday through Friday.
4. Castle Peak Building - The Castle Peak building was build in 1961. And is
used to house the County Health office, Personnel office, Data processing
office, and Colorado West Mental Health office. The Cleaning would be
limited to the Personnel offices, Public Health offices, Data Processing office
(not the computer room). The typical office hours are 8:00 a.m. to 5:00 p.m.,
however the Data Processing and Mental Health office do see some evening use.
5. Eagle County Library - The Library was remodeled from a home and doctors office to
the County Library four years ago. And since has been used as the main
County Library. The cleaning would include all book rooms, reading rooms,
hallways, restrooms, offices, and meeting rooms. The typical Library hours are
Monday, Thursday, Friday 9:00 a.m. to 6:00 p.m.; Tueaday, Wednesday 9:00 a.m. to
8:00 p.m.; and Saturday 10:00 a.m. to 4:00 p.m.
6. Buildings and Grounds Office - This building was built in the 1950's. And is
used today to house the Public Works, Buildings and Grounds department. The
cleaning would be limited to offices, restrooms, and storage rooms. The
typical office hours are 8:00 a.m. to 5:00 p.m. Monday through Friday.
7. Extension Office - The Extension office is located at the Eagle County Fair-
grounds, just south of the Exhibit hall. This is a modular building and was
installed five years ago. It serves as the location for the Extension Service
and Fair Manager office. The cleaning would include all offices and open
space, along with both restrooms. The typical office hours are 8:00 a.m. to
5:00 p.m. Monday trough Friday.
8. Road and Bridge Office - The Road and Bridge office is a modular building
purchased six years ago. And is used as the Road and Bridge headquarters.
The cleaning will include all offices, open space, meeting rooms, hallways,
and restrooms. The typical office hours are 8:00 a.m. to 5:00 p.m. Monday
through Friday.

Cleaning Materials Equipment and Manpower: The contractor will be required to
provide all the manpower, tools, equipmnt , and cleaning materials,needed
to complete the job. The County will provide a place, where possible in
each building to hold some supplies and equipment. The above mentioned
storage rooms may be locked. However the contractor must give the County
Buildings and Grounds Department access. The County will provide the dumpsters
and dumpster trash pick-up.
Snow Removal: Snow removal is not included and should not be included in your
bid.
Hours to be Worked: All cleaning work must not start before 6:00 p.m. and must
be completed by 5:00 a.m. Monday through Friday.
Contractors Cleaning Staff: All persons employeed by a contractor to clean the
above mentioned buildings, must pass the Eagle County Sheriff's back-
ground investigation. Along with meeting the bonding requirements mentioned
under insurance. All contractor employees must wear badges or like shirts
that identify the employee and company name.
Pre -Bid Meeting: All parties must attend the pre -bidders meeting in order to bid
on this job. The date for this meeting is 7-17-87 at 10:00 a.m. and will be
held at 591 Broadway, Eagle, Colorado, in Mike Bradley's office.
Insurance and Bonding: The contractor will provide the County with proff of
insurance in the amount of, general liability coverage in the amount of
$150,000.00 per person, $400,000.00 per occurrence.
The contractor will also provide proff of workmen's compensation coverage.
Each of the contractor's employees working on the above mentioned job will
be minimum of $1,000.00
Bid Due Date: All bids must be received in the Buildings and Grounds office on
July 31, 1987, by 12 noon.
The Board of County Commissioners may accept the proposal it determines
most advantageous to Eagle County and its citizens. The Board riserves the
right to reject any or all proposals if it so deems appropriate.
