THIS AGREEMENT, made by and between the County of Eagle,
State of Colorado, by and through its Board of County Commis-
sioners, P.O. Box 850, Eagle, Colorado 81631, hereinafter
called "County"; and Loco Inc. - Lipson Oil Co., 631 South
Ninth Street, Grand Junction, Colorado 81501, hereinafter
called "Contractor."
WHEREAS, the Contractor did submit a proposal on supply-
ing the County fuels as per attached quote and previously
filed with County, which proposal is by reference made a part
hereof; and
WHEREAS, the products needed by the County and their
estimated quantities are:
16,000 gallons Regular Gasoline, Octane 85;
55,000 gallons Unleased Gasoline, Octane 87;
120,000 gallons Diesel Fuel; and
WHEREAS, that quantities are estimated and the County
reserves the right to increase or decrease quantities as
needed; and
WHEREAS, Contractor was the low bidder and is capable of
sufficiently meeting the County's fuel needs.
THEREFORE, in consideration of the following mutual
agreements and covenants to be kept by each party, it is
agreed as follows:
SCOPE OF WORK
The Contractor agrees to deliver such quantities of fuel
as the County may order. Contractor agrees to furnish and pay
for all labor, tools, equipment, machinery, supplies, transpor-
tation, taxes, utilities and services necessary to procure and
deliver the products ordered hereunder.
PRICE
The parties agree that the County shall be charged and
shall pay the following prices:
a) Regular Gasoline, Octane 85, and Unleaded Gasoline,
Octane 87: the Rack price (the refinery retail price) plus
$.03365 per gallon delivery, plus $.02 per gallon mark-up.
b) Diesel Fuel: the Rack price plus $.0378 per gallon
delivery, plus $.02 per gallon mark-up.
DELIVERY
Delivery shall be made upon the request of the County
Road & Bridge Supervisor at various locations throughout the
County. The County agrees to order and accept amounts corres-
ponding to full truckloads.
CERTIFICATIONS
Contractor agrees to provide certification of Octane
levels and of the absence of alcohol products in the fuels it
delivers to the County. Such certifications shall be made on
request.
INSURANCE
Contractor agrees to maintain general liability insurance
coverage for its acts in a minimum amount of $500,000.
Contractor further agrees to provide for Workmen's Compensa-
tion for its employees. Contractor shall also provide Vehicle
Liability Insurance with a minimum coverage of $400,000 per
accident. All coverages shall be maintained for the duration
of this contract at the Contractor's expense. Certificate of
such insurance shall be provided by the Contractor to the
Eagle County Attorney.
TERM AND TERMINATION
The contract period shall be from the date of execution
through December 31, 1987. Upon expiration of this contract,
it shall be deemed extended on a month-to-month basis unless
and until a new bid is accepted for the supply of fuel, or
notice is given by either party that the contract is terminated.
It is the intention of the County to purchase the fuel
specified herein from a source of supply that will give
prompt, convenient service at a competitive price. The County
reserves the right to terminate this contract at any time if
at the discretion of the County such service or pricing is not
provided. Failure to comply with any of the requirements of
this agreement will be cause for immediate termination of the
contract.
