LETTER OF AGREEMENT
This is a Letter of Agreement by an
County of Eagle, State of Colorado, by its Board of County
Commissioners (hereinafter the "County"), and Joyce Communica-
tions, Inc., a California corporation, d/b/a KEYQ (hereinafter
""KEYQ'"), to allow KEYQ to use the County's Eagle Beacon to
support a translator pertaining to and for the use of KEYQ.
This Letter of Agreement is subject to approval by the Bureau
of Land Management. The County and KEYQ agree as follows:

1. KEYQ shall coordinate with Eagle Telecommunica-
tions, Inc./Eagle with regard to the placement of phone
equipment on the Eagle Beacon.
2. The County shall pay all electrical power costs
to run the beacon and KEYQ translators up to $10.00 per month
additional cost. Any cost in excess of $10.00 per month
shall be billed to and paid by KEYQ.
3. KEYQ agrees to repair, renovate and maintain the
existing building for its use and for use by the County for
minor storage purposes.
4. KEYQ agrees to install a power switch with a
six -breaker capacity. Further, there shall be one breaker for
the Eagle County beacon and equipment and whatever is needed
by KEYQ but leaving at least two spots for other users.
5. KEYQ agrees to provide its own liability insur-
ance and workman's compensation and further agrees to
indemnify and hold harmless the County, its agents and em-
ployees for any and all damage to equipment or personnel and
from any action or claim arising from the installation or
operation of the equipment.
6. It is agreed that KEYQ shall pay a fee of one
hundred dollars ($100.00), payable in advance, which fee shall
cover the term of this letter of agreement.
7. It is understood that the access road on the
Bureau of Land Management is a four-wheel drive road in good

weather and shall be maintained as such. Further, said road
may be impassable during inclement weather. During winter
months, said road will not be plowed.
8. KEYQ must obtain its own access easement to the
Bureau of Land Management road mentioned in paragraph 7
hereinabove.
9. In the event of any damage to the County's Eagle
Beacon arising from the installation and/or operation of KEYQ
equipment, KEYQ agrees that KEYQ is solely responsible for the
prompt repair of any damage so caused.
10. Should any conflicts be caused by KEYQ equip-
ment with the electronics or communications equipment at or
for the Eagle County Airport, KEYQ agrees to immediately
disconnect all KEYQ equipment installed at the Eagle Beacon.
11. This agreement shall expire on April 6, 1987.
In the event KEYQ desires to continue to lease the Eagle
Beacon to support its translator, a formal written lease
agreement shall be considered by the Board of County Commis-
sioners at a public hearing held for that purpose.
