AND rTHE COUNTY OF EAGLE, STATE OF COLORADO, THIS AGREEMENT dated the ham-' day of �Colorlado, �"-�"—, 19�, is between the County of Eagle, Stat! by and through its Board of County Commissioners ("the County"), and Wright Water Engineers, Inc. ("Wright"). IT IS HEREBY AGREED THAT: I. WRIGHT WILL PERFORM THE FOLLOWING SERVICES FOR THE COUNTY: A. Wright shall review materials which include, but are not limited to, the following: 1. The application to the Eagle County Commission- ers and attached materials for approval of the Homestake II Water Project dated May 20, 1985 ("the Project"). 2. Wetland reports to be released by the proponents of the Project. 3. Letters and reports on the Project which opponents have sent to the County. 4. Other materials related to the Project which the County may provide. 5. Miscellaneous reports and data that are in the Wright library and files, such as stream flow data, salinity reports, diversion records, maps, and water rights lists. It is estimated that the review of the materials and the definition of critical issues will cost $4,000.00. B. After review of the material, Wright will comment on the following sections of the County's 1041 review items specifically : 1. 6.04,15(c) Effect on other vested water rights. 2. 6.05.15(f) Effect on water quality downstream of project. 3. 6.05.15(h) Effect on Colorado River salinity standards. C. Wright will consult with the County Community Development staff on the following items: 1. 6.04.15(1) Benefits/losses on natural resources. 2. 6.04.15(m) Effect on downstream water quality. A. 6.04.15(0) Effect on wetlands, groundwater and other such concerns. 4. 6.04.15(q) Increased facility costs. Wright will be available to consult on other water - related matters as requested by the Director of Community Development, the County Attorney, or the County Commissioners. It is estimated that two meetings with the staff and one meeting with the Commissioners will cost $1,500.00 total. D. Wright will be available to assist Eagle County's Special Water Council, and offer assistance on matters relat- ing to decreed versus actual diversion points, federal reserve rights, and other appropriate issues. Engineering support and consultation is estimated to cost $1,500.00. E. Wright shall be available to attend public meetings as requested by the Director of Community Development, the County Attorney, or the Board of County Commissioners. Wright's role at such meetings would be to analyze the presen- tations and advise the County on the contents of the informa- tion presented, specifically as it pertains to the effect upon County interests and the 1041 process, and to provide testimony if required. Attendance at four days of hearings and subse- quent written recommendations and meetings with the staff and County Commissioners is estimated to cost $5,500.00. II. TERMS OF THE CONTRACT: This agreement is entered into by the County on the specific condition that William L. Lorah, P.E., perform or supervise and be responsible for the performance of all work authorized by and relating to the terms of this agreement. The County agrees to pay Wright for its services accor- ding to Wright's schedule of hourly rates attached hereto as Exhibit "A" and made a part hereof by this reference. Work performed by Wright beyond the services itemized in Section I of this agreement must have prior approval by the Director of Community Development or by the Board of County Commissioners, and be subject to an estimate of cost. The County is not liable for any work done which does not have prior approval. If the estimate on any project shall be exceeded by greater than ten percent, Wright shall notify the Director of Community Development or the Board of County Commissioners and get authorization to continue on the project. There shall be a monthly billing on the Eagle County Account by Wright. Any rate changes by Wright under this contract, are subject to approval by the Board of County Commissioners. Wright shall prepare separate bills for all work relating to the Project, and Wright shall not do work which would bring the total cost incurred under this contract to more than $12,500 without the written authorization of the Board of County Commissioners. Terms of Payment: It is agreed that this account will be billed on a month- ly basis. Unless otherwise approved by our company, payment is due thirty (30) days after billing date at the main office of the company at 2490 West 26th Avenue, Suite 55-A, Denner, Colorado 80211. If payment is not re- ceived, client agrees to pay interest at the rate of 1.5% per month on the outstanding balance. This does not constitute a credit arrangement; and in no case shall the minimum payment be less than 33% of the amount billed. If account is placed with an attorney for collection, client agrees to pay court costs and reasonable attorney's fees. EXHIBIT A
