BETWEEN
THE COUNTY OF EAGLE
AND
MARY J. MERKLING
Agreement made this o��,3 z, day of _� 1980, between
the County of Eagle, State of Colorado,body corpora e and politic, by and
through it's Board of County Commissioners, herinafter.referred to as the
"Employer" and Mary J. Merkling, hereinafter referred to as the "Employee".
WHEREAS, the Employer has the legal authority pursuant to Sections 30711-101 and
3 -11-107 C.R.S. 1973, as amended, to make and enter into contracts and to do
all other acts in relation to the property and concerns necessary to the
exercise of it's corporate or administrative powers; and
WHEREAS, Employer is in need of the services of a person possessing the skills
and ability required to accurately take the minutes of the proceedings before
the Board of County Commissioners and various Commissions and Boards Thereto
and to accurately transcribe such proceedings as required by law; and
WHEREAS, Employee, through her education and experience, possesses the requisite
skills to perform such duties; and
WHEREAS, Employer is therefore desirous of engaging the services of Employee as
the Official Reporter of the County of Eagle, State of Colorado, under the
direct_on_of the Board of County Commissioners.
For the reasons set forth above and in consideration of the mutual covenants and
promises of the parties hereto, Employer and Employee agree as follows:
SECTION ONE
MUTUAL ASSENT TO EMPLOYMENT
Employer hereby employs, engages, and hires Employee to act as the Official
Reporter of the County of Eagle, State of Colorado, under the direction of the
Board of County Commissioners, and Employee hereby accepts and agrees to such
employment, engagement, and hiring.
SECTION TWO
GOVERNING LAW
This agreement and the employment of Employee hereunder shall be subject, generally,
to all applicable provisions of the rules and regulations of the County of Eagle,
State of Colorado , and the laws of the State of Colorado and the rules and reg-
ulations issued pursuant thereto.
SECTION THREE
DUTIES OF EMPLOYEE
Employee shall perform all duties, imposed on her as the Official Reporter of the
County of Eagle, State of Colorado, by the laws of the State of Colorado and the
rules and regulations issued pursuant thereto and the rules and regulations of
the County of Eagle, State of Colorado, and such other reporting duties as the
Board of County Commissioners from time to time may require of her. Such duties
shall include, but are not limited to, the following:
1. To attend all public meetings and/or hearings held before the Board
of County Commissioners;
2. To attend all public meetings and/or hearings before the various
Commissions and Boards established by the Board of County Commissioners
when the Board of County Commissioners determines that such attendance_
_is necessary;
--3.--To-accurately take minutes of the proceedings before said Commissions
and Boards;
4. To accurately and diligently transcribe the proceedings before said
Board and Commissions when requested by a Board and/or Commission
or by a designated representative thereof;
5. To furnish an original and a certified copy of the transcription
of the proceedings before the Board of County Commissioners held
on the second Monday and last Wednesday of each month commonly
referred to as Planning Days.
SECTION FOUR
PLACE OF EMPLOYMENT
The duties required of Employee hereunder shall be rendered at the McDonald
Building, 550 Broadway, Eagle, Colorado and such other place or places as
employer shall in good faith require or as the interests and needs of the
Employer shall require.
SECTION FIVE
TERM OF EMPLOYMENT
This agreement -shall be for an indefinite term, subject to termination at will by
either party on giving written notice to the other party at least thirty days
before the effective date of such termination.
SECTION SIX
COMPENSATION
Employer shall pay Employee, and Employee shall accept from Employer, the following
compensation:
1. Compensation for services rendered by Employee at the rate of $35.00
for each one half day worked or for a part thereof.
2. A minimum compensation rate of -$300.00 per month in the event the
compensation provided in paragraph one hereinabove when computed per
month does not exceed $300.00.
3. A charge of $ 1.95 per page for each or=iginal transcription of pro-
ceedings before the Board of County Commissioners, Commissions and
other Boards when furnished by Employee.
4. A charge of $.90 per page for each copy made from the original
transcription of proceedings as set forth in paragraph three herein-
above.
5. In addition to the compensation and charges set forth in paragraphs
one, two, three and four hereinabove Employer shall pay Employee
compensation for such additional assignments or duties as may be
requir _ ay the Board of County Commissioiiers at a rate which shall
be determined by mutual agreement between Employee and Employer
prior to Employee undertaking such additional assignments or duties,
6. Any and all payments due to Employee shall be paid monthly when
the Board of County Commissioners regularly pays for services
rendered commonly referred to as Bill Paying Day,
7. Employee shall abide by all applicable provisions of the Eagle
County Personnel Policy including, but not limited to, the sub-
mittal of time sheets and an itemized list of all compensation and
charges due and owing to Employee by Employer before payment thereof
is authorized and rendered to the Employee,
8. In the event Employee is unable to attend a required public meeting
and/or hearing by reason of illness, etc., then such leave of time
shall be deducted from the $300 compensation as provided in Paragraph
2 hereinabove.
MODIFICATION
No modification or waiver of this agreement or of any covenant, condition, or
provision herein contained shall be valid unless in writing and duly executed by
the party to be charged therewith.
SECTION EIGHT
SEVERABILITY
All agreements and covenants herein are severable, and in the event any of them
with the exception of those contained in Sections One, Three, and Six hereof,
shall be held invalid by a competent court, this agreement shall be
interpreted as if such invalid agreement or covenants were not contained herein.
SECTION NINE
COMPLETE AGREEMENT IN WRITTEN AGREEMENT
This written agreement embodies the whole agreement between the parties and there
are no inducements, promises, terms, conditions, or obligations made. or entered
into either by Employer or Employee other than contained herein.
IN WITNESS WHEREOF, the parties have executed this agreement the day and year first
above written.
