Mndp this a? 26 day ofltlolveW7P in the year of Nineteen Hundred and between Eagle County as represented by its Board of County Commissioners, herein after referred to as "The County" and "Towii of Basalt" as represented by its Town Council, herein after referred to as the "Town." WITNESSETH: THAT, WHEREAS, The County holds a Lease on property described in Exhibit "A" attached, which land is used for the purposes of a Sanitary Landfill; and WHEREAS, The Town has not been able to establish a �Ll" Sanitary Landfill; and WHEREAS, The cost of operating a Sanitary Landfill is expensive and beyond the financial means of either party independent of the other; and WHEREAS, it is in the best interests of both parties to satisfy their needs for a Landfill by jointly utilizing one Sanitary Landfill. NOW THEREFORE: it is agreed as follows; A. The County shall be responsible for maintaining the Lease on the property described in Exhibit "All and shall be responsible for insuring that the conditions of said Lease are maintained. B. The County shall be responsible for operating the Sanitary Landfill in accordance with all applicable Federal, State, tate, and Local Laws governing such operating. C. The County shall maintain adequate records to properly identify all costs incurred in maintaining the Lease and operating the Sanitary Landfill. D. The Town shall cooperate with the County in insuring that items "All and "B" above are met. E. The Town shall reimburse the County for one-third (1/3) of the costs identified in item "C" above which reim- bursement shall be promptly made upon receipt of a request for payment by the County. F. Both parties to this Agreement shall endeavor to research and identify means of providing Sanitary Landfill service to the residents of their area in the most economical manner possible. G. This Agreement is contingent upon all funds being available from County and Town sources. Should these sources fail to provide the necessary funds this Contract may be terminated by either party. Any party terminating its interest and obligations herein shall not be relieved of any financial obligations that accrued prior to the effective date of such termination. (7� This Agreement shall be for a period of one year starting January 1, 1976, and shall be automatically renewed upon the same terms and conditions unless cancelled by either party. Either party shall have the right to cancel this agreement at any time by providing sixty (60) days advance notice. This Agreement shall inure to the benefit of and be binding upon the parties, their successors and assigns.
